Scope: Maintenance services of the coal analysers (NITA IV System) for 5 years at Kendal Power Station. Contract type: Sole source. Contract conditions: NEC3 SC. Tenderers must submit a completed Scope of Work (Annexure 1.1.18) and Pricing Schedule/BOQ (Annexure 1.1.20) in PDF and Excel. Cataloguing may be required post-award; include a line item for cataloguing in the Pricing Schedule if applicable. Alternative tenders are not permitted.

Due Diligence: Submit latest approved annual financial statements of the tendering company (not parent/holding company), including: company background, signed director’s report, signed auditor’s/reviewer’s/compiler’s/accounting officer’s report, statement of financial position, comprehensive income, changes in equity, cash flows, and notes. For unaudited SA entities: signed Public Interest Score (actual score, owner-managed status, external preparation confirmation) and ITA34C copies for current/previous years. For unincorporated JVs/SPVs: each partner must submit full financial statements as above.

Quality Category 3 applies. Suppliers must submit objective evidence of a QMS compliant with ISO 9001:2015. Required documents: QMS manual, Quality Policy (aligned with strategic direction), Quality Objectives (approved by top management), documented control of information/records, nonconforming outputs procedure, corrective action procedure, internal audit procedure, roles/responsibilities/authorities for QMS, control of externally provided processes/products/services, Draft Contract/Project Quality Plan, example of Inspection and Test Plan (ITP) or Quality Control Plan (QCP) for similar work, and completed Form A (Enquiry/Contract/Quality Requirements).

Pricing Schedule/BOQ must be submitted as per NEC contract (Annexure 1.1.20) in PDF and Excel. Local procurement content must be separated from imported components in the Price Schedule. Eskom target for Local Procurement Content: 100%. Tender response must align with this separation. Cataloguing may be required post-award; include a line item for cataloguing in the Pricing Schedule if applicable.

Payment terms: For contracts ≤ R50M (incl. VAT), payment within 30 days of undisputed invoice receipt. For contracts > R50M (incl. VAT), payment within 60 days. Pricing must be inclusive of VAT, exclude contingencies, and be submitted in the required format (PDF + Excel for price lists). Unconditional discounts are considered for evaluation; conditional discounts are applied at payment. No performance security required. Prices are evaluated on Net Present Value, adjusted for variations, and compared for risk/uncertainty.

Mandatory: Proof of valid CSD registration (CSD number/report). Tax Clearance Certificate required for local tenderers (unless SARS e-filing PIN provided) and foreign tenderers with a SA footprint. Foreign suppliers with no SA footprint must complete SBD1 but require no tax compliance proof. Employment Equity Act compliance proof required for designated employers (SA only). B-BBEE: Valid certificate (SANAS-accredited) or sworn affidavit (for EMEs ≤ R10M or QSEs ≤ R50M with ≥51% Black ownership). For JVs/consortia, consolidated B-BBEE certificate required. CIDB registration not applicable. Integrity Declaration Form (Annexure D) and Supplier Integrity Pact acknowledgment mandatory. SBD forms: SBD1 (all tenderers), SBD4 (Bidders Disclosure), SBD6.1 (Preference Points Claim), SBD6.2 (Local Content) as applicable. Local Content Declaration (Annexures G1-G4) required if designated materials are included. Subcontracting with subsidiaries must be declared to avoid fronting allegations.

Preference Points: Maximum 20 points for B-BBEE Status Level (80/20 system). Points: Level 1: 20, Level 2: 18, Level 3: 14, Level 4: 12, Level 5: 8, Level 6: 6, Level 7: 4, Level 8: 2, Non-compliant: 0. B-BBEE Improvement Plan: Must be submitted within 30 days of contract signing. Level 4 tenderers must reach Level 3 by end of Year 1; Levels 5-8/non-compliant must reach Level 4 by end of Year 1 and improve by one level annually thereafter.

Scope of Work (SOW) is high-risk. Compliance evaluated via Annexure C1 (7 criteria). Mandatory returnables: SHE Plan (aligned with Eskom Contractor H&S Spec 240-73416879 and 32-136, addressing project OHS risks), SHE Costs (itemized, not lump sum), Baseline Risk Assessment (with methodology), Valid Letter of Good Standing (COIDA or equivalent), OHS Policy (signed by CEO).

Requirements: 1. Environmental Policy (aligned with ISO 14001:2015, signed). 2. Site-specific Environmental Management Plan (includes aspects/impacts/mitigations, signed). 3. Site-specific Waste Management Plan (covers identification, handling, disposal, compliance, resources, signed). 4. Legal and Regulatory Compliance Register (applicable environmental laws and compliance measures for the scope of work).

Contract type: Sole source, whole-of-contract basis. Conditions: NEC3 SC. Eskom reserves the right to accept/reject any tender and negotiate with preferred bidders if prices are not market-related. Subcontracting with subsidiaries is discouraged and must be declared to avoid fronting. Joint ventures/consortia must explicitly state joint and several liability in their agreements. Contract duration: 5 years. Payment terms: 30 days for contracts ≤ R50M (incl. VAT); 60 days for contracts > R50M (incl. VAT).

SDL&I Objectives (RDP-aligned): Tenderers must submit proposals for local procurement content (target: 100%), job creation/retenion (demographically representative, sourced locally). SDL&I commitments are contractual but not scored. Quarterly compliance reports (via Eskom’s Data Collection Template) are mandatory. Eskom reviews reports within 30 days and notifies non-compliance. Corrective measures must be implemented before the next report; failure may trigger retention clauses. SDL&I Implementation Schedule must be submitted within 28 days of contract award.

Eligibility: Tenderers (single company, JV, or consortium) must not be restricted from doing business with Eskom or SOCs. Disqualification criteria: nationality of a sanctioned country; multiple tenders (except size-limited on E-Tendering); JV/consortium without joint/several liability; conflict of interest (e.g., shared majority shareholder or access to another tenderer’s information); non-authorised signatories; National Treasury-restricted; on Tender Defaulters list; 100% subcontracting of Scope of Work. Prima facie conflict of interest evidence includes shared controlling partners or relationships enabling information access/influence.
