Quality Management

Pre-bidding testing costs are the bidder’s responsibility.
If inspections/tests are required, the bidder’s premises must be open for inspection by CWDM representatives at reasonable hours.
If inspections are not initially required but are later deemed necessary, CWDM will arrange and pay for them. If goods/services comply, CWDM covers the cost; if not, the supplier covers the cost.
Non-compliant goods/services may be rejected. The supplier must remove and replace them at their own cost and risk. If the supplier fails to replace, CWDM may procure substitutes at the supplier’s expense.
CWDM reserves the right to cancel the contract for non-compliance or act under penalty clauses.

Contract duration and timeframes will be mutually agreed upon between CWDM and the successful bidder.
Prices quoted must remain fixed for the contract duration, unless adjusted by mutual agreement or due to bid validity extensions.
Payment terms: Invoices must be submitted with a delivery note. Payments will be made within 30 calendar days.
VAT must be clearly shown on invoices. For contracts exceeding R1 million, VAT registration with SARS is required.
Subcontracting: The contractor may not subcontract the entire contract. Partial subcontracting requires prior written consent from CWDM. The contractor remains liable for subcontractor actions.
Termination: CWDM may terminate the contract for default (e.g., failure to deliver, breach of obligations, or corrupt practices). Penalties may include restrictions from doing business with the public sector for up to 10 years.
Termination for insolvency: CWDM may terminate the contract if the supplier becomes bankrupt or insolvent, without compensation.
Dispute resolution: Disputes will first be resolved through mutual consultation, then mediation, and finally in a South African court of law.
