Request for Proposal to lease a 105 m² light‑industrial premises at M‑Berth, Port of Cape Town, for a period of up to ten (10) years.

• Clarification deadline: 06 July 2026 (submit queries via the RFP Clarification Request Form).
• Non‑compulsory briefing (online): 22 June 2026 10:00 AM (Microsoft Teams – meeting link, ID 352 076 581 193 664, passcode d5AY9cG7). Attendance is encouraged; site‑visit arrangements to be agreed separately.
• Closing date & time: 17 July 2026 12:00 PM (bids must be uploaded before this time; late uploads are rejected).
• Bid validity period: 120 business days from the closing date.

• Upload the complete bid to the Transnet e‑Tenders portal (https://transnetetenders.azurewebsites.net) using only alphanumeric file names; each file must be signed, stamped and dated.
• Mandatory returnable documents (SBD‑1 form, Certificate of Acquaintance, RFP Declaration, Specific Goals Claim Form, Job Creation & Skills Development, Personal Information Protection, Attendance Certificate) must be attached – failure to provide them disqualifies the bid.
• Essential returnable documents (company profile, business plan, reference letters, bank rating, experience evidence) must be submitted; missing items result in a zero score for the related evaluation criterion.
• All documents must be uploaded at least one day before the closing time to avoid technical issues; Transnet is not liable for late or corrupted uploads.
• Bids are valid for 120 business days from the closing date; extensions may be requested but non‑response leads to exclusion.

• Premises: 105 m² at M‑Berth, Port of Cape Town, light‑industrial use, to be taken ‘as‑is’ (voetstoots).
• Exclusions: storage of hazardous chemicals, fertilizers, truck refuelling, dust‑mineral storage, leisure activities, etc.; all use must comply with applicable laws.
• Obligations of the successful lessee:
• Carry out any required refurbishment, repairs or upgrades at own cost.
• Ensure the premises are fit for purpose and compliant with all relevant legislation.
• If beneficial occupation is needed, justify it in the Business Plan and bear all holding costs.
• Conduct a site inspection before submitting the bid (TNPA accepts no liability for non‑inspection).
• Environmental expectations: waste disposal, recycling and energy‑conservation measures must be addressed in the Business Plan (see Annexure 2 – Draft Environmental Management Plan).

• Evaluation follows the diagram in Section 5 – sequential steps may be run in parallel at Transnet’s discretion.
• Step 1 – Administrative responsiveness; Step 2 – Substantive responsiveness; Step 3 – Technical/functional minimum (≥ 66.67 points);
• Step 4 – Weighted scoring of price (80/90 points) and specific goals (20/10 points);
• Step 5 – Objective criteria (rotation, integrity, solvency, etc.);
• Step 6 – Post‑tender negotiations on market‑related rental;
• Step 7 – Award and execution of the lease agreement.
• Schedules must be linked to the methodology at activity level; Gantt charts are preferred (concise, good, average levels defined).

• Minimum of 2 years experience in the proposed use of the premises; provide a company profile and at least two reference letters not older than 5 years.
• Include customer/partner details, project scope, duration and bank rating (must be current, not older than 3 months).
• Demonstrate a satisfactory track record (bank rating A‑C) and alignment with the Port Development Framework Plan.
• Provide a Business Plan covering market analysis, SWOT, value‑add to the port, work breakdown structure, maintenance plan and cash‑flow projections.

• Complete the Rental Offer Summary table (area, rate, VAT 15 %, monthly & annual rent, escalation).
• Provide totals for each year (Years 1‑5) and overall total inclusive of VAT.
• Ensure the annual escalation is incorporated.
• Rental figures must be in ZAR inclusive of VAT.
• Deviations from the prescribed format may lead to a non‑responsive bid.

• Rental Offer Schedule: complete the table (m², rate, VAT 15 %, monthly & annual rent, escalation rate) – all figures in ZAR inclusive of VAT.
• Escalation: annual escalation must be shown and included in the total offer.
• Price evaluation: the highest‑priced compliant bid receives the maximum points; formulae in the evaluation criteria are applied.
• Market‑related rental: if the top‑scoring bid is not market‑related, Transnet may negotiate with the 1st, then 2nd, then 3rd bidder or cancel the RFP.
• Validity: bid must remain valid for 120 business days from the closing date; extensions may be requested.
• Payment terms: to be agreed in the final lease agreement; all amounts quoted inclusive of VAT.

• Tax compliance: submit SARS Tax Compliance Status (TCS) PIN or printed TCS certificate; foreign bidders without South African tax obligations are exempt.
• Central Supplier Database (CSD): all bidders (except foreign entities without a local entity) must be registered on the CSD and provide the CSD number.
• B‑BBEE: provide a valid B‑BBEE verification certificate or sworn affidavit.
• Employment Equity Act: comply with the Act, including Section 53.
• Security clearance: obtain CONFIDENTIAL/SECRET/TOP‑SECRET clearance as required.
• DPIP/FPPO disclosure: disclose any relationship with Domestic Prominent Influential Persons or Foreign Prominent Public Officials (Annexure 6).
• Confidentiality: sign the Non‑Disclosure Agreement; any further disclosure requires Transnet’s written approval.
• Legal review: standard lease terms are subject to Transnet legal counsel approval.
• Disclaimers & penalties: Transnet may modify, reject, cancel, split the award, or place a bidder on the restricted‑bidders list for up to 10 years for non‑compliance or fraud.

Joint ventures will be evaluated on a consolidated B‑BBEE scorecard; submit the JV agreement and B‑BBEE certificate for the consortium.

• All bid documents must be signed and dated by an authorised person.
• Proposals are considered offers unless expressly stated otherwise.
• No alterations to the RFP documents are permitted except via an accompanying letter.
• Queries must be submitted using the RFP Clarification Request Form before 06 July 2026.
• Post‑closing communication is limited to the designated email address.
• Collusion, canvassing Transnet staff, or attempting to influence the award process will result in automatic disqualification.

• Annexure 2 contains the Draft Environmental Management Plan – bidders must address waste disposal, recycling and energy‑conservation measures.
• Environmental assumptions and mitigation measures must be clearly stated in the cash‑flow projections.
• Compliance with all applicable environmental legislation is mandatory.

• Standard bidding documents (SBD‑1 to SBD‑14) form the contractual basis.
• Lease agreement may be amended at Transnet’s discretion; any changes require Transnet legal counsel approval.
• Successful bidder must sign the Standard Lease Agreement, General Bid Conditions and any special conditions.
• Lease term up to 10 years; renewal or extension subject to separate agreement.
• Termination may occur for breach of material terms, failure to meet rental obligations, or non‑compliance with security, tax or integrity requirements.
• Penalties apply for failure to execute the formal lease within five business days of award.

Transnet reserves the right to modify, reject, cancel, split the award, or place a bidder on the restricted‑bidders database for up to 10 years for non‑compliance or fraud.

System PIN registration is required for tax compliance verification.

Award is confirmed by a Letter of Award; the final lease agreement is signed thereafter.
