• The tender is for the appointment of a panel of service providers to provide recycling and destruction services for non-compliant products to the NRCS.
• The contract duration is 60 (sixty) months.
• Services must comply with the standards and specifications outlined in the bidding documents.
• Suppliers must ensure that all goods and services meet the required quality and performance standards as per the contract.

• Goods and services must conform to the standards and specifications outlined in the bidding documents.
• Supplier’s premises and records may be inspected at reasonable hours by the purchaser or a designated representative.
• Pre-bidding testing costs are the responsibility of the bidder.
• If inspections reveal non-compliance, the supplier must cover the cost of inspections, tests, or analyses.
• Non-compliant supplies or services may be rejected. Supplier must remove and replace them at their own cost.
• Supplier must permit the purchaser to audit their records related to contract performance.
• Supplier cannot disclose contract details or specifications without the purchaser’s prior written consent.

• Pricing must be submitted as per the official bid forms.
• Payment terms will be specified in the Special Conditions of Contract (SCC).
• Invoices must be accompanied by a copy of the delivery note and other stipulated documents.
• Payments will be made in South African Rand (ZAR) within 30 days of invoice submission.
• Prices quoted in the bid must not vary unless authorized by the SCC or a bid validity extension request.

• Tax Compliance: Bidders must submit a valid Tax Compliance Status (TCS) PIN issued by SARS. If no TCS PIN is available, a Central Supplier Database (CSD) number must be provided.
• VAT Registration: Bidders must provide a VAT registration certificate if applicable.
• B-BBEE: Bidders must submit a B-BBEE certificate or sworn affidavit (for EMEs/QSEs) to qualify for preference points. Failure to submit proof will result in 0 points for B-BBEE.
• Declaration of Interest: Bidders must complete the SBD 4 form to declare any conflicts of interest or relationships with state employees.
• Consortia/Joint Ventures: Each party in a consortium or joint venture must submit separate TCS certificates, PINs, or CSD numbers.
• Foreign Suppliers: Must disclose if they are residents of South Africa, have a branch in South Africa, or are liable for taxation in South Africa. If none apply, a TCS PIN is not required.
• Bidders must not be listed on the Register for Tender Defaulters or the List of Restricted Suppliers.

• Contract duration: 60 months.
• Performance security: Must be furnished within 30 days of contract award. Can be a bank guarantee, irrevocable letter of credit, or cashier’s/certified cheque.
• Payment terms: Payments will be made in ZAR within 30 days of invoice submission. Invoices must include a delivery note and other stipulated documents.
• Prices: Must not vary from the bid unless authorized by the Special Conditions of Contract (SCC) or a bid validity extension.
• Contract amendments: Require written agreement signed by both parties.
• Assignment: Supplier cannot assign obligations without prior written consent from the purchaser.
• Subcontracts: Supplier must notify the purchaser in writing of all subcontracts. This does not relieve the supplier of liability.
• Delays: Supplier must notify the purchaser of any delays. Penalties may apply, and the purchaser may terminate the contract for persistent delays.
• Termination for default: Purchaser may terminate the contract if the supplier fails to deliver goods/services, breaches contract terms, or engages in corrupt/fraudulent practices.
• Termination for insolvency: Purchaser may terminate the contract if the supplier becomes bankrupt or insolvent.
• Force majeure: Supplier is not liable for delays or failures due to events beyond their control (e.g., natural disasters, wars).
• Dispute resolution: Parties must attempt to resolve disputes amicably. If unresolved, mediation or South African court proceedings may follow.
• Limitation of liability: Supplier’s liability is capped at the contract price, except for criminal negligence, willful misconduct, or patent infringement.
• Governing law: Contracts are subject to South African law.
• Applicable standards: Goods/services must conform to the standards specified in the bidding documents.
• Inspections and testing: Supplier’s premises and records may be inspected. Pre-bidding testing costs are the bidder’s responsibility. Non-compliant supplies may be rejected at the supplier’s cost.
• Warranty: Goods must be new, unused, and free of defects for 12 months after delivery (or 18 months after shipment). Supplier must repair or replace defective goods at no cost.
• Insurance: Goods must be fully insured against loss or damage during manufacture, transportation, storage, and delivery.
• Confidentiality: Supplier cannot disclose contract details or specifications without the purchaser’s written consent.
• Anti-dumping and countervailing duties: Supplier is liable for any additional costs arising from anti-dumping or countervailing duties imposed after the bid date.

• The 80/20 preference point system applies to this tender (for contracts up to R50 million).
• Points are allocated as follows: 80 points for price, 20 points for specific goals (B-BBEE).
