Bidders must be tax compliant (submit TCS PIN or CSD number); not be listed in the Register for Tender Defaulters or Restricted Suppliers; submit valid B-BBEE documentation; disclose any state employment or conflicts of interest; and ensure bids are submitted on official forms without retyping. Foreign suppliers must provide proof of local representation if applicable.

• Inspection: The purchaser may inspect the supplier’s records and have them audited.
• Patent rights: The supplier indemnifies the purchaser against third-party infringement claims.

• Tax Compliance: Submit a valid Tax Clearance Certificate (TCC) issued by SARS. Provide your Tax Compliance Status (TCS) PIN or CSD number if registered on the Central Supplier Database (CSD).
• Central Supplier Database (CSD): Submit a full CSD report.
• B-BBEE: Submit a B-BBEE Status Level Verification Certificate or Sworn Affidavit (for EMEs & QSEs) to qualify for preference points.
• Company Registration: Provide CIPC registration documents and ID copy.
• No bids accepted from persons in the service of the state, companies with directors in state service, or close corporations with members in state service.
• Declaration: Complete SBD 4 disclosure form regarding relationships with state employees and other bidders.

• The service involves developing a Socio-Economic Impact Assessment System (SEIAS) Report, which may include environmental impact considerations as part of the broader socio-economic assessment.

• General Conditions of Contract (GCC) apply and may not be amended. Special Conditions of Contract (SCC) prevail in case of conflict.
• Payment terms: Payments made within 30 days after invoice submission, in Rand unless specified otherwise in SCC.
• Prices are fixed as quoted, unless price adjustments are authorized in SCC or bid validity extension.
• Performance security may be required within 30 days of award, in the form of a bank guarantee, irrevocable letter of credit, or certified cheque.
• Warranty: Goods are warranted to be new, unused, and free from defects for 12 months after delivery or 18 months after shipment, unless specified otherwise in SCC.
• Penalties for delay: Deductions from contract price based on current prime interest rate for each day of delay.
• Termination: The purchaser may terminate for default, insolvency, or corrupt/fraudulent practices.
• Dispute resolution: Parties must attempt amicable resolution, then mediation, and finally South African courts.
• Governing law: South African law applies, and the contract is in English.

• The 80/20 preference point system applies: 80 points for price, 20 points for specific goals.
• Price scoring formula: Ps = 80 × (1 – (Pt – Pmin) / Pmin), where Ps is points scored, Pt is your tender price, and Pmin is the lowest acceptable tender price.
• For income-generating contracts, a different formula may apply: Ps = 80 × (1 + (Pt – Pmax) / Pmax), where Pmax is the highest acceptable tender price.
• Points for specific goals are awarded based on documented claims; failure to submit proof means no points.
• Subcontracting restrictions: If subcontracting more than 25% of contract value to a non-Historically Disadvantaged Individual (HDI) enterprise, you will not receive HDI points.
• If awarded based on HDI preference, you may not subcontract more than 25% to a non-HDI.
