• If asbestos is identified, immediate control measures and air monitoring are required.
• Contractor personnel may stop work in contaminated areas until declared safe.
• Asbestos removal/disposal must be done by a registered asbestos contractor at Employer’s expense.

Equipment and Materials:

• Contractor is responsible for loss or damage to Employer’s property, Plant, and Materials unless covered by Employer’s insurance.
• Insurance requirements: Replacement cost for uncovered losses; Employer’s policy deductible where applicable.

Pricing:

• Priced contract with price list (NEC3 TSC3 Option A).

Payment Terms:

• Assessment interval: Between the 21st day of each successive month.
• Payment due: Within 2 weeks of assessment.
• Interest rate: Prime rate (Standard Bank of South Africa) for Rand amounts; LIBOR for other currencies.
• Tax invoice: Must be submitted within 1 week of receiving a payment certificate, showing the amount due. Delayed invoices extend payment deadlines.
• VAT compliance: Contractor must include Eskom’s VAT number (4740101508) on all invoices.

Bonds and Liability:

• Performance bond: 5% of contract value (if applicable under Option X13).
• Low service damages: As per Appendix A of the Service Information (Option X17).
• Limitation of liability:
• Contractor’s liability for indirect/consequential loss: Nil.
• Contractor’s liability for Employer’s property damage: Limited to deductibles or replacement cost.

B-bbee:

Joint Ventures:

• If Contractor is a joint venture, all members are jointly and severally liable.
• Key person with authority to bind the Contractor must be notified to Employer within 2 weeks of contract date.
• Composition changes require Employer’s written consent.

Health and Safety:

• Compliance with Construction Regulations 2014 (OHS Act) and all applicable health & safety laws.
• Contractor must include sufficient budget for compliance in pricing.

Environmental Compliance:

• Must adhere to all applicable environmental laws and regulations.

Insurance:

• Contractor must provide certificates for required insurances (e.g., liability, property damage, environmental liability).
• Minimum cover: Replacement cost or as per Employer’s policy.

Tax Compliance:

• Must comply with Value Added Tax Act and include Eskom’s VAT number on invoices.

Ethics:

• Prohibited actions (corruption, fraud, collusion, coercion, obstruction) are strictly forbidden.
• Employer may terminate contract if such actions occur.

Nuclear Liability:

• Employer (Eskom) indemnifies Contractor against nuclear damage liabilities, except in cases of unlawful intent or unauthorised presence at Koeberg Nuclear Power Station.

Asbestos:

• Contractor must comply with Employer’s Asbestos Standard 32-303 and Asbestos Regulations 2001.
• Parallel measurements allowed at Contractor’s expense.

Cession/Assignment:

• Contractor may not cede, delegate, or assign rights/obligations without Employer’s written consent.

Confidentiality:

• Contractor must not disclose contract-related information without Employer’s consent.
• Images of Affected Property require prior written approval.

Business Rescue:

• Contractor must notify Employer if a business rescue order is granted against it.

• Applicants must be legally registered entities (e.g., companies, joint ventures) with valid tax and compliance certificates.
• Demonstrated experience in similar projects (e.g., dam cleaning, hazardous waste removal, industrial cleaning in power stations).
• Compliance with South African labor laws and the Occupational Health and Safety Act.
• Proven track record of adhering to strict safety protocols in high-risk environments.
• Certification in relevant safety standards (e.g., ISO 45001, OHSAS 18001).
• Ability to provide trained personnel for working at heights, electrical safety, and hazardous waste handling.
