Scope: Appointment of Legal Transaction Advisors for the Richards Bay Dry Bulk Terminal (RBDBT) Private Sector Participation (PSP) Project.

Key Personnel Requirements:

• Project Director: Extensive experience (15+ years preferred) leading feasibility studies and implementing large transport PPP projects (R500m+), with knowledge of PPP structuring, commercial contracts in ports, and SA legal/regulatory processes.
• Technical Expert: Demonstrable experience (5+ years) in rail/ports/maritime infrastructure appraisal, feasibility studies, and procurement strategies for large public infrastructure, preferably ports.
• Financial Expert: Experience in financial modelling, project costing, revenue forecasting, value-for-money analysis, and project finance for large infrastructure.
• Economic Expert: Post-graduate quantitative qualification and experience conducting Cost-Benefit Analysis for large infrastructure projects.
• Legal & Regulatory Expert: Experience in legal feasibility, PPP structuring, drafting/negotiating agreements (SLAs, concessions, EPC), and knowledge of SA regulatory framework.
• Environmental, Social & Governance Expert: Post-graduate environmental/social sciences qualification, registration as Professional Natural Scientist, and experience in environmental aspects for transport sector (especially rail/ports), EIA processes, and adaptation/mitigation.

Methodology: Must demonstrate understanding of ToR, transport PPP projects, innovative study design, and knowledge of SA PPP regulatory framework. Submit detailed work plan (Gantt chart), organogram of lead experts, and team structure.

Company Experience: Must provide evidence of at least 5 similar transport PPP projects (preparation, design, structuring, procurement documents) valued at R500m+.

• Bidders must promptly notify DBSA in writing of any discrepancies, ambiguities, or errors found in the RFP.
• DBSA will correct verified errors and communicate to all bidders without attribution.

• Submit pricing in a separate Folder 2 (Price/Financial Proposal).
• Promptly notify DBSA of any pricing errors discovered post-submission (excluding minor clerical errors).

• Submit pricing separately in Folder 2 (Price/Financial Proposal).
• Notify DBSA promptly of any pricing errors discovered after submission (excluding minor clerical errors).
• The lowest overall price in Stage 3 (Price and Preferential Points) is a key award factor.

Mandatory for all bidders:

• South African bidders must be registered on the Central Supplier Database (CSD) and submit a CSD Summary Report.
• Submit a valid B-BBEE certificate or sworn affidavit. Exempted Micro Enterprises (EMEs) with turnover ≤ ZAR10 million must submit an auditor/verification agency certificate.
• Provide Tax Compliance Status (TCS) PIN issued by SARS. If not available, provide CSD number.
• Foreign suppliers must complete a questionnaire; if no RSA presence/income, TCS/PIN not required.
• Submit certified copies of CIPC company registration documents and, if a company, latest share certificates.
• Consortium/JV members must each submit separate proof of TCS/PIN/CSD and B-BBEE status.
• Failure to provide required particulars may render bid invalid or lead to disqualification.

• B-BBEE status level of contributor is as defined in the B-BBEE Act and Preferential Procurement Regulations, 2022.
• Submit valid B-BBEE certificate or sworn affidavit; EMEs must submit auditor/verification agency certificate.

• The Environmental, Social and Governance expert must have a post-graduate degree in Environmental Studies/Social Sciences and registration as a Professional Natural Scientist.
• Minimum 10 years relevant post-registration experience in environmental aspects for transport sector (especially rail/ports), including EIA processes, compliance frameworks, and adaptation/mitigation.
• Must provide evidence of projects executed in environmental aspects for transport sector, preferably projects valued over R500 million that reached financial close.

• Bids constitute an irrevocable offer valid for 120 days from closing, extendable by mutual agreement.
• DBSA reserves rights to cancel, suspend, alter, or terminate the tendering process at any time.
• No contract exists until a formal written agreement is executed.
• DBSA may conduct due diligence on preferred bidder, considering litigation, performance history, reputational risk, and vetting (financial stability, PEP checks).
• Bidders warrant they have not relied on unauthorised DBSA representations and accept all bidding costs.
• DBSA may negotiate, award in part, or not award at all if needs/funds change.
