Supply, delivery, and offloading of mobile generators for o.R. Tambo international airport (12-Month contract)

• Contract start date: Upon signing of the contract by ACSA.
• Service period: Twelve (12) months from contract signing or until the budgeted amount is expended, whichever occurs first.

Submit the following returnable documents as part of your bid:

• Signed Form of Offer and Acceptance (C1.1).

Scope: Supply, delivery, and offloading of mobile generators for O.R. Tambo International Airport for a period of twelve (12) months.

Deliverables:

• 1 x 500 KVA mobile generator (once-off).
• 3 x 150 KVA mobile generators (once-off).
• 1 x 8 KVA mobile generator (once-off).
• Transportation and offloading of all generators (once-off).

Additional Requirements:

• Generators must meet all technical and safety standards as per Service Information (C3).
• Contractor must ensure generators are fit for their intended purpose and comply with OEM maintenance requirements.
• All activities must align with the Activity Schedule (C2.2) and include tools, software, hardware, and consumables.
• Contractor is responsible for ensuring labour resources are adequate and competent to maintain service levels, system performance, and compliance with laws/regulations.
• Low service damages will apply if availability, reliability, or maintainability targets are not met (see Annex G, Section 6).

Experience and Qualifications:

• Contractor must provide CVs of key personnel (Annex F) as part of the Resource Proposal.
• Key personnel must have relevant qualifications and experience for the scope of work.
• Contractor must ensure labour resources are adequate and competent to maintain service levels, system performance, and compliance with laws/regulations.
• If the contractor is a joint venture or consortium, all members are jointly and severally liable (Z11).
• Contractor must notify ACSA of the key person authorized to bind the contractor within 1 week of the start date (Z11.2).
• Material changes to the composition of the joint venture require prior written consent from ACSA (Z11.3).

Pricing Schedule (C2.2):

• Submit a completed Activity Schedule with the following minimum items:
• Preliminary and General:
• Airport permits: Once-off, R2,000.00.
• Contract management and administration: Once-off.
• Service after 6 months: Once-off.
• PPE: Once-off.
• Machinery Supply and Delivery:
• 500 KVA mobile generator: Once-off, 1 unit.
• 150 KVA mobile generator: Once-off, 3 units.
• 8 KVA mobile generator: Once-off, 1 unit.
• Transportation and offloading: Once-off, 5 units.
• All rates must exclude VAT and include all required tools, software, hardware, and consumables.
• Contractor may add other activities deemed necessary to meet targets (availability, reliability, maintainability, MTTR, MTBF, legislative compliance).
• ACSA reserves the right to vary activities according to the rates provided.
• Prices must align with the Pricing Data [Subtotal F].
• Defect corrections are included in the lump sum prices/rates.
• Low service damages will apply as per Annex G, Section 6.

Pricing Format:

• Submit a completed Price List (C2.2) with all rates excluding VAT.
• Total pricing must align with the Pricing Data [Subtotal F]. In case of conflict, the amount in the Form of Offer prevails.
• Prices must be fully inclusive of all costs (tools, software, hardware, consumables, defect corrections, etc.).
• Payment terms: 30 days after receipt of a valid tax invoice.
• Currency: South African Rand (ZAR).
• Interest rate for late payments: Prime lending rate of Nedbank (as determined from time to time).
• No interest will be paid on late payments resulting from incorrect VAT invoices.

Bonds and Guarantees:

• Performance bond: Required as per Section C1.4 (Forms of Sureties). Must be unconditional, on-demand, and valid until the end of the service period.
• Insurance: Contractor must provide Public Liability Insurance and other covers as per C1.5 Insurance Schedule. Minimum amounts are specified in the contract.
• Employer provides Contract Works Insurance, SASRIA Special Risks Insurance, and Marine & Air Cargo Insurance.

Mandatory Compliance:

• Registration: Contractor must be a registered company in South Africa.
• VAT: Valid VAT registration number required.
• COID Act: Contractor must be in good standing with the Compensation Fund or a licensed insurer. Provide a letter confirming compliance before work commences.
• Occupational Health and Safety (OHS) Act: Contractor must comply with all provisions of the OHS Act and Construction Regulations 2014. A written OHS Agreement (C1.3) must be signed before work begins.
• Insurance: Public Liability Insurance and other required covers must be maintained throughout the contract.
• Ethics: Contractor must comply with the Prevention and Combating of Corrupt Activities Act. Any breach may result in contract termination.
• Confidentiality: All contract-related information must be treated as confidential (see Z13).
• Intellectual Property: Contractor grants ACSA an irrevocable, non-exclusive, royalty-free license to use all IP related to the service (see Z16).
• B-BBEE: Compliance with B-BBEE requirements is implied but not explicitly detailed in the document.

Additional Requirements:

• Baseline risk assessment must be submitted 7 days before work commences.
• Contractor must appoint a Construction Manager as per Construction Regulation 8.
• No work may commence until the OHS Agreement is signed and received by ACSA.

Health and Safety Requirements:

• Contractor must comply with the Occupational Health and Safety (OHS) Act and Construction Regulations 2014.
• A written OHS Agreement (C1.3) must be signed before work commences.
• Contractor must:
• Ensure all employees are covered under the COID Act and provide proof of good standing.

• Develop and enforce written safe working procedures.
• Report all incidents/accidents to the Provincial Director of Labour and ACSA.
• Obtain permits for work requiring them.
• Prohibit alcohol and intoxicating substances on-site.
• ACSA may stop unsafe work until violations are corrected (Z19.1).
• Contractor acknowledges its status as an employer under the OHS Act (Z19.2).
• Non-compliance may lead to immediate contract cancellation.

Contract Terms:

• Contract type: NEC3 Term Service Contract (April 2013) with Option A (Priced contract with price list).
• Contract period: 12 months from signing or until the budgeted amount is expended.
• Dispute resolution: Adjudication (Option W1) followed by arbitration if unresolved. Adjudicator nominated by the Chairman of the Johannesburg Society of Advocates.
• Termination: ACSA may terminate if the contractor fails to maintain 91% average availability for 24 continuous weeks (measured by ACSA IMCS system R22). Business rescue proceedings also trigger termination.
• Limitation of liability: Neither party is liable for indirect/consequential loss (e.g., loss of profit). Contractor’s total liability is limited to the sum of losses incurred and/or repairs to damages caused.
• Performance bond: Required as per C1.4. Must be extended if expiry date does not align with the contract end date.
• Confidentiality: All contract-related information is confidential (Z13). Prior written consent is required for disclosure.
• Intellectual Property: Contractor retains IP rights but grants ACSA a non-exclusive, royalty-free license (Z16).
• Ethics: Contractor must comply with anti-corruption laws (Z12). Breaches may result in termination.
• Step-in rights: ACSA may remedy contractor defaults at the contractor’s cost (Z14).
