Inspections and Testing:

• Pre-bidding testing costs are the bidder’s responsibility.
• If inspections are required, the supplier’s premises must be open for inspection by the purchaser or its representatives.
• Non-compliant supplies or services may be rejected, with the supplier bearing the cost of inspections and substitutions.
• Rejected supplies must be removed and replaced at the supplier’s expense.

Warranty and Spare Parts:

• Suppliers warrant that goods are new, unused, and incorporate recent design and material improvements.
• Warranty is valid for 12 months after delivery or 18 months after shipment, whichever is earlier, unless specified otherwise in SCC.

Penalties and Liabilities:

• Delays in delivery or performance may result in penalties calculated using the current prime interest rate for each day of delay.
• Suppliers are liable for excess costs if the purchaser procures substitute goods due to delays.
• Suppliers are not liable for indirect or consequential losses unless due to criminal negligence, willful misconduct, or patent infringement.
• Aggregate liability is capped at the total contract price, excluding costs for repairing or replacing defective equipment.

Insurance:

• Goods must be fully insured against loss or damage during manufacture, transportation, storage, and delivery, as specified in SCC.

Taxes and Duties:

• Local suppliers are responsible for all taxes, duties, and levies until delivery.
• Foreign suppliers are responsible for all taxes, duties, and levies imposed outside South Africa.
• A valid tax clearance certificate from SARS is required before contract award.

Mandatory Compliance:

• Bidders must submit a valid, original tax clearance certificate issued by SARS prior to contract award. No contract will be concluded with bidders whose tax matters are not in order.

Prohibited Practices:

• Collusive bidding, bid rigging, corrupt practices, and fraudulent practices are strictly prohibited.
• Bidders found guilty of such practices may face contract invalidation, termination, public sector business restrictions (up to 10 years), or legal action.

• Suppliers must notify the purchaser in writing of force majeure conditions and continue performance as far as practical.

Termination Conditions:

• Contracts may be terminated for default if the supplier fails to deliver goods/services on time, breaches obligations, or engages in corrupt/fraudulent practices.
• Termination for insolvency is permitted without compensation to the supplier.
• Restrictions on doing business with the public sector may extend to associated enterprises, partners, or directors.

National Industrial Participation Programme (NIPP):

• The NIPP, administered by the Department of Trade and Industry, applies to contracts subject to NIP obligations.
• Compliance with NIPP requirements is mandatory for applicable contracts.

Delays in Performance:

• Suppliers must deliver goods and perform services according to the contract’s time schedule.
• If delays occur, suppliers must notify the purchaser in writing, detailing the delay’s duration and causes.
• The purchaser may grant extensions with or without penalties, formalized via contract amendment.
• Suppliers remain liable for penalties unless an extension is explicitly granted without penalties.
