Supply and maintain a public key infrastructure (pki) solution for the state security agency

Bid documents must include the General Conditions of Contract (GCC), which cannot be amended. Special Conditions of Contract (SCC) may supplement or override GCC where conflicts exist. Bidders must not engage in collusive bidding or bid rigging, as prohibited by the Competition Act No. 89 of 1998. Evidence of such practices may lead to invalidation of bids, contract termination, public sector restrictions (up to 10 years), or legal action. All bid-related documents and information must be treated as confidential unless prior written consent is obtained from the purchaser. Pre-bidding testing costs are the bidder's responsibility. Bidders must ensure compliance with all SCC and GCC clauses, as these form the binding contractual framework.

The scope involves the procurement of a Public Key Infrastructure (PKI) solution, including maintenance and support for five years. Goods and services must conform to the standards specified in the bidding documents. Suppliers must ensure all delivered goods are new, unused, and incorporate recent design and material improvements. A 12-18 month warranty applies, depending on delivery or shipment dates. Suppliers must provide packing sufficient to prevent damage during transit, including protection against rough handling, extreme temperatures, and precipitation. Delivery must comply with contract terms, and all shipping documents must be furnished as specified in the SCC. Suppliers may be required to provide incidental services such as on-site assembly, commissioning, maintenance, repair, training, and detailed operations manuals. Spare parts may also be required, with advance notification for production termination and provision of blueprints or specifications at no cost if requested.

Goods must conform to the standards specified in the bidding documents. The purchaser reserves the right to inspect, test, or analyze supplies at any stage of production or after delivery. Non-compliant supplies may be rejected, with costs borne by the supplier. Suppliers must permit purchaser inspections of records and premises during reasonable hours. Pre-bidding testing costs are the bidder's responsibility. If inspections reveal compliance, the purchaser covers the costs; otherwise, the supplier is liable. Suppliers must replace or repair defective goods at no cost to the purchaser upon notification.

Payment terms, methods, and conditions will be specified in the Special Conditions of Contract (SCC). Suppliers must submit invoices accompanied by delivery notes and fulfill all contractual obligations. Payments will be made in South African Rand (ZAR) within 30 days of invoice submission unless otherwise stipulated in SCC. Prices must align with the bid and cannot vary unless authorized by SCC or bid validity extensions. Performance security (e.g., bank guarantee, irrevocable letter of credit, or certified cheque) must be furnished within 30 days of contract award, denominated in the contract currency or a freely convertible currency. The security will be discharged within 30 days of contract completion, including warranty obligations. Penalties for delays will be calculated using the current prime interest rate on the delayed goods or services until delivery or performance. Suppliers are liable for all taxes, duties, and levies until delivery of goods.

Bidders must provide a valid tax clearance certificate issued by the South African Revenue Service (SARS) prior to contract award. No contract will be concluded with bidders whose tax matters are not in order. The National Industrial Participation Programme (NIPP) applies to all contracts subject to NIP obligations. Suppliers must comply with anti-dumping and countervailing duty regulations. Collusive bidding or restrictive practices are prohibited and may result in bid invalidation, contract termination, or public sector restrictions. Suppliers must indemnify the purchaser against third-party claims of patent, trademark, or industrial design infringement. All goods must meet local content and country-of-origin requirements as defined in the GCC.

The National Industrial Participation Programme (NIPP), administered by the Department of Trade and Industry, applies to contracts subject to NIP obligations. Bidders must comply with NIPP requirements as specified in the SCC or bidding documents.

Suppliers must notify the purchaser in writing of any delays in performance, including the cause and likely duration. The purchaser may grant extensions with or without penalties. Persistent delays may result in the purchaser procuring substitute goods at the supplier’s expense or terminating the contract. Suppliers remain liable for penalties unless delays are due to force majeure events.

Special Conditions of Contract (SCC) supplement the General Conditions of Contract (GCC) and take precedence in case of conflict. SCC will specify unique requirements for the PKI solution, including performance security amounts, delivery terms, inspection criteria, and incidental services. Bidders must review SCC carefully, as these conditions are binding and may include additional obligations not covered in GCC.
