Purpose: Appoint a service provider to conduct a comprehensive study and options analysis on the potential restructuring or disposal of the Western Cape Government’s shareholding in the Cape Town International Convention Centre (CTICC). Scope: 1) Stakeholder engagement: Inception alignment, core shareholder/governance engagements, market sounding, sector stakeholders, feedback loops. 2) CTICC performance review: Historical operational/financial assessment, investment intent review, expansion/market analysis, governance considerations. 3) Current contextual analysis: Financial/operational performance, independent market-based valuation, transaction options, risk/constraint identification. 4) Future strategic options: Scenario development, strategic/financial implications, shareholder options, decision-making criteria. 5) Regulatory/compliance framework: Process/approvals map, shareholder instruments, regulatory screening, due diligence protocols, templates/assurance, continuous improvement, record-keeping. 6) Final recommendation report: Executive summary, decision statement, options appraisal, valuation summary, strategic/economic impact, regulatory requirements, transaction approach, risk register, implementation roadmap, stakeholder implications. Deliverables: Must align with the Terms of Reference (ToR) and include all components listed above.
