Must have experience in transactional advisory services, feasibility studies, and PV manufacturing or related industries. Must demonstrate technical and financial capability to deliver the scope. B-BBEE: Valid B-BBEE certification is mandatory. Changes in B-BBEE status must be reported within 7 days; updated verification certificate must be submitted within 30 days. A decrease in B-BBEE status may result in contract renegotiation or termination. Failure to notify may lead to termination. SDL&I: Must commit to Skills Development, Localization, and Industrialization (SDL&I) obligations, including training and reporting. Penalties apply for non-compliance: 2.5% of every invoice (excluding VAT) or a bond equivalent to 2% of Contract Value. Legal: Must comply with South African laws, including Companies Act, Value Added Tax Act, and Occupational Health and Safety Act (e.g., asbestos regulations). Contract type: NEC3 Professional Services Contract Option G (Term contract, cost reimbursable). Pricing: Price for Services Provided to Date = Time Charge (staff rates × staff time) for time-based items + proportion of lump sum prices for other items. Expenses are separately claimed and must be listed in the Task Schedule or Contract Data. Payment terms: Invoices assessed on the 25th of each month. Payment within 30 days for QSE/Generic contractors, 14 days for EME contractors. Currency: South African Rand. Interest rate: Standard Bank of South Africa Limited’s prime rate for ZAR, LIBOR for other currencies. Delay damages: 0.05% per day of task order value, capped at 10%. Price adjustment for inflation (Option X1): Prices fixed for first 12 months, then adjusted using SEIFSA Index, Table D3 (CPI), with 15% fixed and 85% adjusted. Base index is one month prior to tender closing date.

B-BBEE: Valid certification required. Notify Employer within 7 days of any B-BBEE status change; submit updated certificate within 30 days. SDL&I: Skills development negotiated at task order stage; candidates sourced from South Africa. Penalties: 2.5% of invoice (excluding VAT) for non-compliance or a 2% bond of Contract Value. Evaluation Structure: Mandatory (gatekeeper) criteria and qualitative (weighted) criteria. Mandatory criteria: Must demonstrate ≥10 years of proven track record as a transactional advisor on large industrial/energy/manufacturing projects, with verifiable portfolio (project titles, locations, clients, values, durations, outcomes) and a signed client confirmation letter for a completed feasibility study. Failure on any mandatory criterion results in immediate disqualification. Qualitative criteria and weightings: Institutional capability and multidisciplinary coverage (20%) - Requires detailed organogram, CVs for all key personnel, signed statements of exclusivity/availability, certified copies of qualifications, and professional registrations (e.g., ECSA). Proven track record in transaction advisory and feasibility work (25%) - Must provide contactable references for comparable assignments (last 10 years), including project details and outcomes. Experience engaging relevant PV market participants (10%) - Must demonstrate structured engagement with OEMs, local manufacturers, technology licensors, industrial partners, investors/development finance institutions, and public sector institutions. Feasibility study methodology and understanding of scope (40%) - Must submit detailed technical proposal addressing: understanding of project/Eskom objectives, TA role, PV value chain assessment, mineral beneficiation, local industry development, site assessment (Camden + Eskom sites), modular financial modeling, ownership/partnership structuring, business/investment case preparation, Works Information for EPC, EPC-phase advisory, work plan (Gantt), QA/risk management, and IP/technology transfer frameworks. Independence and conflict management (5%) - Must provide: independence statement, conflict-of-interest disclosures for all entities/experts, conflict management plan, and confirmation of procurement fairness. Minimum threshold: 70% weighted score required to pass technical evaluation.

Project Objective: Appoint a Transactional Advisor (TA) to deliver a bankable feasibility study for a vertically integrated Solar PV manufacturing facility, including all supporting documentation, analysis, conceptual engineering, costings, and legal-structural frameworks. Scope of Work: Assess technical, financial, regulatory, and market conditions for a domestic solar PV manufacturing facility anchored in upstream silicon extraction and processing.
