Mandatory returnable: Fully complete and submit the E-Tendering Training Acknowledgement Form to Eskom. Failure to do so within the prescribed period will result in disqualification from the procurement process.

Mandatory form: Submission of the fully completed E-Tendering Training Acknowledgement Form is required. Training certification: Self-training certification (acknowledgement of understanding the e-Tendering Solution) is required. Disqualification: Non-submission or incomplete submission of the form will result in disqualification.

Submit a signed Acknowledgement Form (Annexure B) to confirm understanding of Eskom OHS requirements. The form must include: Company/Supplier Name, Name of Authorised Person (CEO/Director/Managing Director), Signature, Date, and Witness details. Failure to submit this form may result in disqualification.

Evaluation will consider: General: Must be a registered company or supplier capable of legal contracting. Must have experience in similar projects (AGC/RTU upgrades or power plant systems). OHS: Must demonstrate capability to comply with Eskom’s OHS standards and legal requirements. Must have processes to manage and ensure OHS compliance for all tiers of contractors/suppliers. Technical: Must possess the technical expertise and resources to execute the AGC and RTU upgrade project. Must provide evidence of past work or references for similar projects.

Main contractor/supplier must: Demonstrate process and selection criteria for appointing sub-contractors/suppliers. Notify Eskom prior to appointing sub-contractors/suppliers. Ensure sub-contractors/suppliers have adequate resources and competencies. Manage sub-contractors/suppliers to comply with legal and Eskom requirements. Monitor sub-contractors/suppliers via audits/assessments for OHS compliance. Provide grounds for termination of sub-contractor/supplier work. Address all non-conformances of sub-contractors/suppliers directly. Be prepared to provide testimonials/references and client contact details (including Eskom) for similar past work.

Mandatory compliance with: Eskom Contractor Health and Safety Requirements Standard 32-136. Eskom OHS specifications/requirements. Occupational Health and Safety Act. Compensation for Occupational Diseases and Illnesses Act. After contract award, align company processes with Eskom’s OHS policies, procedures, and standards. Ensure all employees (including contractors/suppliers) undergo Eskom induction. Penalties apply for non-conformance to Eskom or statutory OHS requirements by the main supplier, its contractors, or suppliers.

Evaluation will prioritise: 1. Demonstrated capability in power plant RTU systems, including design, engineering, and commissioning. 2. Certification of design by an ECSA-registered Professional Engineer or Technologist, with endorsement from the RTU OEM Design Authority. 3. Proven experience with IEC 60870-5-101/104 protocols, online changeover methodologies, and integration with ABB P14 DCS and Hitachi Energy MicroSCADA systems. 4. Completeness of financial and technical proposals — all identified costs must be included; omissions are at the contractor's risk. 5. Compliance with the South African Grid Code – Information Exchange Code (latest version).

Scope: Design, supply, installation, and commissioning of replacement RTUs for AGC and Generator Plant A and B at Arnot Power Station. Key requirements: 1. Contractor must design, engineer, manufacture, test, deliver, install, and commission fully integrated replacement RTUs, including hardware, firmware, software, configuration, cabling, and documentation. 2. Replacement RTUs must be compatible with: Hitachi Energy MicroSCADA, ABB P14 DCS, BME at HV Yard, and National Control. 3. Design must meet: >99.99% availability, maintainability standards, and a 15-year lifecycle. 4. RTU features: Modular, scalable, hot-swappable modules, support for IEC 60870-5-101/104 protocols, redundant CPU/power supply, and IP-rated racks per Eskom Standard 240-56355731. 5. Designs must be reviewed and approved by an ECSA-registered professional and the RTU OEM Design Authority. 6. Online changeover strategy required to maintain continuous plant operation, with phased module replacement and minimal downtime. 7. Contractor responsible for FAT, SIT, and SAT, including verification of signal exchanges with all interfaced systems. 8. Must reuse existing infrastructure (cubicles, cabling, Krone blocks) unless justified otherwise at tender stage. 9. Temporary works (e.g., power cables, interfaces) must be provided during changeover and removed at completion.

1. Design certification by an ECSA-registered Professional Engineer or Technologist. 2. Endorsement of design by the RTU OEM Design Authority. 3. Compliance with the South African Grid Code – Information Exchange Code (latest approved version). 4. Adherence to Eskom standards, including: 240-61478980 (Slave Device IEC 60870-5-101), 240-61478967 (Master Device IEC 60870-5-101), 240-56355731 (Environmental Conditions for Process Control Equipment), and 240-119416400 (Generation AGC Design Standard). 5. ISO 9001 or equivalent quality control standards for fabrication and assembly.

General: Applicants must be registered vendors with Eskom or meet Eskom’s supplier accreditation requirements. Compliance with South African B-BBEE policies (if applicable). Financial and technical capacity to execute an 18-month project at a large-scale power station. Technical: Proven track record in power plant automation, RTU upgrades, or AGC system integrations. Certifications in occupational health and safety (e.g., ISO 45001, OHSAS 18001). Experience working in high-risk industrial environments (e.g., coal power stations). Legal: Valid tax clearance certificates and company registrations in South Africa. Compliance with local labor laws and Eskom’s ethical sourcing policies.

Scope: Upgrade of Arnot Power Station AGC (Automatic Generation Control) and Generator Plant RTU (Remote Terminal Unit) systems. Duration: 18-month project period. Activities: Maintenance, repair, and upgrade of RTU systems. Integration with existing plant infrastructure. Ensuring compatibility with AGC systems. Work environment: Power station operational areas, including coal stock yards, staithes, bunkers, and control rooms. Key deliverables: Functional RTU systems, AGC integration, and documentation. Service levels: Continuous monitoring. Adherence to Eskom SHEQ (Safety, Health, Environment, Quality) standards. Compliance with ISO 45001:2018, ISO 14001:2015, and ISO 9001:2015.

SANS 10114 (Lighting). Additional: Basic Conditions of Employment Act 1997. HR overtime procedures. Eskom-specific procedures (e.g., 32-425 Hearing Conservation, 32-95 Medical Surveillance). PPE: Mandatory use of hearing protection (ear plugs, muffs, Variphones). Respiratory protection (FFP2 masks, charcoal-coated dust masks). Heat/cold stress PPE (overalls, boots, gloves, hats, visors). Illumination PPE (torches, portable lights).

Completion date for the whole of the works: 18 months from the starting date. Key milestones (aligned with the first accepted programme): submission of an acceptable scheme design, submission of an acceptable installation design, materials on site, issue of an acceptable project management manual and project quality plan, project risk assessment acceptance, and start of implementation. Defects date: 52 weeks after completion. Defect correction period: 1 week (extendable based on defect nature and agreement with the Project Manager). Programme submission: first programme due within two weeks of contract date. Revised programmes must be submitted at intervals no longer than two weeks.

Submit a fully completed C1.1 Form of Offer and Acceptance, including: all required signatures, dates, tenderer details (name, address, CIDB registration number if applicable). Submit one fully signed original copy of the agreement, including the Schedule of Deviations (if any), to Eskom within the specified period. Failure to submit a fully completed form may result in disqualification. Within two weeks of receiving the completed agreement, arrange delivery of securities, bonds, guarantees, proof of insurance, and other required documentation.

Evaluation is based on compliance with the following: Contractor must be a legally constituted entity. Joint ventures are permitted but all members are jointly and severally liable. Contractor must maintain its B-BBEE status; a decrease allows Eskom to renegotiate or terminate the contract. Contractor must provide required insurances as per Insurance Tables A and B. Contractor cannot cede, delegate, or assign rights/obligations without Eskom’s written consent. Contractor must adhere to strict ethics clauses prohibiting coercive, collusive, corrupt, fraudulent, or obstructive actions. Non-compliance may lead to termination.

Scope of work: Design, engineering, manufacture, assembly, testing, inspection, packing, and delivery to site of: AGC RTU, Generator Plant A RTU, and Generator Plant B RTUs. Replace obsolete RTUs with the latest intelligent controllers compatible with: existing Hitachi Energy Micro SCADA, existing BME System at the HV Yard, and existing ABB P14 DCS. Provide software and hardware interfaces for: AGC RTU to ABB P14 DCS, Hitachi Energy Micro SCADA, Generator Plant A RTU, Generator Plant B RTU, and BME system at the HV Yard. Provide software and hardware interfaces for Generator Plant A and B RTUs to Hitachi Energy Micro SCADA. Site: Arnot Power Station, within the boundaries of the Access Control Point. Works Information and Site Information are detailed in Part 3 (Scope of Work) and Part 4 (Site Information) of the contract documents.

Contract type: Priced contract with activity schedule under NEC3 Engineering and Construction Contract (ECC3). Pricing: Tendered total of the Prices (excluding VAT) must be provided in figures and words. Assessment interval: between the 25th day of each successive month. Currency: ZAR (South African Rand). Payment terms: 30 days after receipt of correct and undisputed tax invoice. For contracts valued above R50,000,000.00 (including VAT), payment term is 60 days. Contractor must provide a tax invoice within one week of receiving a payment certificate from the Project Manager. Interest rate: publicly quoted prime rate of Standard Bank of South Africa Limited (for ZAR) or LIBOR (for other currencies). Retention: 5% of the contract amount (retention-free amount is R0.00). Delay damages: 0.2% of the price of the delayed item per week, up to a limit of 10% of the price of the delayed item and cumulatively up to 10% of the total prices. Price adjustment for inflation: based on SEIFSA indices (15% fixed, 40% labour, 35% material, 10% transport).

B-BBEE: Contractor must notify Eskom within 7 days of any change in B-BBEE status. Updated verification certificate and supporting documentation must be submitted within 30 days of notification. Failure to notify may result in termination. If B-BBEE status decreases, Eskom may renegotiate or terminate the contract. Joint ventures/consortia: All members are jointly and severally liable. Key person with authority to bind the contractor must be notified to the Project Manager within two weeks of contract date. Composition of the joint venture cannot be altered without Eskom’s written consent. CIDB registration: Tenderer’s CIDB registration number must be provided in the Form of Offer and Acceptance. Confidentiality: Contractor must not disclose contract-related information without Eskom’s consent. Tax compliance: Contractor must comply with VAT Act requirements and include Eskom’s VAT number (4740101508) on all invoices. Health and safety: Contractor must comply with Construction Regulations 2014 and all applicable health, safety, and environmental laws. Asbestos: Contractor must adhere to Eskom’s Asbestos Standard and relevant regulations. Ethics: Prohibited actions (coercive, collusive, corrupt, fraudulent, obstructive) are strictly forbidden and may lead to termination. Insurance: Contractor must provide insurances as per Insurance Table A, covering loss/damage to works, equipment, and liability for property damage or bodily injury.

• Submit a fully completed Integrity Declaration Form (Annexure A) as part of the tender returnables.
• Provide truthful and detailed declarations of interest, including relationships with Eskom employees, contractors, consultants, or directors involved in tender evaluation, adjudication, or negotiation.
• For joint ventures, attach a copy of the joint venture agreement stating all partners are jointly and severally liable and authorising a lead partner.
• Failure to complete the form truthfully or disclose required information may result in disqualification and action by Eskom.

• Bidders will be disqualified if listed on National Treasury's Database of Restricted Suppliers or the Register for Tender Defaulters.
• Bidders (or their directors/members/shareholders) will be disqualified if convicted of fraud or corruption in procurement processes in the past five years.
• Bidders must disclose any relationships with Eskom employees, contractors, consultants, or directors involved in the tender process.
• Eskom employees/directors acting as tenderers must provide proof of authorisation for remunerative work outside public sector employment.

• The scope requires completing a detailed Integrity Declaration Form (Annexure A).
• The form mandates disclosure of: - Relationships between tenderer’s personnel and Eskom employees/contractors/consultants/directors involved in the tender process. - Shared controlling partners or relationships with other tenderers in this process. - Convictions for fraud/corruption in procurement processes in the past five years.
• For joint ventures: - Attach a joint venture agreement. - The agreement must state all partners are jointly and severally liable. - The lead partner must be authorised to incur liabilities, receive instructions/payments, and execute the contract on behalf of all partners.

• Declare any interest where tenderer’s employees/directors are also employed by the State, a state-owned entity, or Eskom.
• Declare if the tenderer shares a controlling partner or has a relationship with other tenderers in this process.
• Confirm the tenderer is not listed on National Treasury’s Database of Restricted Suppliers or the Register for Tender Defaulters.
• Declare any convictions for fraud or corruption related to procurement in the past five years.
• For joint ventures, a compliant joint venture agreement is a required attachment.
