Evaluation uses an 80/20 split (Price: 80 points, Preference: 20 points). Minimum threshold: 60/100 for functionality to qualify for Price and Preference evaluation. Criteria and weighting: (1) Experience: ≥3 Board evaluations for state-owned companies (10 points). (2) Project Manager qualifications: NQF 8 postgraduate or equivalent (10 points). (3) Project Manager experience: >10 years = 30 points, 5-10 years = 20 points, <5 years = 0 points. (4) Project Lead experience: >10 years = 30 points, 5-10 years = 20 points, <5 years = 0 points. (5) Project plan: Completion within 60 days = 20 points, >60 days = 0 points. Preference points: B-BBEE Status Level (Level 1: 5, Level 2: 4.5, Level 3: 4, Level 4: 3, Level 5: 2, Level 6: 0.5, Level 7: 0.3, Level 8: 0.1). Additional 5 points each for Black youth majority-owned, Black women majority-owned, or majority-owned by people with disabilities.

Scope: Provide professional services for the evaluation of the Airports Company South Africa (ACSA) Board of Directors and its Committees for FY2024/25 and FY2025/26. Objectives: (1) Assess Board performance in FY2024/25 and provide recommendations. (2) Evaluate Board performance for FY2025/26 as a collective. (3) Evaluate effectiveness of individual Board members, including Chairperson, Committees, and their Chairs. (4) Identify strengths, weaknesses, and areas for improvement in Board processes and dynamics. (5) Evaluate compliance with corporate governance codes and legislative requirements. (6) Provide actionable recommendations for enhancing Board effectiveness. Deliverables: (1) Project plan with approach, methodology, and timelines. (2) Confidential interview summaries and thematic analysis (non-attributable). (3) Comprehensive Board evaluation reports for FY2024/25 and FY2025/26, including findings, conclusions, and recommendations. (4) Executive summaries for Integrated Report, Shareholders, and AGM presentation. (5) Facilitation of feedback discussions with the Board. Methodology: Must include qualitative and quantitative data collection, interactive facilitation techniques, and clear evaluation criteria. Timeline: FY2024/25 analysis within 4 weeks of appointment; FY2025/26 evaluation within 12-16 weeks of appointment. Expert Requirements: (1) Service provider must have >7 years of Board evaluation experience. (2) Project Manager must have NQF 8 postgraduate qualification or equivalent and >7 years of experience. (3) Excellent communication, facilitation, and report-writing skills. (4) Provide company profile, credentials, proposed methodology, work plan, project team details, and references from previous Board evaluation assignments.

Submit pricing using the prescribed schedule only. Include costs for: (a) Board Evaluation, (b) Committee Evaluation (6 committees), (c) Individual Directors (12 directors), (d) Board Chair Evaluation, (e) Committee Chairs Evaluation (6 chairs), (f) CEO Evaluation, (g) Company Secretary Evaluation. Add 15% VAT if applicable. Total must be clearly stated. Disbursements (e.g., accommodation, travel) will be reimbursed at actual cost; provide proof of expenses. Failure to use the prescribed pricing schedule may result in disqualification.

Mandatory compliance: (1) Tax Compliance: Submit SARS Tax Compliance Status (TCS) PIN or CSD number. Apply for TCS PIN via SARS e-Filing (www.sars.gov.za). If no TCS PIN, provide CSD number.
