• Walls: Four custom-fit walls in classrooms D1, D2, D3, D4 with precise dimensions (see table). You must account for trunking, skirting, doors, windows, and beams.
• Design Theme: Must align with a Fourth Industrial Revolution (4IR) theme, incorporating modern digital tech, AI imagery, and network graphics.
• Image Quality: Final print files must be high-resolution and professional.
• Licensing: All stock imagery used must be fully licensed; watermarked drafts must be replaced with licensed, production-ready assets.
• Client Collaboration: The quoted cost must include graphic design setup fees and a minimum of two rounds of layout revisions for client approval.
• Installation: Professional on-site installation at the Mossel Bay Campus is required.
• Inspections: The purchaser reserves the right to inspect goods and services; non-compliance may lead to rejection at the supplier's cost.

• Variation Orders: For changes not exceeding 15% of the original contract value, the contractor may be instructed to proceed. For measurable quantities, unit price reductions may be requested, provided there is no price escalation.

• The bidder must be qualified and experienced in providing the goods/services offered. The Certificate of Independent Bid Determination (SBD 9) requires bidders to confirm they have not colluded with competitors.

• Inspections & Tests: The purchaser may inspect goods at any stage. Pre-bid testing is at the bidder's cost.
• If inspections show compliance, the purchaser bears the cost; if non-compliance, the supplier bears the cost.
• Non-compliant goods may be rejected and must be replaced immediately at the supplier's cost.

• You must provide a detailed price schedule, all-inclusive of VAT, valid for 90 days. Items include supply/installation for four walls, graphic design setup (min. 2 revisions), on-site installation, and transport to Mossel Bay.

• Pricing: Your quoted price must be all-inclusive, covering design, material, fabrication, delivery, and on-site installation.
• VAT: All prices must include VAT at 15%.
• Validity: Your price must remain valid for 90 days.
• Price Schedule: You must complete the provided pricing schedule with a detailed breakdown for each item:
• Supply and installation for each of the four walls.
• Graphic design concept creation and setup fees (min. 2 revisions).
• Professional on-site installation charges.
• Transport and travel costs to Mossel Bay Campus.
• Payment Terms:
• Payment will be made in Rand.
• Invoices must be submitted by the 1st business day of a month for payment by the end of that month.
• Payment is via electronic transfer, subject to submission of correct, original tax invoices and supporting documents.
• No penalty interest is payable for late submission of invoices.
• Variation Orders: Contract variations up to 15% of the original contract value may be instructed without a price escalation.

• Tax Compliance: You must be tax compliant. Submit your SARS Tax Compliance Status PIN or CSD number. No contract will be awarded to a bidder with tax matters not in order.
• B-BBEE: Submit a valid B-BBEE Status Level Verification Certificate from a SANAS accredited agency, or a sworn affidavit (for EMEs & QSEs) to qualify for preference points.
• Company Registration: Submit CIPC company registration documents, share certificates, and a shareholding breakdown per race and gender.
• Municipal Compliance: Your municipal rates and taxes must not be in arrears.
• Central Supplier Database (CSD): You must be registered on the CSD and provide your CSD number.
• Declaration of Interest: Complete SBD 4, declaring any relationships with state employees involved in the evaluation.
• State Employees: No bids will be considered from persons in the service of the state, or companies with directors who are state employees, without the appropriate authority.
• Foreign Suppliers: Foreign bidders must complete a questionnaire; if not liable for RSA tax, a TCS PIN is not required.

• Warranty: Goods are warranted to be new, unused, and defect-free for 12 months after delivery acceptance or 18 months after shipment, whichever is earlier. Defects will be repaired/replaced at no cost.
• Payment: Payment will be made within 30 days of a valid invoice, accompanied by a delivery note.
• Prices: Contract prices may not vary from bid prices except for authorised adjustments.
• Assignment & Subcontracting: You may not assign the contract without prior written consent. You must notify the purchaser of any subcontracts.
• Delays & Penalties: Delays may result in penalties calculated using the prime interest rate per day of delay. The purchaser may terminate for default.
• Termination: The purchaser may terminate for default, insolvency, or corrupt/fraudulent practices. Restriction from public sector business for up to 10 years may apply.
• Force Majeure: Not liable for delays due to force majeure events if promptly notified.
• Disputes: Attempt amicable resolution, then mediation, then South African courts.
• Liability: Supplier's aggregate liability is limited to the contract price, excluding cost of repairing defective goods.
• Governing Law: South African law applies; contract is in English.
• Taxes: Local suppliers responsible for all taxes until delivery; foreign suppliers responsible for taxes outside RSA.

7. Remuneration

▪ Original, detailed, correct and complete tax invoices, monthly statements (where applicable), VAT registration

numbers (where applicable), verification of bank details (in the format required) and any other relevant

supporting documents must be submitted to SCC after it has acknowledged receipt in writing of the services

procured or goods received, to its satisfaction.

▪ Tax invoices and all necessary supporting documents contemplated in (i) above must be submitted to SCC by

the 1st (first) business day of a calendar month in order for payment to be effected by the end of the same

calendar month. Otherwise payment shall be effected by the end of the following calendar month. Payments

shall furthermore only be made on condition that the required documentation submitted are the originals,

correct and complete.

▪ No penalty interest shall be permitted to be charged in the event of the requirements referred to in (i) and (ii)

above not being complied with.

▪ Payment shall be effected by electronic bank transfer or any other method of payment decided to be used by

SCC from time to time and at the Fund’s sole discretion.

▪ Payment shall furthermore be subject to SCC standard Special Terms and Conditions of Contract, which if

applicable shall prevail over this clause in all instances; and a copy whereof shall be furnished upon request.
