• Constraints:

• Meetings: Specialist meetings must be minuted and records submitted to the Employer’s Agent within 5 days. Minutes are not for confirming contract actions/instructions.
• Travel and subsistence: Must comply with Eskom’s Standard Travel and Subsistence guidelines. Claims require pre-approval and detailed supporting documents, submitted within 2 months of incurrence.
• Travel rates: R4.95/km for business travel exceeding 50 km/day; 3-star accommodation (bed and breakfast) for up to 6 months; economy flights; meal claims capped at R96.00 (VAT + gratuity) per meal; no alcohol.
• Cost containment: Must comply with National Treasury Cost Containment Instruction Notes.

• Contract type: NEC3 Professional Services Contract (PSC3) Option G (Term contract) – Cost reimbursable.
• Pricing structure:

• Time Charge: Staff rates multiplied by time spent on work (as per Task Schedule).
• Lump sum prices: For non-time-based items on the Task Schedule.
• Expenses: Separately calculated and added to the amount due. Only listed expenses in the Task Schedule are claimable; all other costs must be included in staff rates.

• Pricing data:

• Consultant must provide staff rates (hourly) for all skill levels (e.g., Director, Senior Manager, Investigator, Specialist Services).
• Specialist services priced per unit (e.g., digital forensics per device, polygraph per person, handwriting analysis per page).
• Payment milestones: 10% on project plan finalisation, 20% on draft report submission, 70% on final report sign-off.
• Post-investigation support (e.g., testifying at hearings) charged at hourly rates of required team members.

• Payment terms:

• Invoices must include Eskom’s VAT number (4740101508).
• Payment period: 30 days after receipt of invoice for QSE/Generic suppliers; 14 days for EME suppliers.
• Currency: South African Rand (ZAR).
• Interest on late payments: Publicly quoted prime rate of Standard Bank of SA at the time the amount was due.

• Price adjustment: Annual escalation using Consumer Price Index (CPI) as published by Statistics SA, applied on Task Order anniversary dates.
• Sub-contracting: 20% of the contract value must be sub-contracted for supplier development. Main consultant must use sub-consultant resources to empower them.
• Cost containment: All expenses must comply with National Treasury Cost Containment Instruction Notes.

• Legal registration: Must be a legally registered entity in South Africa (CIPC registration required).
• B-BBEE: Must maintain valid B-BBEE verification certificate. Notify Eskom within 7 days of any change in B-BBEE status and submit updated certificate within 30 days. Degradation in B-BBEE status may lead to contract renegotiation or termination.
• Joint ventures/consortia: All members are jointly and severally liable. Must notify Eskom of the key person authorised to bind the group within 2 weeks of Contract Date. Changes to group composition require written consent.
• Skills Development & Supplier Development:

• Train 1 candidate per R10M cumulated through task orders. Candidates must be from previously disadvantaged groups (unemployed graduates, FET/college matriculants). Composition must reflect SA demographics.
• Sub-contract 20% of the contract value to empower sub-consultants. Failure to meet these requirements may result in termination.

• Tax compliance: Must comply with the Value Added Tax Act. Include Eskom’s VAT number (4740101508) on all invoices.
• Insurance: Must maintain the following (as per Annexure A and clause 81.1):

• Professional indemnity insurance: Cover for failure to use skill and care normally used by professionals (no limit on claims).
• Public liability: Cover for death/bodily injury (non-employee) or property damage (no limit per occurrence).
• Employer’s liability: Cover for employees as prescribed by COIDA, plus common law liability (minimum R500,000 per claim).

• Ethics and anti-corruption:

• Prohibited actions: Coercive, collusive, corrupt, fraudulent, or obstructive actions (e.g., bribery, falsifying evidence, destroying records).
• Grounds for termination: Any offer, payment, or benefit constituting illegal/corrupt practice; conviction by a court or regulatory body for such practices; removal from Eskom’s approved vendor database.
• Must cooperate fully with investigations into alleged prohibited actions.

• Confidentiality: Must not disclose contract-related information without Eskom’s consent. Prior written consent required for taking images of Eskom’s project works. All rights to such images vest with Eskom.
• Cession and assignment: Cannot cede, delegate, or assign rights/obligations without Eskom’s written consent.
