• Replacement personnel must be of equivalent calibre and experience to those replaced.
• Transnet must approve any replacement before the person starts providing the services; approval may not be unreasonably withheld or delayed.
• The Service Provider must use reasonable efforts to keep assigned personnel on the contract.

Quality and certifications

• All renewable certifications, including the B-BBEE verification certificate, must stay valid for the whole term; failure allows Transnet to terminate without liability.
• Services must comply with the specifications in Schedule 1.
• Service levels, deliverables, key performance indicators and performance standards are governed by the Service Level Agreement.
• Missed milestones caused by the Service Provider attract a penalty of 3% of the monthly invoice.

Pricing

• Fees are detailed in the relevant schedule or Work Order; Schedule 2 of the agreement covers pricing.
• Materials are charged to Transnet only where listed in a Work Order and accepted, at cost.
• Price adjustments are governed by clause 18 of the agreement.

Pricing

• Materials are not invoiced to Transnet unless listed in a Work Order and accepted, in which case they are charged at cost.

Penalties

• Service Level Agreement non-compliance: 3% of the monthly invoice where milestones are missed through the Service Provider's fault.
• Undeclared subcontracting: penalty of up to 10% of the contract value.
• Subcontracting shortfall: 100% of the undelivered subcontracting value plus an additional 10%.
• Job creation shortfall: 2% of the contract value for each job not created.
• Non-compliance penalty certificates are issued 90 business days before contract expiry; payment is due within 10 business days of a valid tax invoice, failing which Transnet may set the amount off against the following month's account.
• Penalties exclude VAT; VAT on penalties is for the Service Provider's account.
• No bid security or performance guarantee is stated in this agreement.

Registration and status

• Valid tax clearance compliance must be maintained for the duration of the agreement.
• B-BBEE status details and proof must be submitted to Transnet's Contract Manager at the beginning of March each year.
• Any reduction in B-BBEE status, or a restructure or change of control affecting it, must be reported to Transnet with full details.
• Underlying B-BBEE data must be provided within 30 calendar days of a written request; failure is a default.
• All renewable certifications, including the B-BBEE verification certificate, must remain valid throughout the term; failure entitles Transnet to terminate without liability.
• The Service Provider must not be listed on Transnet's Database of Restricted Suppliers.
• Compliance with the Transnet Supplier Integrity Pact is required.
• Compliance with the Income Tax Act, VAT Act and other tax legislation, including PAYE, is required.
• Compliance with the Occupational Health and Safety Act and South African labour legislation is required.
• Compliance with the National Railway Safety Regulator Act and the Schedule 1 specifications is required.
• An environmental management policy and compliance with environmental legislation are required.
• Subcontracting requires Transnet's prior approval; no more than 25% of contract value may go to an enterprise with a lower B-BBEE status than the Service Provider, unless it is an EME with the capability to perform.
• Job creation commitments made in the bid are binding.

Health and safety

• Compliance with the Occupational Health and Safety Act and related South African labour legislation is mandatory.
• Services must meet the railway safety requirements and regulations under the National Railway Safety Regulator Act, as set out in Schedule 1.
• Proposed subcontractors are assessed for their ability to meet railway safety requirements before approval.
• Transnet may review safety-related activities, including coordination across the Service Provider's organisation, during the term.
• Personnel must follow Transnet's security regulations, policy standards, codes of practice and health and safety requirements on site.
• Personnel must be entitled to work in South Africa.

Environmental requirements

• The Service Provider must comply with all applicable environmental legislation and regulations.
• It must demonstrate sound environmental performance.
• It must hold an environmental management policy covering procurement, production, packaging, delivery, use and disposal of its products and services in an environmentally appropriate way.
• The bid must set out the Service Provider's position on waste disposal, recycling and energy conservation.

Term

• Twelve (12) months from the commencement date, unless terminated earlier or extended at Transnet's option.
• Either party may cancel without cause on 30 calendar days' written notice; Purchase Orders placed before cancellation remain valid.
• Written amendment suggestions to the Schedule of Requirements or Work Orders are answered within 14 business days.
• The Master Agreement prevails over conflicting terms in a Schedule of Requirements, Work Order or Purchase Order.

Subcontracting

• Subcontracting or replacing a subcontractor requires Transnet's approval.
• Undeclared subcontracting may attract a penalty of up to 10% of contract value.
• Transnet may obtain input from the original subcontractor before approving a replacement.
• The Service Provider remains liable for all subcontracted performance.
• Transnet may, at its sole discretion, pay a subcontractor directly against an undisputed invoice and written confirmation from the Service Provider.

Dispute resolution

• Disputes are first negotiated within 10 business days.
• Unresolved disputes go to arbitration under AFSA rules, held in Johannesburg.
• The parties irrevocably consent to this process.

Other

• Neither party may bind the other or create liability on its behalf.
• Confidentiality, personal information protection, intellectual property, insurance and limitation of liability provisions apply.
• Business Day means Monday to Friday, 07:30 to 16:00, excluding public holidays.

B-BBEE and socio-economic obligations

• B-BBEE status details and proof must be submitted to Transnet's Contract Manager at the beginning of March each year.
• Any reduction in B-BBEE status, or a restructure or change of control that could negatively affect it, must be reported with full details.
• Underlying B-BBEE data must be supplied within 30 calendar days of a written request; failure is a default.
• A change in B-BBEE status is dealt with under the breach and termination clause.
• Subcontracting more than 25% of contract value to an enterprise with a lower B-BBEE status is prohibited unless it is an EME able to perform.
• Job creation commitments made in the bid are binding; each job not created attracts a penalty of 2% of contract value.
• Subcontracting shortfalls attract a penalty of 100% of the undelivered value plus 10%.

Annexure F is a Non-Disclosure Agreement between Transnet SOC Ltd and the bidding company, governing information exchanged for the bid and for any resulting contract.

Key obligations

• On written demand from Transnet, the company must return all written confidential information and its copies, and expunge or destroy it from any computer or device, within 7 days.
• On request, the company must provide a certificate signed by a director confirming that the information has been destroyed or expunged.
• Neither party may announce or disclose its interest in the bid, or use the other party's name for publicity or marketing, without the other's prior written consent.

Returnable document

• Annexure F (Non-Disclosure Agreement): must be signed by the bidder and submitted with the bid response; the bidder signs as principal, not as nominee, agent or broker.

Submission

• The NDA forms part of the bid response pack; no separate submission channel, address or closing time is stated in this annexure.

Annexure F is a Non-Disclosure Agreement between Transnet SOC Ltd and the bidder covering the definition of confidential information, confidentiality and permitted-disclosure obligations, secure storage and record-keeping, return or destruction of information on demand, a 5-year survival period, no assignment without consent, severability, no partnership or joint venture, and South African law with exclusive jurisdiction of the South African courts.
