The Eskom Supplier Integrity Pact (document 240-113650212, revision 2) applies to Eskom Holdings SOC Ltd and all its wholly owned subsidiaries, and to all existing and potential suppliers (natural or juristic persons) registered on the Eskom Vendor Database. It prescribes ethical behaviour for all interactions, supplementing other commercial and ethics policies. Suppliers must read the Pact and complete, sign and submit the Integrity Declaration Form for every procurement process. Both parties commit to refrain from dishonesty, fraud, corruption, and anti-competitive practices such as under-pricing, collusion and bid-rigging. • Disclose any interest/relationship with Eskom employees/directors that may affect tender award decisions; update disclosure if discovered after participation.
• Limit gifts/courtesies to R1 500 and avoid any that could imply obligation or improper influence.
• Not offer or request bribes, gifts, fees, commissions or inducements to/from Eskom employees/directors involved in evaluation/adjudication/negotiation.
• Not enter dishonest/illegal agreements with other tenderers (collusion, bid-rigging, under-pricing); complete the Integrity Declaration Form incorporating a Declaration of Fair Tendering Practices for each tender/RFQ.
• Accept subjection to Eskom’s supplier discipline process; sanctions may include suspension from the Eskom Vendor Database and referral to National Treasury’s List of Restricted Suppliers.
• Report any dishonest, fraudulent or inappropriate behaviour by Eskom employees/directors via the ethics channels above.

Eskom obligations:

• Treat all tenderers fairly, transparently, equitably, cost-effectively and competitively.
• Require employees/directors to complete annual Declaration of Interest (DOI) and additional DOI/NDA when involved in procurement.
• Ensure gifts received are declared, recorded and authorised; evaluation personnel may not accept benefits from tenderers.
• Exclude conflicted employees/directors from evaluation/negotiation.
• Implement supplier discipline process for contraventions; investigate, allow representation, then impose sanctions and/or refer to National Treasury.
• Prohibit employees/directors from having any direct/indirect personal or beneficial interest in Eskom contracts.

The Pact is governed by South African law. Its provisions are without prejudice to other civil or criminal proceedings. It remains valid until replaced; if any provision is invalid, the rest remains in force. Eskom may invoke the Supplier Discipline Process for any contravention, misconduct, or bad faith by a supplier or Eskom employee/director. After investigation and opportunity for representation, Eskom may suspend the supplier from the Vendor Database, impose other sanctions, and forward the supplier’s and its directors’ names to National Treasury for inclusion on the List of Restricted Suppliers. Eskom employees/directors are prohibited from having any direct or indirect personal or beneficial interest in any Eskom contract, including third-party linked transactions.

Rejection and correction:

• If the Supplier fails to comply, Eskom may reject goods or works by written notice, specifying the reason and whether replacement or rework is required.
• For rejected goods, Eskom may return them at the Supplier's risk and expense. The Supplier must replace or reimburse; otherwise, Eskom may obtain replacements from a third party at the Supplier's cost.
• For works or services, the Supplier must correct non-conformances. If delayed, Eskom may have the work corrected by a third party at the Supplier's cost.

Payment terms:

• Eskom pays within 30 days after receiving a correct tax invoice.
• The tax invoice must include Eskom's VAT registration number (4740101508).
• Prices may include a price adjustment calculated per a formula in the agreement.
• Payment may be in any currency; one exchange rate is used for conversion to ZAR.
• Payment in a currency other than ZAR must not exceed the amounts stated in the agreement.
• The Supplier must complete Eskom's CPA (IG) form.

Delivery and acceptance:

• Delivery means delivering goods or completing work at the specified point or site on or before the stated date.
• Late delivery or completion may incur a penalty.
• No payment is made if goods or services are not provided as agreed.
• The Supplier must: mark packages with name and destination, include a packing note; send an advice note with transport details; send a tax invoice after delivery; state the agreement number on all communications; state whether delivery cost is included in the price (otherwise it is deemed included).
• No payment is made for containers or packing materials unless stated.
• Goods, works, or services are subject to Eskom's approval. Eskom may inspect or test at any stage. If Eskom does not notify acceptance, it is deemed accepted.

Contractual conditions:

• Indemnity: The Supplier indemnifies Eskom against claims from negligence, IP infringement, breach of statutory duty, or defective design, materials, or workmanship.
• Warranty: Goods, works, or services must be fit for purpose and free from defects for one year from acceptance (unless otherwise stated). The Supplier must rectify defects within an agreed period at no cost.
• Assignment and subcontracting: Neither party may cede or delegate rights without written consent. Eskom may cede to its subsidiaries.
• Statutory requirements: The Supplier must comply with all relevant statutory requirements. The agreement is governed by South African law, and the parties submit to SA court jurisdiction.
• Breach: If a breach is not remedied after written notice, the non-defaulting party may terminate.
• Termination: Eskom may terminate if the Supplier defaults, becomes bankrupt, or is in financial circumstances that prejudice performance.
• Ethics: Eskom expects the highest ethical standards from its suppliers.
