• Occupational Health, Safety and Environmental (OHSE) Agent services for the supply, installation, and rehabilitation of aerial optic fibre network in Gauteng region at all signalling equipment rooms, depots, electrical substations, ticket offices, and PRASA buildings on an as and when required basis.

• Compulsory briefing session and site visit on 07 July 2026 at 12:00pm at Centurion PRASA Station.
• Site visit is compulsory; all attendees must wear PPE.

• Mandatory returnable documents must be submitted; failure results in disqualification.
• Include signed bidder declaration with proof of authority (e.g., company resolution).
• Ensure all required documents, certificates, and warranties are complete; incomplete bids will be disqualified.

• Company must have experience in construction-related OHSE projects.
• Provide details of completed projects (minimum value R350k each) with reference letters and proof of award.
• CVs for Construction Health and Safety Agent and Officer must show construction safety experience (scored based on years).

• Qualifications for key personnel must be SAQA approved for appropriate NQF level.
• Professional registration with SACPCMP is mandatory for Construction Health and Safety Agent and Officers.
• Attendance at the compulsory briefing session is required; failure to attend leads to disqualification.

• Complete the attached Pricing Schedule Annexure and Bill of Quantities (Annexure B).
• Prices must be in South African Rand, inclusive of taxes.
• Deviation from the pricing schedule could result in a non-responsive bid.

• OHSE services are required for the aerial optic fibre network project.
• Key personnel must include a Construction Health and Safety Agent (PrCHSA) and Construction Health and Safety Officers (PrCHSO).
• Personnel must have construction safety experience and SACPCMP registration.
• Attendees at the compulsory site visit must wear PPE.

• Warranty: Supplier warrants items are fit for purpose and free from defects for one year from acceptance (unless another period is stated).
• Indemnity: Supplier indemnifies PRASA against claims arising from negligence, infringement, or defective design/materials.
• Subcontracting: Requires prior approval from PRASA; the successful respondent remains liable for performance.
• Governing Law: Contract is governed by South African law; parties submit to non-exclusive jurisdiction of South African courts.
• Disclosure: Bidders must declare any state employment, relationships with procuring institution, or interests in other enterprises.
• General Conditions: PRASA General Conditions of Purchase apply.
• Changes: No changes to quotations after closing date.
• PRASA reserves the right to modify the RFQ, reject non-conforming quotations, or cancel the contract if information is incorrect.

• Do not include documents or references from other quotations.
• No canvassing of SCM officers or PRASA employees between closing date and award.
• PRASA will process bid information only for evaluation and award.
• Bid validity is 60 working days; extension may be requested.
• Award details will be published on the e-tender portal.

• Foreign suppliers must answer a questionnaire regarding residency, branch, establishment, income, and taxation in RSA.
• If answer is 'no' to all, registration for a tax compliance status PIN is not required.
• Bids must be submitted on official forms, subject to Preferential Procurement Policy Framework Act and Regulations.
• Tax compliance: Submit SARS Pin or TCS certificate; if consortia/JV/sub-contractors involved, each party must submit separate proof.
• Persons in the service of the state are disqualified.

• PRASA uses a three-stage evaluation: Compliance, Technical/Functionality (threshold 60%), and Price and Specific Goals (80/20 system).
• Specific goals include B-BBEE and ownership criteria for preference points.

• The bidder must be legally appointed as a Pr Construction Health and Safety Agent (PrCHSA) and provide a full‑time Pr Construction Health and Safety Officer (PrCHSO).
• Demonstrate extensive knowledge and experience applying the OHS Act, Construction Regulations 2014, NEMA, and railway‑specific standards such as SANS 3000 and SPK 7/1.
• Show evidence of previous work in similar railway environments and the ability to manage high‑voltage and lock‑out procedures.
• Provide a clear plan for drafting site‑specific Safety, Health and Environmental (SHE) specifications and risk registers.

• Provide a Pr Construction Health and Safety Agent (PrCHSA).
• Provide a full‑time Pr Construction Health and Safety Officer (PrCHSO).
• Draft site‑specific Safety, Health and Environmental (SHE) specifications.
• Undertake construction work as required.

• Apply for construction work permits on behalf of PRASA.
• Draft and review risk registers as required.
• Ensure compliance with Section 37.2 of the OHS Act.
• Assess contractor’s Health and Safety Plan, ensuring it meets specifications, addresses hazards, and includes method statements.
• Direct contractors to correct non‑compliant plans.
• Maintain Health and Safety Plan and related records in the contractor’s SHE file.
• Conduct inductions as required.
• Ensure the Environmental Management Plan (EMP) complies with specifications and addresses hazards.
• Manage occupations and permits, including high‑voltage and lock‑out procedures.
• Scrutinise construction process flow with the PRASA team to ensure interface and safe railway operations per SANS 3000.
• Avoid interference or damage to surrounding services.
• Audit contractor’s work monthly, enforce compliance, and stop work if non‑compliant.
• Attend project meetings and produce reports.
• Approve sub‑contractor SHE files per PRASA guidelines.
• Provide safety information for design changes and additional work.
• Ensure compliance with Construction Regulations 2014, OHS Act, NEMA, and Heritage Act.
• Facilitate cooperation among all contractors.
• Provide task risk assessments for additional work.
• Report incidents and compile incident reports.
• Familiarise with SPK 7/1 and other relevant regulations.
• Ensure principal contractor complies with contract and legislation.
• Conduct method statements, risk assessments, toolbox talks, and DSTIs.
• Ensure occupational permits and electrical safety instruction procedures.
• Track site access certificate expiry and renew.
• Evaluate consolidated SHE file before handover.
• Clear and rehabilitate construction site.
• Submit close‑out report at project end.

• Facilitate cooperation among all contractors appointed by the principal contractor.

• Comply with the Heritage Act.

• Track expiry of Site Access Certificate and apply for renewal in advance.

• This is a consultancy agreement for the provision of Occupational Health, Safety and Environmental (OHSE) Agent services.
• The services are for the supply, installation, rehabilitation of aerial optic fibre network in Gauteng region at PRASA facilities on an as-and-when-required basis.
• The Agreement includes standard clauses on interpretation, warranties, co-operation, services, payment, invoicing, joint liability, insurance, intellectual property, place of service, breach, termination, force majeure, notices, confidentiality, dispute resolution, governing law, costs, variations, severability, counterparts, entire agreement, limitation of liability, cession/subcontracting, public relations, penalties, independent status, and POPIA compliance.

• Main Experts proposed in the offer cannot be replaced without written agreement of the Client Representative.
• Replacement experts must have at least the same qualifications and experience. If equivalent not found, PRASA may cancel contract or accept replacement with conditions.
• First replacement of a Main Expert results in a 10% deduction of the rate for that position. Further rate reductions apply if replacement's CV is inferior.

• Contract value is as per rates in Annexure B (Bill of Quantities), inclusive of VAT.
• Payment schedule is linked to Annexure B.
• Invoices must be issued per the payment schedule, include VAT number, Consultant details, bank account, be a valid tax invoice, and show PRASA vendor number.
• Payment is made 30 days after invoice receipt.

29.4.1 any transfer of any amount of shares of the Consultant;

29.4.2 any change in the composition of the Consultant;

29.4.3 any change in the ownership of the Consultant;

29.4.4 any material change in the constitution, memorandum, articles of association

of similar document providing for the creation, formation or incorporation of

the Consultant; or

29.4.5 any change on the BBBEE component of the Consultant

• The Consultant must provide OHSE Agent services including: One Pr Construction Health and Safety Agent (PrCHSA) and one full-time Pr Construction Health and Safety Officer (PrCHSO).
• Key duties: Draft site-specific Safety Health and Environmental Specifications; apply for Construction Work Permits; draft/review Risk Registers; ensure Section 37(2) OHS Act agreement; assess Contractor Health and Safety Plans for compliance and hazard mitigation; conduct inductions; manage Occupations and Permits including High Voltage Lock-out Procedures; audit Contractor work monthly; attend project meetings; ensure sub-contractor SHE Files approved; ensure compliance with Construction Regulations 2014, OHS Act, NEMA; ensure Method Statements, Risk Assessments, Toolbox Talks, DSTIs are conducted; evaluate Contractor SHE File before handover; ensure site clearance and rehabilitation; submit Close-Out Report.
• The Agent must be familiar with SPK 7/1 specification for works near railway lines and high voltage equipment.
• In event of fatality/permanent injury, ensure compliance with OHS Act Section 24 and Regulations 8 and 9 of General Administrative Regulations 2014.

• The Consultant must ensure compliance with Environmental Management Plan (EMP), Construction Regulations, NEMA and all its Regulations.
• The scope includes ensuring the Principal Contractor's EMP complies with specifications and addresses hazards.

• Duration: 24 months from commencement date (Effective Date).
• Termination: Either party may terminate following a default by the other. If PRASA defaults, Consultant entitled to payment for approved services up to termination date. If Consultant defaults, Consultant must pay damages and PRASA may give 30 days' notice or terminate immediately for specified breaches.
• Force Majeure: Includes acts of God, war, civil commotion, etc. Parties must notify within 5 days and mitigate. If event persists over 20 days, either party may terminate.
• Notices: To PRASA at Umjantshi House address; to Consultant at address to be provided. Notices by registered post, hand delivery, or fax.
• Confidentiality: Parties must keep confidential information confidential for 7 years after termination.
• Dispute Resolution: Negotiation within 10 business days, then arbitration in Johannesburg under AFSA rules.
• Governing Law: South African law, with jurisdiction of North Gauteng High Court.
• Variations: PRASA may propose variations; must be approved by PRASA Group CEO and in writing. Consultant must provide cost and timeline impact within 5 business days.
• Liability: No liability for indirect/consequential damages. Consultant indemnifies PRASA for losses from property damage, breach of statutory duty, death/injury, breach of warranties, and claims from sub-consultants.
• Subcontracting: Requires prior written consent from PRASA. Consultant remains sole point of contact and liable.
• Change in ownership/BBBEE: Requires prior written consent from PRASA's Chief Procurement Officer and Group CEO, unless change does not impact BBBEE status.
• Penalties: 0.5% of Contract Price per day delay, max 10% of Contract Price. Penalties for replacing Main Experts: 10% rate deduction for first replacement, further reductions if replacement has inferior qualifications.
• Independent Status: No partnership created. Consultant must comply with all employment legislation.
• POPIA Compliance: Consultant must comply with POPIA and protect personal information, report breaches.
