2.3 Definitions

2.3.1 Contractor: Any person (juristic/individual) formally contracted (directly or indirectly) by

Eskom and who performs work; supplies a service, product, equipment or material for the

purposes of advancing Eskom’s business and other interests. This includes consultants,

and third party contractors i.e. vendors, suppliers, agents, joint ventures, fixed term

contractors, principal contractors and subcontractors.

2.3.2 Life-saving Rule: Rules that, if not adhered to, have the potential to cause serious harm to

people. The consequences of a person knowingly and wilfully violating this rule will result in

compliance therewith. This includes communicating Life-saving Rules to all new

employees and new contractors.

d) Ensuring all employees sign confirmation that the rules have been discussed with them,

that they understand the rules and the consequences of violating these rules, and retain

copies thereof.

e) Investigating any violation of a Life-saving rule and initiate the disciplinary process within

five (5) working days.

f) Ensuring consistency in the application of appropriate sanctions on employees, contractors

and contractor employees.

With the aim to ensure a safe electrical work environment, no person may work/operate on, around

or near any electrical network, line or apparatus, electrically connected to the power system and/or

electrically charged and/or not electrically charged unless:

a) He/she is trained and authorised as competent for the task to be done;

b) There is a valid permit to work, where required;

c) A pre-task risk assessment to identify all risks and hazards has been conducted prior to any

work commencing;

d) He/she follows the requirements on OPEN, ISOLATE, TEST, EARTH, BOND and/or

INSULATE BEFORE TOUCH, correctly based on applicable/related standards, procedures

and outcome of risk assessment fit for the type of work or task to be performed;

e) The authorised person (team leader) has certified and physically shown all team members that

the apparatus is safe to work on;

f) He/she makes the specific electrical environment safe prior to performing the work; and

g) All the appropriate PPE (including face shield and insulated gloves for low voltage work) are

worn.

3.1.2 Rule 2: hook up at heights

Working at height is a significant part of work in Eskom Holdings and is regarded as a high-risk

activity, and as a result all precautions must be taken to prevent incidents while working at height.

Wherever reasonably practicable, preference must be given to the performance of work at ground

level as opposed to work in an elevated position. Where work in an elevated position is necessary,

the requirements in this document shall apply.

No person may work at height where there is a risk of falling unless:

a) He/she is medically fit to work at height;

b) A pre-task risk assessment to identify all risks and hazards has been conducted prior to

commencing any work of this nature;

c) He/she is appropriately trained as determined by the risk assessment;

d) He/she is appropriately secured during ascending and descending; and

e) He/she is using an Eskom approved fall arrest system where applicable.

3.1.3 Rule 3: buckle up

Where required, the proper wearing of seat belts for any driver, operator and passenger is

mandatory in all vehicles/equipment when driving and/or travelling for Eskom business purposes.

The driver is obligated to ensure that he/she as well as all passengers are properly seated and

wearing their seatbelts at all times while being transported in the vehicle, as per Eskom

specifications.

Note: This rule is applicable on any road or parking lot, irrespective of the speed, and when the

vehicle moves in a forward or backward direction.

3.1.4 Rule 4: be sober

No person who is under the influence or who appears to be under the influence of intoxicating

liquor or drugs will be permitted to enter, or remain on an Eskom site or conduct Eskom business

or drive/operate a vehicle/equipment for Eskom business purposes.

This includes any level of alcohol or the presence of any drugs, controlled substances, and/or

illegal substances in the body that impairs or could impair mental and physical functioning,

irrespective of when the substance was used.

3.1.5 Rule 5: ensure that you have a permit to work

Where an authorisation limitation exists, no person shall work without the required Permit to Work

(PTW), which is governed by for example the:

a) Plant Safety Regulations; or

b) Operating Regulations for High Voltage Systems (ORHVS); or

c) Any other activity where a permit is required.

No plant is to be returned to service without the cancellation of all permits on that plant in

accordance with procedure, unless permission is granted for a particular plant to be returned to

service with permits still open, like in the case of redundant systems.

NOTE: In the case of live work, a “live work declaration form” is to be completed by the authorised

person, who is the person responsible for the safe execution of work according to relevant

standards and procedures. Outline the key principles or rules to support the implementation of the

standard statement.

3.2 Consequences of violating a Life-Saving Rule

In terms of general health and safety in Eskom, if any of the Life-saving Rules are violated, it will

be treated as a serious misconduct, and result in a disciplinary process in accordance with the

Eskom Disciplinary Code and Procedure.

It must be highlighted that Eskom takes a ZERO TOLERANCE stance to violation of these rules.

Depending on the circumstances, Eskom reserves the right, where a contractor

manager/supervisor allows the violation of a Life-saving Rule, to suspend the contractor’s activities

while determining an appropriate sanction.

In the light of a contractor employee allegedly violating a Life-saving Rule, the contractor shall

immediately remove the employee from site and initiate the disciplinary process. The contractor

shall investigate any violation of a Life-saving Rule and initiate the disciplinary process within five

(5) working days of the violation. The contractor shall after the disciplinary process furnish Eskom

with a copy of the sanction.

• Reverse e-auction: If used, tenderers must submit a complete tender without prices; prices will not be considered if included.

• Scope: Offer to purchase, collect, and remove scrap ferrous material at Camden Power Station.
• Contract duration: Twelve (12) months.
• Tenderers must not sub-contract 100% of the scope of work; any tender based on 100% sub-contracting will be deemed ineligible.
• Tenderers must comply with all relevant legislation and regulatory instruments, including National Treasury instructions, CIDB regulations (if applicable), PPPFA regulations, B-BBEE Codes, COIDA, OHS Act, and Eskom's SHEQ requirements.
• Tenderers must provide proof that safety, health, environmental, and quality (SHEQ) systems, policies, and capabilities are in place at closing date and/or contract award. All SHEQ costs and personnel must be reflected in the tender.
• If CIDB grading is stipulated as a qualification criterion, tenderers must be registered with CIDB at closing date or be capable of being registered within 21 working days from closing date. Proof of CIDB registration is mandatory at closing date; if only application proof is available, actual proof must be submitted by contract award.
• The successful tenderer may be required to provide cataloguing information per item after contract award and label materials per Eskom's labelling specifications.

• Tenderers must provide proof that safety, health, environmental, and quality (SHEQ) systems, policies, and capabilities are in place at closing date and/or contract award.
• All costs and personnel associated with SHEQ must be reflected in the tender.
• Tenderers must comply with Eskom's requirements for Safety, Health, Environment, and Quality (SHEQ).
• The successful tenderer may be required to provide cataloguing information per item and label materials per Eskom's labelling specifications.

• Prices must include all duties, taxes (including VAT), and levies applicable 14 days prior to closing date.
• Rates and prices must be fixed for the duration of the contract and not subject to price adjustment unless provided for in the Invitation.
• Prices must be stated in South African Rand unless otherwise instructed.
• Tenderers must provide rates/prices in Rands per the exchange rate and base date stipulated in the Invitation.
• Eskom will not compensate tenderers for any costs incurred in preparing or submitting the tender.
• Tenderers are advised to seek qualified advice regarding insurance; Eskom's insurance may not cover all requirements.
• If security for performance is required, tenderers must indicate names of at least two (2) financial institutions they are likely to approach. Eskom may reject unsuitable institutions.
• Financial analysis: Eskom will assess financial risk; if risk is too high or no mitigating factors, the tenderer may not be considered for award.
• Arithmetical errors in pricing will be checked; amount in words prevails over figures. Tenderers must confirm or accept corrections.

• Eligibility: Tenderer must comply with eligibility criteria in Tender Data and not be under any restriction to do business with Eskom or State-Owned Companies. Ineligible tenderers will be disqualified.
• No 100% sub-contracting of scope of work.
• B-BBEE: Provide valid B-BBEE certificate/affidavit or CSD number/report. If B-BBEE is a pre-qualification criterion, proof must be submitted by closing date; otherwise disqualification. For PPPFA point allocation, missing/expired/fraudulent proof results in zero points.
• CIDB: If CIDB grading is stipulated, must be registered or capable of being registered within 21 working days from closing date. Proof of registration mandatory at closing date; if only application proof, actual proof by contract award.
• CSD: Must be registered on Central Supplier Database (CSD) and provide CSD number/report as required.
• SDL&I Undertaking: Must be completed and submitted by contract award; otherwise tender will not be considered for award.
• Compliance with legislation: Must comply with National Treasury instructions, CIDB regulations, PPPFA regulations, Amended B-BBEE Codes, COIDA, OHS Act, and Eskom's SHEQ requirements.
• Proof of SHEQ systems, policies, and capabilities must be provided.
• Agents: If an agent submits on behalf of a principal, an authenticated copy of the authority to act as agent must be submitted as a tender returnable.
• Misrepresentation/falsification: Eskom may disqualify tenderers who misrepresent or falsify information. Fraud in B-BBEE certificates or fronting will be reported to the B-BBEE Commission, and the tenderer may be suspended from doing business with State-Owned Companies for up to 10 years and may face jail.
• Contract Skills Development Goals (CSDG) and Contract Participation Goals (CPG) may apply if the contract meets certain thresholds (e.g., duration 12+ months, value R5 million+, or CIDB grade 7+).

• Tenderers must comply with relevant legislation including the OHS Act and Eskom's SHEQ requirements.
• Proof of safety, health, environmental, and quality (SHEQ) systems, policies, and capabilities must be provided to Eskom's satisfaction at closing date and/or contract award.
• All costs and personnel associated with SHEQ must be reflected in the tender.
• Tenderers must comply with COIDA and any other applicable legislation or regulatory instruments indicated in the Invitation to Tender.
• Contract Skills Development Goals (CSDG) and Contract Participation Goals (CPG) may apply if thresholds are met.

• The successful tenderer must check the final draft of the contract provided by the Eskom Representative and sign the contract documents.
• Eskom will arrange for authorised signatories of both parties to complete and sign the original and one copy of the Form of Agreement.

• Eskom will return tenders received after the closing date and time unopened to the tenderer. Tenders will be deemed late if not received in the designated tender box or at the date and time stipulated.
• The e-tendering system will not allow changes/finalisation after the closing date and time. No late tenders accepted.
• Tender opening: Eskom will open tenders in the presence of tenderers' representatives who choose to attend, at the time and place stated in the Tender Data. Tenders for which a notice of withdrawal has been submitted will not be opened.
• For e-tendering, there will be no public opening; tenders will be downloaded electronically. The Eskom Representative will publish the names of all tenderers received on the Eskom Tender Bulletin and NT e-Tender Portal.

• Contract Participation Goals (CPG) relating to the engagement of targeted enterprises may apply to construction works contracts in General Building (GB) and Civil Engineering (CE) classes, with a minimum project duration of 6 months, and where at least 25% of the main contract could reasonably be subcontracted out in one or more of the following CIDB classes: Civil Engineering (CE), Electrical Engineering Work (EB), General Building Works (GB), Mechanical Engineering (ME).
• Eskom may disqualify a tender if the tenderer has misrepresented or falsified any information, certificate, affidavit, or document. Fraud in B-BBEE certificates or fronting will be reported to the B-BBEE Commission. The tenderer may be suspended from business with any State-Owned Company for up to 10 years and may face jail.
• Tenderers must complete and submit the SDL&I Undertaking (annexure to the Invitation to Tender) by no later than contract award. If not completed and submitted, the tender will not be considered for contract award.
• The successful tenderer may be required to provide cataloguing information per item after contract award and label materials per Eskom's labelling specifications. Where cataloguing is a requirement, the Pricing Schedule must include a line item for cataloguing, which tenderers must quote for. Eskom will pay for cataloguing.
• If security for performance is required, tenderers must indicate names of at least two (2) financial institutions they are likely to approach. Eskom reserves the right to reject the financial institution if found not suitable.

• Reverse e-Auction: Eskom may utilise reverse e-auction in certain Enquiries. Where used, it will be indicated in the Invitation to Tender, and tenderers will be required to submit a complete tender that does not contain Prices. If a tenderer includes prices, they will not be considered.
