Project involves the appointment of a contractor for the replacement of A3 and A4 passenger loading bridges at Cape Town International Airport. Scope includes assessment, safe decommissioning/demolition, removal from site (and disposal of old components), design, fabrication, construction of fixed tunnel, installation of movable bridge, testing, and commissioning over a 36-month period. Contract start date: 3 weeks after contract award. Submission of preliminary programme: 2 weeks after contract start date. Programme updates: at intervals no longer than 4 weeks. Completion date: 3 years after contract start date. Defects date: 52 weeks (12 months) after Completion of the whole of the works. Defect correction period: 4 weeks. Access dates for Electrical Complex, Airside, and Restricted areas: contract start date.

Submit the following returnable documents as listed in the Returnable Schedules: signed Form of Offer and Acceptance, Pricing Schedule (Part C2), Schedule of Deviations (if applicable), and all addenda. Ensure all documents are fully completed and signed by an authorised representative. Within two weeks of receiving the completed agreement, deliver all required securities, bonds, guarantees, proof of insurance, and other documentation as specified in the Contract Data. Failure to do so constitutes repudiation of the agreement.

General criteria: Must be a registered legal entity with a valid registration number. Demonstrated experience in large-scale infrastructure projects, particularly in airport environments. Financial and technical capacity to undertake a 36-month project with a multi-million Rand budget. Compliance with all South African legal and regulatory requirements, including tax and labour laws. Specific criteria: Proven track record in the design, fabrication, installation, and commissioning of passenger loading bridges. Experience working in live operational environments (e.g., airports) with minimal disruption. Ability to secure necessary permits, approvals, and clearances (e.g., police clearance for restricted areas). Capacity to manage risks identified in the Risk Register (e.g., weather, statutory approvals, site constraints, constructability, night works). Willingness to provide performance bonds, guarantees, and insurance as specified. Exclusionary criteria: No history of corruption, bribery, or unethical practices (compliance with Prevention and Combating of Corrupt Activities Act). No ongoing or unresolved legal disputes that could impact project delivery. No conflicts of interest with ACSA or its affiliates.

Scope: Assessment, safe decommissioning/demolition, removal from site (and disposal of old loading bridge and tunnel components), design, construction of fixed tunnel, installation of movable bridge, testing, and commissioning of new passenger loading bridges at Cape Town International Airport. During the 12-month defects liability period post-completion, the Contractor is responsible for all maintenance, servicing, and inspections. Site boundaries: Airside, Restricted areas, Landside (Electrical Complex, Terminal Building, and nearby operational bridges). Risk Register must address: unknown services, as-built information accuracy, site access (approvals, permits, police clearance), tie-in with existing infrastructure, security/guarantee approvals, live operational environment, weather conditions, statutory approvals, site constraints, constructability, method statement, compensation events, ACSA approvals, budget limitations, payment delays, procurement of materials/sub-contractors, and night works. Quality Management: Contractor must implement and maintain a quality management system as per Works Information. Submit a quality plan within two weeks of contract start date for Project Manager acceptance. Plan must enable the Contractor to Provide the Works. Any changes to the quality plan require Project Manager approval. Project Manager may instruct corrections for non-compliance; such instructions are not compensation events.

Programme must include key dates: Start Date (3 weeks after contract award), Submission of Programme (2 weeks after start date). Access dates for Electrical Complex, Airside, and Restricted areas: contract start date. Employer is not willing to take over works before Completion Date. Contractor must notify compensation events within 4 weeks; only events affecting the critical path qualify for changes to Prices, Completion Date, or Key Dates.

Contractor must implement and maintain a quality management system as per Works Information. Submit a quality plan within two weeks of contract start date for Project Manager acceptance. Plan must allow Contractor to Provide the Works. Project Manager may instruct corrections for non-compliance; such instructions are not compensation events. Defects date is 52 weeks post-completion; defect correction period is 4 weeks. Contractor is responsible for all maintenance, servicing, and inspections during the defects liability period.

Pricing is based on a Priced Contract with Bill of Quantities (Option B). Contractor must submit pricing as per Part C2 Pricing Data. Assessment interval is between the 15th and 22nd of each month. Payments are made within 4 weeks. Interest rate is Nedbank prime lending rate. Contractor must prepare forecasts of final total prices at intervals no longer than 4 weeks. Currency is South African Rand. Price adjustment for inflation uses the contract start date as the base date.

Contract currency: South African Rand. Pricing: Priced Contract with Bill of Quantities (Option B). Submit pricing as per Part C2 Pricing Data. Assessment interval: between the 15th and 22nd day of each month. Payments made within 4 weeks. Interest rate: Nedbank prime lending rate. Performance bond: 10% of contract value, unconditional and on-demand, valid until end of contract period. Contractor must extend bond validity if expiry does not align with contract end date. Retention: 5% of contract value (2.5% released at Completion, 2.5% after Defects Period). Delay damages: 0.05% per day up to a maximum of 10% of contract value. Price adjustment for inflation: base date is contract start date. Contractor must prepare forecasts of final total prices at intervals no longer than 4 weeks. Subcontracting: Contractor must provide proof of payment to subcontractors within 5 days of Project Manager request; failure may result in direct payment to subcontractors by Employer. Insurance: Contractor must maintain insurances for construction plant/equipment, common law liability/workmen’s compensation, motor vehicle liability, and professional indemnity. Employer provides Contract Works, Public Liability, SASRIA, Aviation Liability, and Design & Construct Professional Indemnity insurances.

Employer may terminate if Contractor fails to extend performance bond validity. Contractor must maintain equipment free of liens and waive liens vis-à-vis Employer. Intellectual property rights remain with originator; Contractor grants Employer a royalty-free licence for Works-related use. Confidentiality applies to all contract information; images require Project Manager consent. Contractor must comply with anti-corruption laws (Prevention and Combating of Corrupt Activities Act); breach may lead to termination. Force Majeure conditions require Contractor to engage with riot/strike leaders, obtain proof, report to SAPS, seek court interdicts, and enforce orders. Contractor must provide securities, bonds, guarantees, and proof of insurance as per Contract Data. Insurance deductibles apply as per Annexure C1.D.

Weather measurements are recorded at the Construction Site Office in a clearly marked file. Compensation events may be notified if weather conditions exceed assumed 10-year return values (e.g., cumulative rainfall, days with rain >10mm, days with min air temp <0°C, days with snow). Assumed values are provided in Annexure C1.A. South African Weather Service provides historical data. Typical values are provided for tendering, but actual data will be shared if received before query close or upon award. Only the difference between recorded and assumed values is considered for compensation events.

Contract is governed by NEC3 ECC3 with additional Z Clauses (Z1-Z24). Key amendments: Contractor warrants Works fit for intended purpose and must correct setting-out errors at own cost. Contractor must provide proof of subcontractor payments within 5 days of Project Manager request; failure may result in direct payment to subcontractors by Employer. Employer may terminate if Contractor fails to extend performance bond validity. Contractor must maintain equipment free of liens and waive liens vis-à-vis Employer. Intellectual property rights remain with originator; Contractor grants Employer a royalty-free licence for Works-related use. Confidentiality applies to all contract information; images require Project Manager consent. Contractor must comply with anti-corruption laws; breach may lead to termination. Time is of the essence for all obligations.

Contractor must submit a quality plan within two weeks of the contract start date for Project Manager acceptance. The plan must comply with Works Information and enable the Contractor to Provide the Works. Any changes to the quality plan require Project Manager approval. Dispute resolution: Adjudicator selected from the ACSA Panel of Adjudicators. Arbitration follows the latest Association of Arbitrators (Southern Africa) rules, with the tribunal located in George, South Africa.
