1.1 Clause headings in this Agreement are for convenience and reference purposes

only and shall not affect the interpretation of the Agreement.

1.2 Where the context requires words implying the singular only shall also include the

plural and vice versa and words signifying one gender shall signify all genders.

1.3 In this Agreement the following words and expressions shall have the meanings

hereby assigned to them except where the context otherwise requires:

1.3.1 “Agreement” means these Terms and Conditions of Contract including all

attachments and appendices hereto and all documents incorporated by

reference therein and, where applicable, special conditions of contract.

1.3.2 “Bid Documents” means Bid Specification, Request for Proposal, Request

for Quotation documents, or any other document, used by NECSA to solicit

the supply of goods or works or services.

1.3.3 “Fees” means the contract price(s) as set out in the Pricing Schedule,

attached as Annexure “E” in the accompanying SLA, which are payable to

the Service Provider under this Agreement for the full and proper

performance of the Service Provider’s contractual obligations.

1.3.4 “Order” means an official written Purchase Order issued for the supply of

goods or works or for the rendering of a service. A copy of the Order must

be attached in the accompanying SLA as Annexure “C”.

1.3.5 “The South African Nuclear Energy Corporation SOC Ltd” hereinafter

referred to as NECSA

1.3.6 “NECSA Data” means information, reports or data and related matter,

whether of a confidential or proprietary nature or not, belonging to NECSA or

in the possession, or under the control of NECSA provided by NECSA to

Non-submission may result in disqualification. Bidders must also meet the pre-qualification criteria: at least 2 certified Fall Protection Planners (valid certificate from accredited body); ISO 9001 QMS certification or similar; valid registration with the Institute for Working at Heights; at least 2 SACPCMP certified Health & Safety officers; valid ECSA (Mechanical/Civil Engineering) professional registration for design sign-off; certified train-the-trainer facilitator (NOSA or similar); valid COIDA letter of good standing; and Professional Indemnity and Public Liability Insurance. Bidders must also provide a solvency statement if required, and successful bidders must demonstrate pre-employment screening of staff. Bidders must be able to access the Necsa site as a National Key Point, with foreign citizens submitting passport copies at least four weeks before site access.
