• If the Respondent, after notification of acceptance, fails to enter into a formal contract, accept an order, furnish satisfactory security, or comply with any condition imposed by Transnet, Transnet may accept another bid or call for new bids and recover any additional expenses incurred from the defaulting Respondent.
• Where contract or order value is to be remitted overseas, Transnet may effect payment directly to the foreign principal or manufacturer if requested. Transnet prefers Rand-based agreements and requests consideration of forward exchange cover. South African Reserve Bank approval is required for foreign currency payments. Transnet will not recognise price adjustments arising after the delivery date. Transnet may request pro-forma/tax invoices for VAT compliance.
• Upon acceptance of a bid, the parties are bound by these General Bid Conditions and any contractual terms or special conditions forming part of the bid documents. Email communication of acceptance is deemed proof of delivery one day after submission.
• Unsuccessful respondents will be advised in writing as soon as possible after the closing date, and on award, informed of the successful respondent's name and reasons for their failure.
• The Supplier must adhere to the Terms and Conditions of Contract issued with the bid documents, including any special conditions. If any conditions are unacceptable, the Respondent must indicate them and offer amendments/alternatives in writing; Transnet's Legal Counsel will review, and the Respondent may withdraw unacceptable deviations or be disqualified.
• The contract documents comprise the General Bid Conditions, Terms and Conditions of Contract, and any special conditions. Together with the Respondent's bid response, they constitute the contract upon receipt of Transnet's letter of acceptance, subject to agreed amendments. If a formal contract is to be signed, these documents remain binding until the final contract is signed.
• The contract is governed by South African law. The Respondent must specify a domicilium citandi et executandi in South Africa and submit to the jurisdiction of South African courts. Foreign respondents must state an authorised representative in South Africa empowered to sign contracts and act on their behalf.
• If samples are required, they must be marked with the Respondent's name, address, bid number, and item number, and reach the addressee by the closing date. Failure may result in rejection. Transnet may retain samples for quality checking without payment. Unsuccessful respondents may collect samples at their own risk and cost.
• The award of a bid for imported goods may be subject to the issue of an export licence in the country of origin or supply; the Supplier's manufacturer or forwarding agent must apply for such licence if required.
