The scope is the Gourikwa Power Station Fire Detection System. The full scope is in the NEC Term Services Contract (Attachment 1). The tender is an open invitation to tender for the whole contract.

Payment terms:

• Contracts below R50 000 000 (including VAT): Eskom pays within 30 days of receipt of undisputed invoices.
• Contracts above R50 000 000 (including VAT): Eskom pays within 60 days of receipt of undisputed invoices.

Eskom reserves the right to negotiate with preferred bidders if tendered prices are not market-related.

Financial due diligence returnables (prior to award):

• Latest approved annual financial statements of the tendering company (not parent or holding company), including background, signed director's report, signed auditor's/reviewer's/compiler's/accounting officer's report, statement of financial position, comprehensive income, changes in equity, cash flows, and notes.
• Public interest score (for non-audited South African entities) with actual score, owner-managed status, and whether externally prepared.
• Copies of ITA34C for current and previous years of assessment (for non-audited South African entities).
• For unincorporated JV or SPV, each partner must submit its own annual financial statements.
• Start-up enterprises formed within the last 12 months are exempt but must submit statements for the first year once available.

No performance security is required for this tender.

Tax compliance:

• Tax clearance certificate required from local tenderers not on CSD or without SARS e-filing PIN, and from foreign tenderers with a South African footprint not on CSD. Foreign suppliers with no SA footprint complete SBD 1 but no tax proof required.

Other compliance:

• COIDA certificate of good standing or proof of application (South African tenderers only)
• Employment Equity compliance proof for designated employers (South African tenderers only)
• Tax Evaluation Questionnaire to determine if a personal service provider for PAYE
• B-BBEE status level certificate, sworn affidavit, or other proof as prescribed by the B-BBEE Act

Specific Goals scored out of 20 points in accordance with PPPFA. Proof of B-BBEE status level contributor means: B-BBEE status level certificate issued by authorised body, sworn affidavit as prescribed by B-BBEE Codes of Good Practice, or other requirement prescribed in terms of the B-BBEE Act. Tenderers failing to submit proof will score zero for Specific Goals but not be disqualified.

Safety returnables required: COIDA certificate of good standing or proof of application (South African tenderers), Eskom Acknowledgement Form for OHS Legal and Other Requirements, Annexure C1 Tender Evaluation Template High risk, and OHS Specification. Various Eskom safety standards and procedures are attached as annexures, including PPE, work at height, confined spaces, life-saving rules, vehicle and driver safety, substance abuse management, incident management, and employees' right of refusal to work in unsafe situations.

The contract will be the NEC3 Term Services Contract. The tender is for the whole of the contract; alternative tenders are not allowed. The successful tenderer may be required to provide cataloguing information per item after award, and must label all materials per Eskom's labelling specifications; cataloguing must be quoted as a line item in the pricing schedule. Eskom pays for cataloguing.

Mandatory contractual requirement: proof of CSD registration. Additional contractual requirements may include SHEQ, financial viability, and B-BBEE. These are assessed after evaluation and ranking; failure to meet them may render the tenderer non-responsive.

CIDB Contract Skills Development Goals (CSDG) applicable at 0.25% for the SF class of works. Contract Participation Goals not applicable.

Payment terms: below R50 million (incl. VAT) paid within 30 days; above R50 million paid within 60 days of undisputed invoices.

Eligibility criteria: Tenderers must not be under any restriction to do business with Eskom or State-Owned Companies. Ineligible if: nationality of a country on international sanctions list; submitting more than one tender (except due to e-tendering size limits); JV/consortium without joint and several liability; conflict of interest; tender signed by non-authorised person; restricted by National Treasury; on Tender Defaulters list; restricted by Eskom; sub-contracting 100% of scope.
