Stage 1 — Mandatory requirements

Stage 2 — Functionality (100 points)

• Minimum qualifying score: 80 out of 100 to proceed to price and preference.
• Qualification of the strategy facilitator (30 points): a Master's degree in Law, Commerce, Corporate Governance, Strategy or Business Management.
• Demonstrated experience in Company Secretariat strategy and governance advisory (40 points): 25 years or more relevant private and/or public sector experience scores 40; 20 years or more scores 30; 15 years or more scores 20. Each level requires a portfolio of work or CV plus at least 4 contactable references.
• Proven capability of the facilitator or key personnel in developing strategic frameworks and operating model improvements (30 points): assessed on highly relevant case studies, alignment of the strategy to governance structures, the methodology for running the two-day sessions, and a roadmap linking strategy to practical tools such as charters and frameworks. Case studies and/or a methodology may be submitted.

Stage 3 — Price and preference (80/20 system)

• Price: 80 points.
• Specific goals / preference: 20 points.
• Price points are calculated on the 80/20 formula using the lowest acceptable bid as the benchmark.
• Preference points are claimed on SBD 6.1; failure to submit supporting proof means no preference points are claimed.
• Objective criteria evaluation: not applicable. The highest scoring bidder is awarded the bid unless objective criteria justify another award; if no bidder meets the objective criteria, the highest scorer is awarded.

• Two-day Company Secretariat Team Strategy Session for ACSA's Company Secretariat Division, held at the ACSA corporate office.
• The engagement is a review and enhancement of the Company Secretariat function: assessing its strategy, improving governance effectiveness and meeting structures, strengthening team capacity, and identifying practical opportunities for performance measurement and digital enablement.
• Session dates and venue are to be confirmed on appointment; sessions run from 10:00 to 17:00.

Background

• The Company Secretariat supports the Board and its committees in governance and oversight.
• Concerns raised include the number, frequency and effectiveness of meetings, and the workload and capacity of the team.
• The evolving governance environment requires the team to operate more strategically, efficiently and digitally.

Supplier deliverables

• Review the current strategy and develop actionable solutions for navigating the evolving Company Secretariat landscape.
• Identify gaps and provide strategic guidance so the team can support all stakeholders effectively.
• Provide a plan identifying priority training areas.
• Propose new ways of working and reporting templates.
• Review KPIs best placed to monitor and assess the effectiveness of the team's work, aligned to the Corporate Plan.
• Advise on the use of AI tools to improve governance effectiveness, documentation management and digitalisation of Company Secretarial functions.

Expected outputs

• A strategy session with the Company Secretariat team.
• A strategic session report with outcomes feeding into the Company Secretariat Division.
• Outcomes and action plans to implement and enhance the strategy, including measurable KPIs to assess effectiveness.
• Improved ways of working and templates.
• Identification of priority training areas and a development roadmap.

Methodology is scored under Stage 2 functionality, within the 30 points for proven capability in developing strategic frameworks and operating model improvements.

Pricing

• Quoted prices must remain firm and valid for 120 business days from closing.

Payment and contract

• The successful bidder must have a fully completed and signed written contract in place after award.
• No bid security, performance bond, guarantee or retention percentage is specified.

Penalty exposure

• Misuse of ACSA intellectual property, or failure to follow ACSA brand policies and protocols, attracts a penalty equal to 2% of the bidder's annual turnover in the financial year in which the failure occurs.

Tax and registration

• A valid SARS tax compliance status PIN must be submitted; ACSA may not award to a bidder whose tax affairs are not in order.
• Where no tax compliance PIN is available but the bidder is registered on the Central Supplier Database, a CSD number must be provided.
• A CSD report and a Certificate of Incorporation showing the ownership split are required.
• Consortia, joint ventures and subcontractors must each submit a separate tax compliance certificate, PIN or CSD number.
• Bidders must not appear on the Register for Tender Defaulters or the List of Restricted Suppliers.

B-bbee

• B-BBEE certificate and scorecard, or a B-BBEE QSE/EME affidavit, is required to claim preference points.

Security and confidentiality

Confidentiality

Confidentiality and Non-Disclosure Agreement (Form 5.5)

• Binds the appointed service provider to protect ACSA confidential information, restrict copying to what is necessary, mark copies as confidential, and account for copies and disclosures on request.
• ACSA intellectual property may not be used without prior written consent; breach attracts a penalty of 2% of the bidder's annual turnover for the financial year in which the breach occurred.
• ACSA retains ownership of intellectual property rights in its confidential information; no licence is granted by disclosure.

Security

• ACSA is a National Key Point and complies with national security cluster legislation; bidders may be security vetted, and ACSA will not contract with a bidder that fails vetting where it is required.

Bid process

• ACSA may award the whole or part of the bid, split the award, negotiate with shortlisted bidders, award to a bidder other than the highest scorer where objective criteria allow, reject the lowest acceptable bid, or cancel the bid.
• The bid document may not be altered; any change to its content leads to disqualification.
• The successful bidder must conclude a fully completed and signed written contract after award.
