Summary
Sanpc requires one or more service providers to carry out due diligence audit work on an as-and-when-required basis over a 36-month period, with each assignment governed by a separate service order, purchase order or engagement order issued under sanpc's standard terms and conditions. Work is priced in south african rand at rates that are fixed and firm for the life of each order, with time-and-materials work paid only for hours actually recorded on sanpc's time and attendance system. The most consequential commercial exposure is that rates must be fully inclusive of staff costs, mobilisation, statutory contributions, insurance and overheads, and that sanpc will pay nothing beyond the amounts set out in each order.
Key Requirements
Closing and submission: bids close on 4 December 2026 at 09:00; submit through the channel and address stated in the bid document, as the closing time is enforced.
Contract structure: the appointment runs 36 months, but no work is guaranteed; each assignment is instructed through a separate service, purchase or engagement order, and work done without an executed order is at the supplier's own risk and cost.
Pricing basis: quote in South African Rand at rates that are fixed and firm for the duration of each order; rates must already cover staff costs, protective clothing, mobilisation and demobilisation, payroll taxes, levies, insurance and the cost of maintaining an office or supply base.
Payment terms: invoices monthly in arrear with original supporting documents signed by SANPC's authorised representative, settled by the 25th of the following month; late undisputed amounts carry interest at the ABSA prime rate plus 1%.
Pass-through costs: only third-party expenses named in an order and within the stated estimate are recoverable, with no mark-up or administration fee, and SANPC pays those third parties directly.
Insurance: maintain public liability cover, all-risk cover on own plant, material and equipment, and workmen's compensation cover under COIDA for the full contract period, and produce the policy on request.
Compliance exposure: hold every licence, certificate and authorisation needed to deliver the services, meet the B-BBEE obligations in Annexure B of the Acceptance Agreement, and comply with labour, occupational health and safety, and personal information law; breach or misrepresentation on B-BBEE allows SANPC to terminate and re-award.

Evaluation Criteria
Source: RFP Due Diligence.pdf (RFP)
Evaluation stages
Stage 1, Step 1 — Administrative responsiveness: bid received on time; all returnable documents completed and returned by the closing date and time; validity of all returnable documents verified. A bid must pass this step to proceed.
Stage 1, Step 2 — Substantive responsiveness: completed Form of Offer (Part 4); separate price schedule with cost breakdown aligned to the scope; CSD registration number (unless a foreign entity); compliance with the scope of work and the technical Bid Elimination Criteria in Annexure A, with written evidence. Failing any Bid Elimination Criterion results in immediate disqualification.
Stage 2 — Technical/functionality evaluation: not applicable.
Stage 3 — Weighted scoring: price plus specific goals.
Step 5 — Post-tender negotiations, if the price is not market-related, conducted sequentially with the highest-ranked bidder first, then the second and third ranked if required.
Step 6 — Selection of the preferred bidder; award to the highest scorer unless objective criteria stated in the bid documents justify another bidder.
Weighting
Price: 80 points under the 80/20 system, or 90 points under the 90/10 system.
Specific goals: 20 points under the 80/20 system, or 10 points under the 90/10 system.
Total: 100 points.
The 80/20 system applies to requirements up to R50,000,000 (all applicable taxes included); the 90/10 system applies above R50,000,000.
Price formula
Price score = 80 or 90 × (1 − (Pt − Pmin) / Pmin), where Pt is the bid price and Pmin is the lowest acceptable price.
Only unconditional discounts are considered in evaluation; conditional discounts are applied at payment stage only.
Specific goals (80/20 system)
51% or more black-owned: 10 points.
30% or more black women-owned: 10 points.
Maximum specific goal points: 20.
A B-BBEE certificate or sworn affidavit must be submitted to claim these points; without it the specific goal score is zero.
Minimum technical/functionality threshold
70% (stated in the summary of thresholds, although the technical evaluation stage is marked not applicable).
Post-tender negotiation
SANPC may not award if the price is not market-related and may negotiate or cancel the tender.
Bids and any best and final offers remain valid during negotiation and until award.

Penalties and breach
A penalty clause will be negotiated with SANPC for non-compliance with material terms, including delayed provision of services.

Price scoring
Price carries 80 points under the 80/20 system or 90 points under the 90/10 system.
Formula: score = 80 or 90 × (1 − (Pt − Pmin) / Pmin), where Pt is the bid price and Pmin the lowest acceptable price.
Only unconditional discounts are evaluated; conditional discounts apply at payment only.

20 points under the 80/20 system or 10 points under the 90/10 system.
51% or more black-owned: 10 points.
30% or more black women-owned: 10 points.
A B-BBEE certificate or sworn affidavit is required to claim these points; without it the score is zero.
Award
Price and specific goal points are added; the highest total wins unless objective criteria stated in the bid documents justify another award.
The supplier must use adequate numbers of qualified staff with suitable training, education, experience and skill to perform the services.
The supplier must keep sufficient key staff with knowledge of SANPC's requirements and the relevant technical expertise for the duration of the contract.
The supplier must adopt the standards and processes required by the Transaction Documents.
Services and goods must be provided with promptness and diligence, in a workmanlike manner and to the standards of well-managed operations doing similar work.
For time-and-materials work, the supplier must use best efforts to perform cost-effectively at the required quality.
Staff replacement
SANPC may, on 2 business days' written notice with reasons, require the supplier to reconsider the deployment of any staff member performing unsatisfactorily.
The supplier must investigate and either correct the conduct within 2 business days or withdraw the staff member from the SANPC environment.
SANPC may shorten these periods where circumstances warrant an accelerated process.
SANPC may deny a staff member access and require immediate withdrawal where it believes the person breaches policies or poses a risk, and must give a written report with reasons within 7 days.
Services, workmanship, products, materials, documentation, tools and equipment must comply with relevant ISO quality assurance and certification requirements where applicable.
The supplier must use adequate numbers of qualified staff with suitable training, education, experience and skill, and adopt the standards and processes required by the Transaction Documents.
Work must be performed with promptness and diligence, in a workmanlike manner and to the standards of well-managed operations doing similar work.
Pre-acceptance testing
Before presenting goods or deliverables for acceptance testing, the supplier must submit a pre-acceptance testing plan for SANPC approval and test in accordance with the approved plan.
Where the supplier installs or implements goods or deliverables, it must do so and verify proper implementation.
The testing plan must be rigorous enough to identify reasonably discoverable deficiencies.
The supplier must promptly remedy deficiencies, retest and repeat until testing reveals no deficiencies.
Acceptance criteria and testing
The supplier must develop and submit acceptance criteria for SANPC approval well before presenting the items, allowing SANPC time to review and comment.
If SANPC rejects the criteria, it must give written reasons; the supplier must revise and resubmit or explain to SANPC's satisfaction.
Criteria must at minimum require no deficiencies, satisfaction of SANPC's stated business needs and functional and technical specifications, a successful SANPC security audit and stated acceptance-testing timeframes.
Every item of goods, deliverable or service requires formal acceptance; the supplier presents items for testing at the location SANPC designates.
SANPC starts acceptance testing as soon as practical after delivery and determines whether items meet specifications and acceptance criteria.
The supplier must assist with testing and answer queries within a reasonable time.
Deficiencies and rejection
The supplier must correct each deficiency at no charge within 24 hours of written notice, or a longer agreed period, unless caused by SANPC.
After correction the supplier must retest and resubmit the item.
On rejection, SANPC gives written reasons and a final 14-day correction period; if the supplier cannot correct within that period, SANPC may direct continued efforts, accept the item with an equitable charge reduction, or terminate the Transaction Document and require a refund of amounts paid within 14 days, after which the supplier may remove the items.
After the acceptance-testing period, the supplier may give written notice requiring SANPC to identify deficiencies with a documented example; if SANPC does not respond within 7 days, the item is deemed accepted.
Upgrades, enhancements and modifications to supported or maintained items are subject to acceptance testing.
Inspection
SANPC may inspect goods at the supplier's or its subcontractors' premises at all reasonable times and the supplier must arrange access.
Failure to inspect does not impair SANPC's rights or constitute acceptance.
Loan equipment
No lien arises over loan equipment in favour of the holder.
The holder must care for it diligently, mark SANPC-owned items uniquely, exclude any landlord's hypothec (including by written notice to the landlord) and insure it against all risks.
Both parties may reasonably inspect premises where loan equipment is held.
Rates and charges are set per Transaction Document (Service Order, Purchase Order or Engagement Order).
Charges include all taxes, duties and trade discounts, but exclude settlement discounts.
VAT is shown separately on each Transaction Document and paid by SANPC.
SANPC may require documentary proof of any price computation before paying.
Packing materials and containers are included in the price and become SANPC property on delivery; the supplier bears loss or damage from inadequate packing.
Time-and-materials work is paid only for actual hours at the agreed rates.
Rates are fully inclusive of staff costs (protective clothing, mobilisation/demobilisation, statutory contributions, insurance, payroll taxes, levies) and of establishing and maintaining a supply base or office.
Rates are fixed and firm for the duration of the Transaction Document unless the document states otherwise.
All prices are quoted in South African Rand.
Charges are intended to be full compensation; SANPC will not pay amounts beyond those in the Transaction Document.
Pass-through expenses
Only third-party expenses identified in the Transaction Document are pass-through, and only up to the stated estimate.
Unidentified or over-estimate third-party expenses are for the supplier's account unless SANPC approves them in writing.
No margin, mark-up or administration fee may be added to pass-through expenses.
SANPC pays the third party directly and may source, designate or approve such services or materials itself.
Materials bought on a pass-through basis are acquired in SANPC's name and belong to SANPC.
Invoicing and payment
Original invoices and monthly statements go to SANPC by the end of the calendar month in which the charges arose.
Invoices are monthly in arrear and are considered only with original supporting documents signed by SANPC's authorised representative and once approved for payment.
Payment is made by no later than the 25th day of the month following the month of invoice.
SANPC is not obliged to pay an invoice received more than 90 days after expiry, termination or completion of the Transaction Document, whichever is earlier.
SANPC may set invoicing standards on reasonable written notice.
The supplier must keep complete accounting records and supporting documentation and provide information SANPC reasonably requests to verify invoices.
SANPC may set off amounts the supplier owes it against amounts payable.
Undisputed amounts paid late bear interest at the ABSA Bank prime lending rate plus 1% from due date to actual payment.
Disputed amounts may be withheld in good faith and are automatically referred to dispute resolution.
Insurance
The supplier must maintain sufficient insurance for its obligations and liabilities for the duration of the contract and provide a copy of the policy on request.
Cover must include public liability, all-risk insurance on its own plant, material and equipment, and workmen's compensation as required by the Compensation for Occupational Injuries and Diseases Act.
Where insurers dispute liability, the supplier has recourse against the insurers only.
The supplier must hold all licences, certificates, authorisations and consents required under South African law (or any other applicable jurisdiction) to provide the goods or services, and must comply with their terms.
The supplier must materially comply with all regulatory obligations and corporate governance guidelines.
Goods must, on delivery, be lawful to possess and use in the territory where SANPC receives them and must not breach the law of the source territory.
The supplier must perform without infringing any third party's intellectual property or proprietary rights.
Labour and employment
The supplier must comply with the Labour Relations Act, Basic Conditions of Employment Act, Employment Equity Act, Skills Development Act, Skills Development Levies Act, Occupational Health and Safety Act, Compensation for Occupational Injuries and Diseases Act, Unemployment Insurance Act and Unemployment Insurance Contributions Act.
Where services are rendered at SANPC's selected areas, the supplier must give preference to local labour and first establish, to SANPC's satisfaction, that no similar category of labour is available locally, liaising with local interest groups.
The supplier must maintain sound labour relations, prevent industrial action, notify SANPC early of any anticipated industrial action and co-operate on contingency plans, press liaison and evacuation.
Industrial action by the supplier's staff does not relieve the supplier of its obligations.
Occupational health and safety
The supplier must comply with relevant occupational health and safety legislation, including the Occupational Health and Safety Act, the Mine Health and Safety Act and the Minerals and Petroleum Resources Development Act.
Staff must undergo the prescribed medical examination required by the Mine Health and Safety Act where applicable.
B-bbee
The supplier must meet the B-BBEE obligations set out in Annexure B of the Acceptance Agreement.
Failure to meet those obligations, misrepresentation in the tender, or dissolution of the B-BBEE arrangement entitles SANPC to terminate and to re-tender or award to the next highest-scoring bidder.
Personal information
The supplier may process personal information only to the extent necessary to perform the services, may not alter it, and may not disclose it to third parties except as the contract permits.
The supplier must maintain workmen's compensation insurance as required by the Compensation for Occupational Injuries and Diseases Act.
Labour and local content
Site conduct and access
The supplier and its staff must adhere to SANPC's security policies and conduct themselves appropriately and respectfully while on SANPC premises.
SANPC may deny a staff member access and require immediate withdrawal where it believes the person breaches policies or poses a risk, and must give a written report with reasons within 7 days.
The supplier must return access cards, security codes and other SANPC property immediately when staff no longer need access.
The standard terms bind the parties once an Acceptance Agreement is signed.
Work is contracted through Transaction Documents: Service Orders (services), Purchase Orders (goods) and Engagement Orders (assigned staff).
A Transaction Document takes effect only when both parties sign it; work done outside an executed Transaction Document is at the supplier's risk and cost.
Supplier terms on quotations, invoices or proposals have no effect unless the deviation is specifically recorded and signed by both parties.
A Transaction Document may amend the standard terms only for its own subject matter and only if it identifies the clause being amended and states that intent.
Duration and termination for breach
The contract runs from the Effective Date of the Acceptance Agreement for the period stated in it.
If the supplier breaches and does not remedy within 14 days of notice (or the period in the applicable conditions), SANPC may terminate the terms and any Transaction Documents and claim damages.
SANPC may also terminate on written notice if a Causal Event occurs (insolvency, compromise with creditors, liquidation, judicial management, cessation of business, an act of insolvency, disposal of a material part of the business, or a change in control or material shareholding) or if the supplier breaches a legal requirement or licence condition in a way SANPC considers detrimental.
Termination for B-BBEE failure, tender misrepresentation or dissolution of the B-BBEE arrangement allows SANPC to re-tender or appoint the next highest-scoring bidder.
All Transaction Documents terminate when the standard terms terminate.
Termination for convenience
SANPC may terminate the terms or any Transaction Document in whole or in part without cause on at least 30 days' written notice, with no liability to the supplier.
A termination for breach later found invalid is treated as a termination for convenience.
Termination/expiration assistance
On expiry or termination, the supplier must provide handover assistance at SANPC's request so SANPC or a third party can take over.
Assistance is free where the contract expires or is terminated other than for convenience; where SANPC terminates for convenience and requests assistance, the supplier may charge time-and-materials hourly rates agreed between the parties.
Liability
Each party is liable for direct damages only; indirect, incidental and consequential damages are excluded.
Disputes
Disputes go first to mediation by a single mediator, without legal representation; the mediator's written opinion binds the parties unless taken to arbitration.
Mediation costs are shared equally.
A dissatisfied party may, within one calendar month, refer the dispute to arbitration by a single agreed arbitrator or, failing agreement, two arbitrators (one appointed by each party).
Arbitration follows the Arbitration Act of 1965 and the Association of Arbitrators rules current at appointment; the award is final and binding.
Performance continues during mediation or arbitration unless SANPC suspends it, in which case SANPC bears the supplier's reasonable suspension costs.
Withheld disputed amounts are placed in escrow and paid out with proportionate interest according to the award.
Notices
Notices must be in writing and delivered by hand, registered mail or email to the addresses in the Acceptance Agreement.
Hand delivery counts when delivered during business hours against a receipt.
Registered mail counts 5 days after posting within South Africa and 10 days otherwise.
Email counts on the business day sent if received before midnight, otherwise on the next business day.
Force majeure
Neither party is liable for delay or default caused by events beyond its reasonable control (fire, flood, earthquake, natural events, riots, civil disorder, rebellion or revolution) where it was not at fault and could not reasonably have prevented or worked around the event.
If a force majeure event prevents performance of services SANPC identifies as critical for more than 3 consecutive days, SANPC may terminate the affected portion with an equitable charge adjustment, or terminate the whole agreement without liability.
The supplier receives no additional payment for costs caused by force majeure.
Supplier duties and SANPC duties
The supplier must cede to SANPC the benefit of third-party manufacturer, lessor or licensor warranties and indemnities where possible, and enforce them as SANPC directs.
The supplier must maintain a Relationship Manager throughout the contract and keep sufficient key staff with knowledge of SANPC's requirements and the relevant technical expertise.
SANPC may, on 2 business days' written notice with reasons, require the supplier to reconsider the deployment of any staff member performing unsatisfactorily; the supplier must investigate and either correct the conduct within 2 business days or withdraw the staff member.
SANPC may deny a staff member access to its premises and require immediate withdrawal where it believes the person breaches policies or poses a risk, and must give a written report with reasons within 7 days.
The supplier must return access cards, security codes and other SANPC property immediately when staff no longer need access.
The supplier must keep documentation on its services and goods up to date, in a form SANPC approves, attend required meetings and prepare required reports.
SANPC must give reasonable access to data, information, equipment and facilities, allow reasonable use of resources such as lay-down area, ablution, telephone and fax points, water, electricity and cranage, and provide reasonable staff assistance on adequate notice.
Inspection and acceptance
SANPC may inspect goods at the supplier's or its subcontractors' premises at all reasonable times; failure to inspect does not waive SANPC's rights or constitute acceptance.
Every item of goods, deliverable or service requires formal acceptance under the acceptance-testing clause.
The supplier must submit a pre-acceptance testing plan for SANPC approval, install or implement where responsible, and retest until no deficiencies remain.
The supplier must submit acceptance criteria for SANPC approval sufficiently in advance; criteria must at minimum require no deficiencies, satisfaction of SANPC's stated business needs and functional and technical specifications, a successful SANPC security audit and stated acceptance-testing timeframes.
SANPC may reject the criteria in writing with reasons; the supplier must revise and resubmit or explain to SANPC's satisfaction.
SANPC starts acceptance testing as soon as practical after delivery and the supplier must assist and answer queries.
The supplier must correct each deficiency at no charge within 24 hours of notice, or a longer agreed period, unless the deficiency arises from SANPC's acts, omissions or delays.
If an item is rejected, SANPC gives written reasons and a final 14-day correction period; if not corrected, SANPC may direct continued efforts, accept the item with an equitable charge reduction, or terminate the Transaction Document and require a refund of amounts paid within 14 days, after which the supplier may remove the items.
After the acceptance-testing period, the supplier may give written notice requiring SANPC to identify deficiencies with a documented example; if SANPC does not respond within 7 days, the item is deemed accepted.
Upgrades, enhancements and modifications to supported or maintained items are also subject to acceptance testing.
Warranties
The supplier warrants it will use adequate numbers of qualified, trained and experienced staff, adopt required standards and processes, and perform with promptness, diligence and workmanlike quality to the standards of well-managed operations.
For time-and-materials work, the supplier must use best efforts to perform cost-effectively at the required quality.
The supplier warrants it has the rights and licences to provide, distribute, licence, support and maintain the items, complies with all legal requirements and licence conditions, and that SANPC's possession or use of goods will not breach any law.
Goods must meet the Transaction Document or original equipment manufacturer specifications.
Spare parts must be available within 24 hours of request, with access to a supply for 5 years from the Effective Date of the Transaction Document.
Goods must be free of deficiencies and comply with the agreed technical and functional specifications.
The supplier indemnifies SANPC against losses from breach of these warranties.
For intellectual property infringement, the supplier must at its own cost secure SANPC's right to continue using the item or replace or modify it without degrading performance; if it cannot, it must remove the item with an equitable charge reduction, and SANPC may terminate without liability if the item is material to the services.
The supplier must pass through and enforce manufacturer, lessor or licensor warranties as SANPC directs.
Loan equipment
No lien arises over loan equipment in favour of the party holding it.
The holder may retain loan equipment for the agreed use, must care for it diligently, mark SANPC-owned items uniquely, exclude any landlord's hypothec (including by written notice to the landlord) and insure it against all risks.
Both parties may reasonably inspect premises where loan equipment is held.
