The successful bidder must, when called upon, provide security for due performance in the form of a Deed of Suretyship from an approved bank, building society, insurance or guarantee corporation doing business in South Africa; no other guarantee form is accepted.
The security amount is stipulated in the bid documents and may be applied in whole or part to make good losses from a breach.
The completed Deed of Suretyship must be returned to Transnet or a designated official within 30 calendar days of the letter of acceptance; no payment is made until it is delivered, and failure to return it in time entitles Transnet to cancel the contract immediately without notice.
Additional costs caused by the supplier's default under the security clause are for the supplier's account.
Where applicable, the successful bidder must provide a guarantee covering any advance payments.
Payment
Payment conditions are set out in the Terms and Conditions of Contract and form the basis of bid pricing.
Bidders may additionally submit alternative payment or financing proposals with full particulars; these are evaluated on financial merit, but the compliant bid must still be submitted first, and failure to do so may stop the bid from further consideration.

National laboratory service coverage (weight 15): 100% uninterrupted service availability for the contract period, with collection, transport, processing and reporting within the prescribed turnaround times regardless of either train's location; no interruptions attributable to inadequate national infrastructure, logistics, laboratory capacity or resourcing. Evidence: monthly performance reports, incident reports, complaints register, contract management records.
Customer support and clinical communication (weight 10): 100% acknowledgement of clinician and client enquiries within the agreed response time; critical issues escalated immediately to the relevant laboratory representative; 100% of complaints resolved within five working days or an agreed corrective action timeframe. Evidence: enquiry and complaint records, escalation records, corrective action reports.
Regulatory compliance and quality assurance (weight 15): 100% compliance with SANAS accreditation requirements, valid HPCSA registration and all applicable laboratory industry regulations, maintained for the full contract period with no suspension, lapse or withdrawal affecting service delivery. Evidence: valid accreditation and registration certificates, quality assurance reports.
Invoicing and payments (weight 20): 100% of invoices submitted in line with the contract, purchase order and agreed billing cycle, accurate and supported by the required documentation, free of discrepancies that cause resubmission or payment delay attributable to the service provider; Transnet issues the purchase order to the supplier on time. Reporting lines

Obligation on the bidder:
The NDA is signed between Transnet SOC Ltd and the bidding company named in the RFP bid response.
Signing binds the bidder to the confidentiality terms set out below for the duration of the bid process and beyond.

All information exchanged between Transnet and the bidder must be kept secret and may not be disclosed to any other person without Transnet's prior written consent.
Information may be used only for technical and commercial discussions relating to the bid, or for performing any resulting contract.
Disclosure is permitted only to staff, advisers, contractors or sub-contractors who strictly need to know, and the bidder remains liable for their actions; disclosure required by law or a regulator is permitted, provided Transnet is notified promptly.
The bidder must store all information securely and keep a written record of what was received and copied, available to Transnet on request.
Within 7 days of a written demand from Transnet, the bidder must return all written confidential information and copies, and destroy or expunge any confidential information held electronically, then supply a director-signed certificate confirming destruction.
No public announcement of the bidder's interest in the bid, and no use of Transnet's name for publicity or marketing, without Transnet's prior written consent.
Confidentiality obligations survive termination of bid discussions and continue for 5 years.
The bidder confirms it acts as principal, not as nominee, agent or broker, and bears its own and its advisers' costs of pursuing the bid.

Confidentiality
Information disclosed by either party must be treated as secret and may not be communicated or disclosed to anyone else without the disclosing party's written consent.
Use is limited to technical and commercial discussions about the bid, or to performing any contract arising from it.
Disclosure to staff, advisers, contractors or sub-contractors is allowed only where they strictly need to know; they must be told the information is confidential, and the bidder remains liable for their breaches.
Disclosure compelled by law or a regulator is allowed, but the other party must be notified promptly and given cooperation to challenge the requirement.
On becoming aware of any unauthorised copying, disclosure or use, the bidder must notify Transnet promptly and take steps, including legal proceedings, to remedy and prevent further breach.
All confidential information remains the property of the disclosing party; no intellectual property or other rights pass to the recipient.
Records and return of information
Information and copies must be stored securely.
A written record of information received, copies made and their location must be kept and supplied to Transnet on request.
Within 7 days of a written demand, all written confidential information and copies must be returned and any electronic copies destroyed or expunged; a director-signed certificate of compliance must be supplied on request.
Announcements
Neither party may announce or disclose its prospective interest in the bid without the other's prior written consent.
Neither party may use the other's name or information gained through the dealings for publicity or marketing without prior written consent.
Duration and status
Obligations survive the end of bid discussions and continue for 5 years thereafter.
Each party acts as principal, not as nominee, agent or broker, and carries its own and its advisers' costs.
Breach does not limit the disclosing party's other remedies at law or in equity, including specific performance and damages.

General
Assignment requires the other party's prior written consent, except that Transnet may assign to any Transnet Group member at any time.

Provisions are severable if any is held invalid or unenforceable.
The agreement may only be modified in writing, signed by authorised representatives of both parties.
Nothing creates a partnership, joint venture or agency between the parties.
South African law governs, and the South African courts have exclusive jurisdiction.
RFX Declaration Form: bidders must confirm they have read and accept the Supplier Integrity Pact; the successful bidder's contract automatically incorporates the pact.
Breach of Law Form: declares any serious breach of law in the past five years.
Conflict of interest declaration: disclose any family, business or social relationship between the bidder's owners, members, directors, partners or shareholders and a Transnet employee or Board member.
Foreign bidders: disclose the name and address of any South African agent or representative involved in the bid.
South African bidders: disclose the name and address of any foreign principal involved in the bid.
Code of conduct: Transnet may require a copy; it must include a compliance programme and reject bribery and unethical conduct.
Disqualification risks
Bidder or any member, director, partner or trustee appearing on National Treasury's Register of Tender Defaulters or List of Restricted Suppliers.
Undeclared subcontracting: a penalty of up to 10% of the contract value applies.
False or forged documents, misrepresentation, collusion or price disclosure to competitors.
Bidders must sign and comply with the Supplier Integrity Pact; the pact forms part of the final contract.
No award may be made to a bidder on National Treasury's Register of Tender Defaulters or List of Restricted Suppliers; Transnet may withdraw an award or cancel a contract if a bidder is later found to be restricted by another government institution.

The bid price must be determined independently, without consultation, communication, agreement or arrangement with any competitor on prices, market allocation, pricing methods or formulas, the intention to bid or not to bid, or the specifications and conditions of the bid.
The bid terms must not be disclosed, directly or indirectly, to any competitor before the official bid opening or contract award.
Joint venture or consortium partners may communicate with each other without that being treated as collusive bidding.
Undeclared subcontracting: penalty of up to 10% of the contract value.
On violation, Transnet may recover all sums already paid, with interest, and may encash any advance bank guarantee, performance bond or warranty bond furnished by the bidder.
Transnet may cancel the contract or any other contracts with the bidder without compensation.
Zero Gifts Policy: no Transnet employee may solicit, give or accept any gift, gratuity, favour, entertainment, loan or anything of monetary value, regardless of value.
Bidders must not offer or give any bribe, commission, fee, brokerage or inducement to any Transnet employee or related third party.
Bidders must not collude with other interested parties, enter illegal or dishonest agreements, or introduce cartels into the bidding process.
Bidders must not commit any criminal offence under South African or foreign anti-corruption laws, or misuse Transnet information.
Bidders must uphold the ten United Nations Global Compact principles on human rights, labour, the environment and anti-corruption.
Bidders must not lend to, borrow from, or enter into monetary dealings with any bid committee member or person involved in the sourcing process.
Bidders must not litigate against Transnet in bad faith, including vexatious proceedings, perjury, scurrilous allegations or abuse of court process.
Restriction grounds
Withdrawing a bid in bad faith after the closing date and time.
Refusing to sign a contract after being notified of bid acceptance.
Unsatisfactory contract performance or breach of contract conditions.
Offering, promising or giving a bribe in relation to the contract.
Acting fraudulently, improperly or in bad faith towards Transnet or any public body.
Making an incorrect statement about local content or B-BBEE status without reasonable grounds.
Submitting false information under the Preferential Procurement Regulations, 2017, or failing to declare subcontracting arrangements.
Causing Transnet unrecoverable damage or costs.
Restriction may last up to 10 years, or longer depending on the gravity of the misconduct; Transnet may also terminate existing contracts.
A supplier may not subcontract any portion of the contract to a restricted company.
Transnet may revoke an exclusion if the bidder proves it has repaired the damage and implemented a suitable corruption prevention system.
Bidders must uphold the ten UNGC principles when doing business with Transnet.
Human rights: support and respect internationally proclaimed human rights, and avoid complicity in human rights abuses.
Labour: uphold freedom of association and collective bargaining; eliminate forced and compulsory labour; abolish child labour; eliminate discrimination in employment and occupation.
Environment: support a precautionary approach to environmental challenges; promote greater environmental responsibility; encourage development and diffusion of environmentally friendly technologies.
Anti-corruption: work against corruption in all its forms, including extortion and bribery.
Code of conduct
Transnet may require a copy of the bidder's code of conduct, which must include a compliance programme and reject bribery and other dishonest or unethical conduct.
It applies to all bidding processes and remains valid indefinitely unless cancelled by either party.
If any provision is invalid, the remaining provisions stay in force.
The pact does not limit any other civil or criminal legal action.
Dispute resolution
Parties must try to resolve disputes amicably.
Transnet will not do business with a company that litigates against it in bad faith, including vexatious proceedings, perjury, scurrilous allegations or abuse of court process.
Sanctions for violations
Transnet may immediately exclude the bidder from the bidding process or cancel pre-contract negotiations without compensation.
Transnet may immediately cancel an awarded or signed contract without compensation.
Transnet may recover all sums already paid, with interest.
Transnet may encash any advance bank guarantee, performance bond or warranty bond.
Transnet may cancel all or any other contracts with the bidder.
Transnet may exclude the bidder from future business with Transnet and other organs of state for a specified period.
Undeclared subcontracting attracts a penalty of up to 10% of the contract value.
Restriction process
Restriction excludes a company or person from future business with Transnet and other organs of state for a specified period.
The process starts where a prima facie case exists.

Reporting

Specimen collection from the trains, plus safe transport and processing at the laboratory in line with South African industry regulatory standards.
Testing disciplines: chemical pathology, haematology, serology, virology, molecular biology, microbiology, histology pathology and endocrinology.
Routine specimens include PSA bloods and Pap smears; staff medical surveillance may include FBC, U&E, hepatitis B, hepatitis A and sputum.
Emergency specimens include urgent bloods after accidental exposure to contaminated body fluids (eye splashes, needle-prick injuries), such as HIV ELISA, FBC, hepatitis B and hepatitis A.

Consumables and support
Supply specimen collection tools for storage and transport: blood tubes, specimen holders, labels, Pap smear kits, clear plastic holders for forms and specimens, including liquid and conventional cytology.
Supply laboratory forms (for example haematology and cytology forms) and labels per laboratory protocols.
Turnaround times
Emergency specimens: maximum 12 hours, unless the specific test protocol requires longer.
All other specimens: maximum 72 hours.
Results and reporting
Two copies of routine results (PSA and Pap smears): one to the patient's nearest local clinic and one to Phelophepa, to support continuity of care and follow-up by the local Department of Health.
Emergency results emailed to the requesting clinician on Phelophepa at the address on the request form.
Result channels: hard copies, email to the Phelophepa clinic manager for selected results, web-based system or mobile app for authorised users, and a system to handle telephonic clinician enquiries.
Reports must include full interpretation and reference ranges; provisional results made available as appropriate; amended results flagged on the report and the clinician informed; any turnaround delay due to service interruption communicated to the client or referring clinician.
Capacity
National footprint required, including deep rural areas, without compromising quality or turnaround times; confirmed by affidavit.
Phelophepa stays in an area for a minimum of one week and a maximum of two weeks; stations change, so a travel rate per kilometre must be quoted.
Environmental

Submit a SARS Tax Compliance Status PIN, or a printed TCS certificate, or a CSD number where no TCS is available.
Tax matters of the successful bidder must be in order or satisfactory arrangements made with SARS.

Contract duration: three years.
The supplier is fully responsible to Transnet for the acts and omissions of anyone it employs directly or indirectly.
The supplier must meet all requirements of the RFP.
The contract is governed by the Master Agreement, Transnet's General Bid Conditions, the Supplier Integrity Pact and the Non-Disclosure Agreement.
Renewals of required documents must be presented to Transnet when due; failure entitles Transnet to terminate the agreement immediately without liability and without prejudice to damages claims.
