• Bidders with a conflict of interest are disqualified, including bidders with a controlling partner or majority shareholder in common, or a relationship giving access to another bidder's information or influence over the employer's decision.

B-BBEE and preference points

• To claim preference points, submit a valid B-BBEE certificate from a SANAS-accredited verification agency, a sworn affidavit or a CIPC affidavit.
• Also submit proof of ownership or shareholding (preferably CIPC documentation) with the shareholding breakdown, certified ID copies of shareholders, and proof of disability where applicable.
• Trusts, consortiums and joint ventures, including incorporated ones, must submit a consolidated B-BBEE status level verification certificate.
• Failure to submit preference point evidence does not disqualify a bidder but limits scoring to price only.

Standard forms

• SBD 1 (Invitation to Bid): signed offer cover page, required from all bidders including foreign suppliers.
• SBD 4 (Bidder's Disclosure): discloses whether any director, member or shareholder is employed by the state or connected to anyone at Eskom.
• SBD 6.1 (Preference Points Claim Form): claims preference points under the PPPFA 2022 regulations.
• SBD 6.2 (Declaration Certificate for Local Production and Content): declares local content where designated materials apply.

• Any other safety or quality documents required by the scope of work.

Contract form: NEC Main Option A — price contract with price list, with W1 dispute resolution procedure. Secondary options: X1 price adjustment for inflation, X2 changes in the law, X17 low service damages, X18 limitation of liability, X19 task order, X20 key performance indicators, and Z additional conditions of contract.

• CIDB requirements, Contract Skills Development Goals and Contract Participation Goals: not applicable.
• Payment terms: contracts below R50 000 000 including VAT are paid within 30 days of receipt of undisputed invoices; contracts above R50 000 000 including VAT within 60 days.
• Contractual requirements are not evaluation criteria; they are assessed after evaluation and ranking, and proof must be submitted before award. Failure to meet them by the stipulated deadlines may render the tender non-responsive and ineligible for award.

Additional conditions of contract apply as set out in Annexure Z.

• Main contractors and suppliers are discouraged from subcontracting to their own subsidiaries, as this may be treated as subcontracting with themselves or as fronting. Any subcontracting to a subsidiary must be declared in the tender.
• Eskom may negotiate with preferred bidders after the competitive process if tendered prices are not market related.
• Eskom's standard payment terms apply: 30 days for contracts below R50 000 000 including VAT and 60 days for contracts above that value.

Eligibility criteria: the bidder, or any of its principals, must not be restricted from doing business with Eskom or any state-owned company; must not have the nationality of a country on an international sanctions list; may not submit more than one tender except where the E-tendering size limit requires it; must not have a conflict of interest; must be signed by an authorised person; must not be restricted by National Treasury or listed on the Tender Defaulters list; and may not subcontract 100% of the scope of work. Joint ventures and consortiums must record joint and several liability in their agreement. Eskom disqualifies bidders that do not meet these criteria.

Functionality requirements apply. Phase One is a mandatory desktop evaluation covering experience in providing fire-training services and the functionality of the fire-training offering. Bidders who do not meet the functionality threshold are disqualified. Price is scored out of 80 or 90 points under the 80/20 or 90/10 system, and bidders are ranked on the combined price and specific goals score. Eskom may award to a bidder other than the highest scoring where objective criteria justify it.

Disqualification risks

• A bidder listed on the Register for Tender Defaulters or the List of Restricted Suppliers is automatically excluded from the bid process.
• A disclosure found to be untrue or incomplete disqualifies the bid.
• Collusive bidding, or disclosing bid terms to a competitor before bid opening or contract award, is prohibited.
