Quality Management
Source: General Conditions of Contract- Inclusion of par 34 CIBD.pdfInspections and tests: pre-bidding testing is for the bidder's account. If bid conditions require inspection during production or on completion, the supplier's premises must be open at all reasonable hours for inspection by the department or its representative. If inspections are decided during the contract period, the purchaser arranges and pays for them. Cost of inspections: purchaser bears cost if supplies comply; supplier bears cost if supplies do not comply. Non-compliant supplies may be rejected. Post-delivery inspection: any supplies may be inspected after delivery and rejected if non-compliant; rejected supplies held at supplier's cost and risk; supplier must remove and replace immediately at own cost; if supplier fails, purchaser may procure substitutes at supplier's expense. Standards: goods must conform to standards mentioned in the bidding documents and specifications (SCC). Warranty: supplier warrants goods are new, unused, current models, incorporating recent improvements, free from defects in design, materials, or workmanship for 12 months after delivery/acceptance at final destination or 18 months after shipment, whichever ends first (unless SCC specifies otherwise). Supplier must repair/replace defects within period specified in SCC at no cost to purchaser; if supplier fails, purchaser may remedy at supplier's risk and expense. Patent rights: supplier indemnifies purchaser against third-party claims of patent, trademark, or industrial design infringement arising from use of goods.
Financial Requirements
Source: General Conditions of Contract- Inclusion of par 34 CIBD.pdf (TENDER)Performance security: the successful bidder must furnish performance security within 30 days of contract award notification, in the amount and form specified in the SCC (bank guarantee, irrevocable letter of credit, or cashier's/certified cheque). Security is discharged within 30 days after completion of all performance and warranty obligations unless SCC states otherwise. Payment: supplier must submit invoice with delivery note; purchaser pays within 30 days of invoice submission; payment in Rand unless SCC stipulates otherwise. Prices quoted are firm for the contract duration except for adjustments authorised in SCC. Insurance: goods must be fully insured in a freely convertible currency against loss or damage during manufacture, transportation, storage, and delivery as specified in SCC. Transportation: if a price other than all-inclusive delivered price is required, it will be specified in SCC.
Compliance Requirements
Source: General Conditions of Contract- Inclusion of par 34 CIBD.pdf (TENDER)Tax compliance: no contract will be concluded with any bidder whose tax matters are not in order; prior to award the department must hold a valid original tax clearance certificate from SARS. Foreign suppliers are responsible for all taxes, duties, and levies outside South Africa; local suppliers are responsible for all taxes and duties incurred until delivery. National Industrial Participation Programme (NIPP) applies to all contracts subject to the NIP obligation. Collusive bidding is prohibited under the Competition Act No. 89 of 1998; guilty parties may have bids invalidated, contracts terminated, be restricted from public sector business for up to 10 years, and face damages claims. Restriction penalties may be imposed by the Accounting Officer/Authority for up to 10 years and are reported to National Treasury within 5 working days. Conviction under the Prevention and Combating of Corrupt Activities Act leads to endorsement on the Register for Tender Defaulters (5-10 year prohibition).
Contractual Terms
Source: General Conditions of Contract- Inclusion of par 34 CIBD.pdfCollusive bidding (bid rigging) is prohibited in terms of section 4(1)(b)(iii) of the Competition Act No. 89 of 1998, as amended. An agreement between, or concerted practice by, firms, or a decision by an association of firms, is prohibited if it is between parties in a horizontal relationship and involves collusive bidding. If a bidder or contractor, based on reasonable grounds or evidence obtained by the purchaser, has engaged in such restrictive practice, the purchaser may refer the matter to the Competition Commission for investigation and possible administrative penalties. If found guilty by the Competition Commission, the purchaser may invalidate the bid(s) for the affected item(s), terminate the contract in whole or part, restrict the bidder/contractor from conducting business with the public sector for a period not exceeding ten (10) years, and/or claim damages.
