Disqualification risks:

• Incomplete or late submission.

Evaluation is in four phases:

Phase 1 – Initial Screening: compliance with RFP requirements, CSD checks (company registration, tax compliance), submission of all required documents, B-BBEE status certification, and ID copy of Company Representative. Failure leads to disqualification.

Phase 2 – Technical/Functionality: Mandatory functional requirements must be met (else disqualification). Other functional requirements weighted:

• Bidder's Relevant Experience: 30
• Proposed Methodology & Approach: 30
• Proposed Project Plan: 10
• Qualifications, Skills and Experience of Key Personnel: 30
• Minimum qualifying score for functionality: 70%. Bids below this are excluded from further evaluation.

Phase 3 – Preference Point System (80/20):

• Price: 80 points
• B-BBEE: 20 points

Specific goals (80/20 system):

• Black ownership: 10 points (100% black-owned scores full 10; 51%–99.99% scores 4)
• 30% Black women ownership: 5 points
• Any % ownership by Black Designated Groups: 2 points
• Promotion of SMMEs (EME or QSE): 3 points

Only direct Black shareholding with exercisable voting rights (including ESOPs) qualifies for specific goal points.

Phase 4 – Objective Criteria: award to highest scoring bidder unless objective criteria justify otherwise. Risk assessed on reputational risk (disclosure and CRAD screening), concentration risk, financial capability, and past performance in IDC contracts.

The IDC, on behalf of Infrastructure South Africa (ISA), seeks a Transaction Advisor to prepare a bankable feasibility study, business case, and implementation readiness for the Oppitopi Reservoir Node upgrade in Ramotshere Moiloa Local Municipality (RMLM).

Project context:

• Oppitopi Reservoir Node is the primary hydraulic junction, final treatment centre, and bulk storage for the Rietpoort-Doornfontein Borehole Scheme, supplying ~9 Ml/day potable water to Zeerust.
• The node has two reservoirs: Reservoir 1 (raw/partially treated water, chemical dosing) and Reservoir 2 (chlorinated water, final balancing, bulk pump station).
• Critical issues: aged asbestos cement (AC) piping (200m interlink and downstream lines), obsolete pump sets and MCCs, manual chemical dosing, no telemetry, elevated non-revenue water losses.

Scope of work – four phases (modular; IDC may appoint for one or more phases):

Phase 1 – Information Review and Gap Analysis:

• Updated needs assessment (water demand, storage, peak pressure for Zeerust)
• Scoping gap analysis report (structural records, pump maintenance, water quality logs, pipe burst metrics)

Phase 2 – Comprehensive Feasibility Study:

• Technical feasibility: structural concrete repair, hydraulic sizing, electro-mechanical configurations, automated chlorination, SCADA/telemetry, dynamic hydraulic modelling (downstream impact on Sandvlakte and Bonanza reservoirs)
• Environmental and statutory feasibility: baseline review, water-use licence applications (WULA) or general authorisations, asbestos cement handling protocol, specialist screenings (geotechnical, ecological/wetland, heritage, land-use, traffic, construction), application management until permits obtained
• Economic and financial feasibility: lifecycle cost matrices (CAPEX/OPEX), cost-benefit analysis (tariff impacts, energy savings, NRW reduction)
• Institutional, social, operational assessment: RMLM capacity, risk register, brownfield construction risk mitigation strategy
• Preliminary design package (drawings, schematics, process flow diagrams)
• Consolidated comprehensive feasibility study report

Phase 3 – Transaction Advisory and Implementation Readiness:

• Dynamic financial model (project viability, tariff/grant affordability, fiscal sustainability, risk allocation)
• Implementation readiness report (statutory conditions, procurement plan, packaging strategies e.g., FIDIC Red vs Yellow Book, draft scopes of work, tender evaluation criteria)
• Transaction advisory and funding support (funding strategy, capital funding applications)

Phase 4 – Intermediate Business Case Compilation:

• Compile ISA 5-Case Intermediate Business Case (IBC)
• Abridged summary document of 20–25 pages covering objectives, demand analysis, options, socio-economic analysis, financial model, risk, procurement, institutional readiness

General requirements:

• Bi-weekly progress meetings with ISA and RMLM
• Inform ISA and RMLM before contacting third parties
• Sign a non-disclosure agreement (NDA)
• Disclose any current work with ISA

Timeline: complete within 8 months from appointment.

The assignment uses the Five-Case Model methodology and consists of four phases:

Phase 1: Information Review and Gap Analysis – consolidate baseline asset conditions, validate operational metrics.

Phase 2: Comprehensive Feasibility Study – detailed technical, environmental, statutory, economic, financial, and institutional engineering assessments, culminating in a preliminary design package.

Phase 3: Transaction Advisory and Implementation Readiness – structure commercial delivery routes, municipal risk allocations, procurement packaging, and capital funding applications.

Phase 4: Intermediate Business Case Compilation – integrate all deliverables into a unified investment dossier for capital approval.

The proposed methodology must be project-specific, covering information verification, structural integrity testing of Reservoirs 1 & 2, hydraulic modelling, modernisation of dosing and pump systems, regulatory execution framework for environmental authorisations and AC pipe handling, synthesis of technical and financial inputs into a financial lifecycle model, QA/QC mechanisms, risk management, and stakeholder interfaces. Complete within 8 months.

Bidder's experience:

• Must demonstrate relevant experience in infrastructure project preparation, technical feasibility studies, transaction advisory, implementation readiness, and business case development for water and sanitation infrastructure projects.
• Provide three (3) references of water and sanitation infrastructure projects, with contactable references (name, designation, relationship, email, telephone). Invalid if not provided.

Key personnel:

• Minimum 5 years' post professional registration experience (for regulated professions).
• Project Lead: registered with ECSA as Pr. Eng, or SAICA/SAIPA.
• Technical Lead / Civil & Structural Engineer: registered with ECSA as Pr. Eng, with experience in bulk water reservoir structural design/rehabilitation and hydraulic pipeline sizing.
• Finance Lead: registered with SAICA/SAIPA; FMVA certification advantageous.
• Economics Lead: experience in socio-economic impact assessments and formal Cost-Benefit Analyses for public infrastructure.
• Additional resources as essential, with relevant experience and valid professional registration.

Submit team structure, CVs of key personnel, and proof of professional registration.

The proposed methodology must incorporate robust Quality Assurance/Quality Control (QA/QC) mechanisms to ensure accurate sizing, hydraulic layouts, and bankable transaction outputs.

Cost proposal requirements:

• All prices VAT inclusive, quoted in ZAR.
• Rates firm for full contract period unless otherwise specified.
• All additional costs included in total bid price.
• Payments linked to approved deliverables, paid within 30 days from invoice.
• IDC may consider National Treasury Instruction 02 of 2016/2017 (Cost Containment Measures).
• Costing model requires detailed breakdown per phase (Phase 1 to Phase 4) including resources, rate/hour, number of hours, total cost, disbursements, and VAT.
• Disbursements must be clearly defined; if no charge, state "No Charge / Free of Charge". Failure results in penalty (highest bidder's cost + 50%).
• Complete Price Declaration Form with total bid amount.

Pricing format:

• All prices must be VAT inclusive (where applicable) and quoted in South African Rand (ZAR).
• Rates must be firm for the full contract period unless otherwise specified (provide basis for adjustments, e.g., CPI).
• All additional costs must be included in the total bid price.
• Indicate if bid price is linked to exchange rate; if yes, specify which portion.

Costing model:

• Detailed breakdown per phase (Phase 1 to Phase 4) with resources, rate/hour, number of hours, total cost, disbursements, and VAT at 15%.
• Disbursements (travel, accommodation, printing, etc.) must be clearly defined with assumptions. If no charge, state "No Charge / Free of Charge". Failure to do so results in IDC penalising the bid by taking the highest bidder's cost and adding 50% for price comparison.
• Provide summary of costs: number of resources, project duration (hours and months), commencement date.

Payment terms:

• Payments linked to approved deliverables, made within 30 days from date of invoice.

Cost containment:

• IDC may consider National Treasury Instruction 02 of 2016/2017 (Cost Containment Measures), including the DPSA Guide on Hourly Fee Rates for Consultants.

Price Declaration Form:

• Must be completed stating total bid amount (VAT inclusive).

CSD registration:

• Bidders must be registered on the Central Supplier Database (CSD) and submit CSD supplier number and unique registration reference.

Tax compliance:

• Tax affairs with SARS must be in order; provide written confirmation of tax compliant status.
• Annexure 3 (Tax Compliance Requirements) must be completed and signed.

B-bbee:

• Submit B-BBEE verification certificate. EMEs (annual revenue < R10 million) and QSEs (annual revenue R10–R50 million) may submit a sworn affidavit confirming annual total revenue and level of black ownership. Misrepresentation is a criminal offence under the B-BBEE Act.
• Bidders encouraged to partner with black-owned entities (50%+1 black owned and controlled) and submit a partnership/subcontracting proposal.

Company documentation:

• Certified copy of Board Resolution authorising signatory.
• Certified ID copy of Company Representative.
• Annexure 2 (Acceptance of Bid Conditions and Bidder's Details) – includes bidding structure (individual, JV/consortium, prime with subcontractors) and company details.
• Annexure 4 (Bidder's Disclosure), Annexure 5 (Shareholders and Directors Information), Annexure 7 (Disclosure Statement), Annexure 8 (POPIA requirements).

Financial statements:

• Latest audited financial statements (where applicable per Companies Act) or independently reviewed financial statements, or cashflow budget for new entities.

Other:

• If prime contractor with subcontractors, prime must not hold lower % of contract value than any subcontractor.
• Consent to background checks including FICA verification.

B-BBEE requirements:

• Submit a B-BBEE verification certificate. EMEs (annual revenue < R10 million) and QSEs (annual revenue R10–R50 million) may submit a sworn affidavit confirming annual total revenue and level of black ownership. Misrepresentation is a criminal offence under the B-BBEE Act.
• Bidders encouraged to partner with black-owned entities (50%+1 black owned and controlled) and submit a partnership/subcontracting proposal detailing portion of work outsourced and level of involvement of the black-owned partner.
• Specific goals points (80/20 system): Black ownership (10 points), 30% Black women ownership (5 points), any % ownership by Black Designated Groups (2 points), Promotion of SMMEs (EME or QSE) (3 points). Only direct Black shareholding with exercisable voting rights (including ESOPs) qualifies.

The scope includes a dedicated compliance assessment and management protocol for the handling, removal, transportation, and disposal of Asbestos Cement (AC) pipes, and statutory occupational health protocols regarding hazardous materials.

Environmental and statutory feasibility requirements:

• Baseline & statutory review of environmental, water-use, municipal, and servitude documentation.
• Water-use & hydrological feasibility: conduct hydrology, stormwater, and water-use regulatory assessments; prepare Water Use Licence Applications (WULA) or General Authorisations (GA).
• Hazardous materials & physical infrastructure safety: compliance assessment and management protocol for AC pipes.
• Specialist technical & environmental screenings: geotechnical site-risk, ecological/wetland sensitivity, heritage, land-use/servitude, traffic, and construction impacts.
• Application management & client support: identify, scope, compile, and manage all statutory applications until final permits/authorisations/clearances are obtained.

Contract conditions:

• Successful bidder must conclude a Service Level Agreement (SLA) with IDC, forming part of the supply agreement.
• IDC may amend bid conditions, validity period, or specifications before closing; amendments posted on IDC website.
• IDC may not accept the lowest priced bid, may conduct site visits, request additional information, and appoint any number of vendors.
• Bidder must sign a non-disclosure agreement (NDA) and disclose any current work with ISA.
• Progress meetings with ISA and RMLM on a bi-weekly basis.
• Bidder must notify IDC Procurement within five days if functional requirements are not open/fair.
• Bidder may be required to mentor SMMEs and/or Youth-Owned businesses (subject to negotiation).
• Bidder must prepare for a possible presentation within five days of notification.
• All costs of bid preparation are for the bidder's account; supporting documentation becomes IDC property unless stated otherwise.

Special instructions:

• Bidders must provide full and accurate answers, explicitly state "Comply/Not Comply" where required, and substantiate responses. Failure to comply with Mandatory Requirements may lead to disqualification.
• The IDC promotes enterprise development; successful bidders may be required to mentor SMMEs and/or Youth-Owned businesses.
• Bidders are encouraged to partner with black-owned entities (50%+1 black owned and controlled).
• The IDC reserves the right to appoint for one or more phases subject to budget availability and performance.
