Pricing schedule: complete unit prices and quantities for all 17 line items. Failure to price all items results in disqualification.

Prices must be submitted exclusive of VAT, with VAT and total inclusive of all taxes shown.

Bidders must be registered for VAT with SARS; prices are deemed to include all applicable taxes, duties and statutory obligations.

Bidders whose offer excludes VAT will not be allowed to charge VAT after award.

Payment terms: no advance payments; payment within 30 days after submission of the monthly statement.

Penalty: Rand Water may impose a penalty for failure to perform or deliver, deducted from the payment statement.

CSD registration: required; all CSD-registered active companies linked to directors must be disclosed, otherwise disqualification.

Tax compliance: valid tax compliance status PIN required.

B-BBEE: SANAS accredited B-BBEE certificate, or sworn affidavit for EMEs/QSEs, or the dtic B-BBEE certificate required for scoring.

VAT registration: mandatory where applicable.

SBD 4 (Declaration of Interest): must be completed and signed.

Company Resolution Letter: proof of authority required.

Bidders must not be listed on the Register for Tender Defaulters or the List of Restricted Suppliers.

Specific goals: Rand Water's specific goals are to empower previously disadvantaged designated groups. This is evaluated using a SANAS accredited B-BBEE certificate, sworn affidavit for EMEs/QSEs, or the dtic B-BBEE certificate. Points awarded per B-BBEE status level: Level 1 = 20, Level 2 = 18, Level 3 = 14, Level 4 = 12, Level 5 = 8, Level 6 = 6, Level 7 = 4, Level 8 = 2, Non-compliant = 0. Bidders not submitting a certificate will score zero but will not be disqualified.

General terms and conditions:

• Specifications: goods must conform to the Purchase Order; all materials new and unused unless agreed. Rand Water may inspect and reject defective goods within 7 days after delivery; rejected goods replaced at bidder's cost.
• Fixed price: price is fixed and invariable unless agreed in writing.
• Delivery time: fixed; Rand Water may cancel the order if delivery is not made as agreed.
• Purchase Order: Rand Water may procure additional or same/similar products from other bidders.
• Risk: bidder bears all risk until delivery is completed and confirmed.
• Liability: Rand Water may deduct costs, damages or expenses from monies due to the bidder.
• Penalty: penalty for failure to perform or deliver, deducted from payment; does not relieve the bidder of obligations.
• Force Majeure: bidder must notify Rand Water in writing within 48 hours of becoming aware; includes natural disasters, war, riot, strikes.
• Guarantee: 12 months warranty against defects (excluding consumables); repairs/replacements carry the same guarantee period.
• Payment: no advance payments; payment within 30 days after monthly statement; payment does not prevent dispute.
• Warranty: 12 months warranty, goods free from defects and conform to specifications; Rand Water may reject non-conforming goods.
• Termination for convenience: Rand Water may terminate without liability; payment only for goods delivered and accepted.
• Termination for default: Rand Water may terminate if bidder fails to deliver, makes insufficient progress, or fails to comply; 10 days cure period.
• Confidentiality: bidder must treat all information as confidential.
• Insurance and indemnity: bidder maintains insurance including professional indemnity; indemnifies Rand Water against claims.
• Compliance with laws: bidder must comply with all applicable laws and Rand Water policies.
• Governing law: South African law, SA courts jurisdiction.
• Amendment: no amendments without written approval; no price adjustments unless stipulated.
• Domicilium and notices: parties choose addresses; notices by hand or registered post.
• POPI: Rand Water processes information per POPI Act.
• Authority to bind: Purchase Order valid only if signed by delegated authorities.
