Scope

Records and information access
A proper accounting system must be kept, reflecting the service provider's financial position and time and expenses relating to the services.
Up-to-date accounting and other records identifying time spent and expenses incurred must be kept for 5 years from the termination date.
PRASA may require information, inspect and copy documents, data, procedures, event logs, transaction logs, audit trails, books, records, agreements and correspondence.

Payment

Health, safety and security on PRASA premises
Personnel must comply at all times with PRASA's standard health, safety and security procedures and guidelines while on PRASA premises.

Appointment and duration
The service provider joins PRASA's panel on a non-exclusive basis and performs work only when instructed; no minimum volume of work is guaranteed.

PRASA may inspect and copy documents, data, logs, audit trails and correspondence, meet with personnel on reasonable notice, and must be assisted at no cost.
Where fraud or unlawful activity is reasonably suspected, PRASA has immediate access to all records.
Inspections take place during business hours with minimum disruption.
Warranties
Registration with the Law Society and any other professional bodies required for the work, plus the necessary experience, ability and expertise.

Indemnity and confidentiality

Confidential information may not be disclosed to third parties, except where required by law or court order or for normal reporting to shareholders, auditors or professional advisers.
Media enquiries about PRASA must be referred to PRASA immediately without comment unless written authority to respond is given.
Breach and termination
7 business days' written notice to remedy a breach; serious breaches may be terminated summarily.
Immediate cancellation is permitted on liquidation or judicial management, insolvency or sequestration, cessation of business, a compromise with creditors, or an unsatisfied judgment standing for 7 business days.
Immediate cancellation also applies where a representation, warranty or statement is materially incorrect, or ceases to be correct during the term.
Dispute resolution
Disputes go first to mediation, which is a precondition to arbitration, and then to arbitration under the current Arbitration Foundation of Southern Africa (AFSA) rules.
Mediation before an independent mediator with expertise in the entertainment business; if unresolved within 15 business days, the matter goes to arbitration.
Arbitration is expedited, held in Sandton, before 1 arbitrator agreed by the parties, including any appeal; if no agreement within 10 business days of referral, the AFSA Secretariat appoints.
