Contractual Terms

Termination for default: The municipality may terminate in whole or in part if the service provider fails to deliver within the specified periods, fails to perform obligations, or engages in corrupt or fraudulent practices. The service provider may be liable for excess costs of procuring similar services and may be restricted from doing business with the public sector for up to 10 years.
Termination for insolvency: The municipality may terminate if the service provider becomes bankrupt or insolvent, without compensation.
Disputes: Parties must attempt amicable resolution; after 30 days, either party may give notice to commence mediation; unresolved disputes may be settled in a South African court. Performance continues during dispute resolution.
Penalties: For delayed delivery or performance, the municipality may deduct a penalty calculated on the delivered price using the current prime interest rate for each day of delay.
Warranty: The supplier warrants goods are new, unused, of current models, and free from defects for 12 months after delivery or 18 months after shipment, whichever ends earlier.
Payment: Invoices paid within 30 days of submission; payment in Rand unless otherwise stipulated. VAT must be shown clearly on each invoice; invoices above R3,000 must disclose the recipient's VAT registration number.
Prices: Prices charged must not vary from those quoted, except for authorised price adjustments or bid validity extensions.
