Closing date: 22 September 2026 at 11:00 (from tender record). Contract duration: 78 weeks (18 months) from Contract Date. Key dates: FIDPM Stage 3 inception/design basis accepted at 4 weeks; coordinated design development accepted at 10 weeks; Stage 4 issued-for-construction design accepted at 16 weeks; application/cloud development environment established at 24 weeks; long-lead equipment procured at 36 weeks; installation complete at all nine gates and cloud/mobile build complete at 60 weeks; cybersecurity verification completed at 66 weeks; SAT and performance certification at 70 weeks; operations and maintenance training at 76 weeks; complete handover and Completion at 78 weeks. Sectional completion for Airlink/SAA Technical/Denel Aviation gates and Gates V1-V5 at 70 weeks. Access dates for all site areas from Starting Date subject to permits and approved access. Defects date: 52 weeks after Completion. Defect correction period: 1 week for safety-critical defects, 2 weeks for other defects.

Adjudicator nominating body: Chairman of the Johannesburg Society of Advocates. Arbitration venue: city where Site is located, within South Africa. Arbitrator selection: Chairman of the Association of Arbitrators (Southern Africa) or nominee.

Submission is by completing and signing the Form of Offer and Acceptance (C1.1) and returning it with all returnable schedules and documents listed in the Tender Data. The offer must state the total of the Prices exclusive of VAT, VAT at 15%, and the total inclusive of VAT in figures and words. The signed Form of Offer and Acceptance, Schedule of Deviations (if any), and all returnable documents must be delivered to the Employer's agent (details in Contract Data) within two weeks of receiving a completed copy of the agreement. Failure to provide securities, bonds, guarantees, proof of insurance and other documentation required by the conditions of contract constitutes repudiation. The tenderer must notify the Employer in writing within five working days of receipt if it cannot accept the agreement contents.

The contract uses the NEC3 Engineering and Construction Contract (April 2013) with main Option A (Priced contract with activity schedule), dispute resolution Option W1, and secondary Options X2, X5, X7, X13, X16, X18 and additional Z clauses. Key dates and sectional completion dates are specified for design stages, procurement, installation, testing, training and handover across the 78-week contract period. Delay damages are R1,000 per calendar day for Completion of the whole works, subject to contractual limits. The Contractor must submit a first programme within 2 weeks of Contract Date and revised programmes at intervals no longer than 4 weeks. A quality plan must be submitted for acceptance within 4 weeks of Contract Date. Payment assessment intervals are the 7th calendar day of each month; payment is made within 4 weeks of receipt of a valid tax invoice. Compensation events must be notified within 4 weeks of awareness and only affect prices/dates if they impact the critical path. The Contractor's total liability is limited to the total of the Prices; neither party is liable for indirect or consequential loss.

Payment within 4 weeks of valid tax invoice. Performance bond: 5% of total Prices excluding VAT. Retention: 5% of each amount due, retention-free amount R0, maximum retention 5% of total Prices. Delay damages: R1,000 per calendar day for whole works completion. Contractor's total direct liability limited to total of Prices.

Pricing: Priced contract with activity schedule (Option A). Currency: South African Rand. Performance bond: 5% of total Prices excluding VAT, unconditional on-demand bond from bank/insurer accepted by Project Manager and Employer, valid until end of contract period (extend 4 weeks prior to expiry if needed). Retention: 5% of each amount due; retention-free amount R0; maximum retention 5% of total Prices. Delay damages: R1,000 per calendar day for Completion of whole works, subject to contractual limits. Payment terms: assessment interval 7th calendar day each month; payment within 4 weeks of valid tax invoice. Contractor's total direct liability limited to total of Prices. Minimum insurance indemnity for property damage/bodily injury (non-employee): as stated in Contract Data. Minimum insurance for employee injury: per COIDA Act 130 of 1993 with indemnity not less than R[●]. Employer provides insurances per Annexure D and insurance schedule (C1.4). Contractor provides additional insurances as stated in C1.4.

Contractor must be registered with CIDB (registration number required on Form of Offer). Contractor must provide performance bond (5% of Prices excl. VAT) within 10 working days of award notification. Contractor must maintain valid insurance per Contract Data (C1.4). Contractor must implement and maintain quality management system per Works Information and submit quality plan within 4 weeks of Contract Date. Contractor must comply with ethics clause: no corrupt practices, compliance with Prevention and Combating of Corrupt Activities Act. Contractor must maintain confidentiality of all contract information. Contractor must keep equipment free of liens and waive liens vis-à-vis Employer. Intellectual Property rights remain with originator; Contractor grants Employer irrevocable, transferable, non-exclusive, royalty-free licence for constructing, repairing, operating, maintaining works. Joint venture/consortium members jointly and severally liable; must notify key authorised person within 1 week of Contract Date; no material composition change without Employer consent. Contractor must provide proof of subcontractor payment discharge within 5 days of Project Manager request. Contractor must attend risk reduction meetings and ensure subcontractor attendance where relevant.

Ethics clause: Contractor undertakes not to give any offer, payment, consideration or benefit constituting illegal/corrupt practice as inducement/reward for award or execution. Must comply with all anti-bribery, corruption, money laundering laws including Prevention and Combating of Corrupt Activities Act. Breach constitutes grounds for termination. Confidentiality: all contract information treated as confidential, not disclosed without prior written consent of Project Manager/Employer. Exceptions: employee disclosure for implementation, legal disclosure with prior notification, public domain information. Images of works require prior written consent; rights vest in Employer. Contractor ensures subcontractors abide by confidentiality.
