The Service Provider warrants it has the necessary power and legal capacity to enter into and perform the agreement, has taken all required corporate authorisations, and has adequate facilities to comply with its obligations. The Service Provider must perform services in accordance with Best Industry Practice, defined as the skill, diligence, prudence, and foresight expected from a skilled and experienced service provider holding itself out as an expert, seeking in good faith to comply with contractual obligations and Applicable Laws. The Service Provider must assign personnel with the required skills, experience, expertise, capacity, and knowledge. Performance is measured against Performance Standards and Targets set out in Annexure E (Service Levels and Penalties). Failure to meet Targets triggers Penalties applied as discounts on Charges for the month of default, or via credit note if Charges were paid in full. The Service Provider must maintain a complete audit trail and allow ACSA to audit performance, including compliance with Performance Standards. Audit findings requiring corrective action must be addressed via an Audit Response Plan within 10 Business Days; failure to complete the plan is a material breach.

Charges are set out in Annexure C (Details of Charges) and include VAT, transportation, delivery, storage, insurance, all taxes, duties, clearance charges, and any other direct or indirect costs. Invoices must be submitted on the last day of each month and contain the amount due for VAT, the Service Provider's VAT registration number, and any additional information ACSA reasonably requires. Payment is made within 20 Business Days of receipt of a duly prepared original invoice via electronic transfer to the bank account in Annexure A. ACSA may set off amounts due from the Service Provider against payable invoices. Disputed charges may be withheld; if resolved in the Service Provider's favour, ACSA pays withheld amounts plus interest at the Agreement Interest Rate (Nedbank prime overdraft rate, calculated daily and compounded monthly in arrears) within 20 days of resolution.

The Service Provider must consider itself "the Company" for purposes of the legislation and not under ACSA's supervision or management regarding compliance. It must ensure all statutory appointments are made, and appointees understand their responsibilities and are trained and competent. The Service Provider must maintain required insurances, including workers' compensation, and provide certificates and policy copies to ACSA.

Indemnity: The Service Provider indemnifies ACSA and its directors, employees, agents, advisors, representatives, and contractors against all loss, liability, damage, injury, costs (including attorney-own-client costs), claims, fines, penalties, interest, or expenses arising from the Service Provider's breach of the agreement, breach of any law relating to its obligations, or any claim related to liability caused by the Service Provider's breach, negligent performance, or failure/delay in performance. The Indemnified Party must notify the Service Provider promptly. The Service Provider may elect to contest the claim within 5 Business Days, controlling proceedings and indemnifying the Indemnified Party for costs. Security for costs may be required. If uncontested or finally determined against the Indemnified Party, the Service Provider pays forthwith. This indemnity constitutes a stipulatio alteri in favour of each Indemnified Party.

Audits: The Service Provider must maintain a complete audit trail of all financial and non-financial transactions. ACSA, its auditors, inspectors, and regulators may access facilities, personnel, data, and records at all reasonable times to verify charges, invoices, payments, price changes, performance against Performance Standards, general compliance, and legal requirements. The Service Provider must cooperate, including installing audit software. ACSA provides reasonable notice except for security or fraud audits. Audit costs are borne by ACSA. If overcharges are found, the Service Provider must refund the overcharge plus interest at the Agreement Interest Rate. After an audit, the Service Provider must submit an Audit Response Plan within 10 Business Days addressing deficiencies, with a completion date. Failure to complete the plan is a material breach. Records must be retained until the later of 3 years after expiration/termination, closure of all pending matters, or such other period as required by law.

Force Majeure: A Force Majeure Event includes events beyond a party's reasonable control (e.g., natural disasters, war, strikes, government actions). The affected party must notify the other promptly and use reasonable efforts to mitigate. Performance is suspended during the event. If the event persists for more than 60 consecutive days, the non-affected party may terminate without liability.

Insurance: The Service Provider must effect and maintain adequate insurance covering public liability, professional indemnity, workers' compensation, and motor vehicle liability, with limits as specified in Annexure A. Policies must name ACSA as an additional insured where applicable. Certificates and policy copies must be provided. No material alteration without ACSA's prior approval. If the Service Provider fails to maintain insurance, ACSA may effect it and set off premiums against amounts payable. Uninsured amounts and deductibles are borne by the Service Provider.

Termination: Either party may terminate on 30 Business Days' written notice. ACSA may terminate immediately for material breach (including failure to maintain B-BBEE rating, tax compliance, or insurance), insolvency, or force majeure exceeding 60 days. On termination, the Service Provider must cease services, deliver all work in progress, and return ACSA property. ACSA pays for services properly rendered up to the termination date. The Service Provider must refund any overpayments. Surviving clauses include indemnity, confidentiality, IP, audit rights, and governing law.

Dispute Resolution: Disputes are referred to senior management for good-faith negotiation within 10 Business Days. If unresolved, either party may refer to arbitration in Johannesburg under the Arbitration Act, in English, with a single arbitrator (or three for appeals). The arbitrator's award is final and binding, subject to appeal within 10 days. The award may be made an order of court. Costs are allocated by the arbitrator.

Confidentiality: Both parties must keep all confidential information secret, use it only for the agreement, and not disclose it without consent, except as required by law. Obligations survive termination for 5 years.
