Source: Annexure 4 -Transnet General Bid Conditions.pdf (TENDER)Security: The successful bidder must provide a Deed of Suretyship from an approved bank, building society, insurance or guarantee corporation. The completed form must be returned within 30 calendar days from the letter of acceptance; failure to do so (unless extension granted) allows Transnet to cancel the contract with immediate effect. No payment is made until the form is delivered.
Contract formation: The contract comprises these General Bid Conditions, the Terms and Conditions of Contract, any Special Conditions, and the bidder's bid response. Upon receipt of Transnet's letter of acceptance, these documents constitute a binding contract. If a formal contract is to be signed, the same documents plus the letter of acceptance remain binding until the final contract is signed.
Unacceptable conditions: If a bidder finds any contract condition unacceptable, it must indicate this in writing on company letterhead, offering amendments or alternatives. Transnet's Legal Counsel reviews any such submission. Bidders are given an opportunity to withdraw an unacceptable deviation; failing that, the bid is disqualified.
Governing law: The contract is governed by South African law. The bidder must specify a domicilium citandi et executandi in South Africa. Foreign bidders must name an authorised representative in South Africa.
Contract quantities: Transnet does not bind itself to purchase a definitive quantity. The successful bidder must supply such quantities as are ordered against the contract. Transnet accepts no liability for materials or stocks specially ordered by the bidder. Estimated annual quantities are provided in the RFX and are estimates only.
Delivery: Delivery periods are governed by the Terms and Conditions of Contract. The bidder may be required to submit progress reports. For emergency demands, the bidder is given first right of refusal; if it cannot meet the critical delivery period, Transnet may purchase elsewhere.
Default: If the successful bidder fails to enter into a formal contract, accept an order, furnish satisfactory security, or comply with any condition, Transnet may accept another bid or call for fresh bids and recover any additional expense from the defaulting bidder.
