Transnet Pipelines is the largest multi-product pipeline operator in Southern Africa, transporting hydrocarbons

and methane-rich gas through a network of 3114 km of petroleum and gas pipeline infrastructure. The pipeline

network transverses across 5 different provinces in South Africa (KwaZulu-Natal, Free State, Gauteng,

Northwest, and Mpumalanga) ensuring security of supply to the inland market. Along the pipeline are pump

stations located on route, block valve chambers and culverts.

Whereas Transnet is seeking a partner(s) to provide solutions for its nationally, it also seeks to improve its

emergency response equipment for emergency repairs and to provide emergency repair teams with adequate

response equipment for timeous and safe response to incidents. Also, to improve turnaround times to address

emergency response repairs on the pipeline.

The selected Supplier/Service provider(s) must share in the mission and business objectives of Transnet. These

mutual goals will be met by meeting contractual requirements and new challenges in an environment of

teamwork, joint participation, flexibility, innovation and open communications. In this spirit of partnership,

Transnet and its Supplier/Service provider(s) will study the current ways they do business to enhance current

practices and support processes and systems. Such a partnership will allow Transnet to reach higher levels of

6.6 STEP FIVE: Post Tender Negotiations (if applicable)

▪ Respondents are to note that Transnet may not award a contract if the price offered is not market-

related. In this regard, Transnet reserves the right to engage in PTN with the view to achieving a

market-related price or to cancel the tender. Negotiations will be done in a sequential manner i.e.:

o first negotiate with the highest ranked bidder or cancel the bid, should such negotiations

fail,

o negotiate with the 2nd and 3rd ranked bidders (if required) in a sequential manner.

▪ In the event of any Respondent being notified of such short-listed/preferred bidder status, his/her

bid, as well as any subsequent negotiated best and final offers (BAFO), will automatically be deemed

to remain valid during the negotiation period and until the ultimate award of business.

▪ Should Transnet conduct post tender negotiations, Respondents will be requested to provide their

best and final offers to Transnet based on such negotiations. Where a market related price has been

achieved through negotiation, the contract will be awarded to the successful Respondent(s).

6.7 STEP SIX: Award of business and conclusion of contract

• Either party may cancel the agreement without cause by giving 30 calendar days prior written notice. All purchase orders placed before cancellation remain applicable.
• The service provider may only subcontract with Transnet's approval. Undeclared subcontracting can result in a penalty of up to 10% of the contract value.
• Subcontracting is limited: no more than 25% of the contract value may be subcontracted to an enterprise with a lower B-BBEE status unless it is an Exempted Micro Enterprise (EME) with execution capability.
• Transnet reserves the right to pay subcontractors directly under specific conditions, but the service provider remains liable for all contractual obligations.
• The service provider must maintain appropriate insurance and provide evidence annually.
• The service provider warrants it has full capacity to enter into the agreement and will perform with due skill, care, and diligence.
• The service provider must comply with all applicable laws, including tax legislation, and maintain tax clearance.
• The service provider must comply with the Protection of Personal Information Act (POPIA) and ensure confidentiality of personal information.
• The service provider must comply with the Transnet Supplier Integrity Pact.
• The service provider's personnel are not employees of Transnet. Transnet can refuse access to any personnel deemed undesirable or a security threat.
• If personnel are unsatisfactory or absent, the service provider must supply a replacement of equivalent calibre, subject to Transnet's approval.
• Time is of the essence for performance.
• A contract Risk Register must be prepared within two weeks of contract signature if Transnet deems it appropriate.
• Monthly contract progress meetings will be held to review deliverables, costs, performance, and risks.
• Penalties for non-compliance with service level agreements are R 1000.00. The service provider must pay penalties within 10 business days of receiving a valid tax invoice from Transnet.
• The agreement is governed by South African law.

• If during the contract period Transnet can purchase similar services of like quality from another supplier at a lower total delivered cost, the service provider has an opportunity to adjust its price within 30 calendar days.

• No specific dates for briefings, site visits, or clarification deadlines are provided in this document. Refer to the main RFP document for any scheduled compulsory sessions.

• Site visits or briefing sessions may be requested. If indicated as compulsory in the RFX Document, attendance is mandatory; failure to attend results in disqualification.

• For clarification before the closing date, upload questions onto the Transnet e-Tender Submission Portal or contact the person listed in the RFX Document.
• After the closing date, communicate only with the contact person listed in the RFX Document.
• Unauthorised communication about the bid with other bidders, potential suppliers, or Transnet officials during the evaluation period may lead to disqualification.

• Submit your bid via the Transnet e-Tender Submission Portal by uploading documents against each tender selected. Late bids will not be considered.
• Complete all bid forms in their entirety. Use only Transnet's official forms and formats. Non-compliance may lead to rejection.
• If insufficient space is allocated, you may submit additional information on company letterhead, cross-referenced in the RFX.
• All returnable documents listed in the RFX Documents must be submitted. Failure to submit mandatory returnables results in disqualification; failure to submit others may also lead to disqualification.
• If samples are required, they must be marked with your name, address, bid number, and item number, and delivered by the closing date. Late samples may cause rejection.
• After acceptance, if you fail to enter into a contract, accept an order, furnish required security, or comply with conditions, Transnet may accept another bid and recover additional costs from you.

Respondents must not be listed on National Treasury's Register of Tender Defaulters or List of Restricted Suppliers; foreign respondents must have an authorized South African representative with a valid Power of Attorney; companies must disclose directors' names, close corporations must disclose members' names; successful bidders must provide a Deed of Suretyship from an approved South African financial institution.

• Goods must be NEW (unused, not second-hand or reconditioned) unless otherwise stipulated.
• You must tender strictly according to Transnet's supplied drawings and specifications, unless notified of amendments.
• If required, submit drawings and translated foreign specifications (other than British/American) by the closing date; failure may disqualify the bid.
• Delivery periods must include all non-working days, holidays, stocktaking, and plant overhaul periods.

• Quote prices in the Price Schedule: for local supplies (manufactured/produced/assembled in RSA or imported and held in SA) on a Delivered RSA named destination basis; for imported supplies on a Delivered Duty Paid (latest ICC Incoterms) basis to end destination in SA.
• All monetary amounts must be in South African Rand (ZAR).
• Prices quoted subject to confirmation will not be considered.
• Alter prices by deleting incorrect figures and inserting correct ones, initialled by the signatory.
• For foreign currency portions, provide remittance details if payment overseas is requested; SARB approval required.
• Prices for local supplies must include VAT, shown separately on the Tax Invoice.
• Payment terms are as per the Terms and Conditions of Contract; alternative proposals may be submitted.
• Conditional discounts apply from receipt of correct month-end statement and Tax Invoice.

• All monetary amounts must be in South African Rand (ZAR), unless otherwise permitted in the RFP.
• Prices quoted subject to confirmation will not be considered.
• Price alterations must be made by deleting incorrect figures and inserting correct ones, initialled by the signatory; otherwise, items may be excluded.
• Prices for Goods must be on a Delivered Duty Paid (latest ICC Incoterms) basis to the specified delivery point, unless otherwise stated. Alternative delivery bases may lead to disqualification.
• For local supplies (manufactured/produced/assembled in RSA or imported and held in SA), quote on a Delivered RSA named destination basis. For imported supplies, quote on a Delivered Duty Paid basis to end destination in SA.
• Prices for local supplies must include VAT, shown separately on the Tax Invoice.
• Payment terms are as per the Terms and Conditions of Contract. You may submit alternative payment/financing proposals with full particulars.
• Conditional discounts: the discount period starts from receipt of your correct month-end statement and Tax Invoice.
• For foreign currency portions, Transnet prefers Rand-based agreements and may request forward exchange cover. Provide details for overseas remittance if applicable; SARB approval is required.

• If a company, state full director names; if a close corporation, state member names; if a partnership or individual trading under a trade name, state full partner/individual names.
• No bid will be awarded if your name (or members/directors/partners/trustees) appears on the National Treasury Register of Tender Defaulters or List of Restricted Suppliers.
• The successful bidder must provide a Deed of Suretyship from an approved South African financial institution for contract fulfilment, if required. The form must be returned within 30 calendar days of acceptance.
• Foreign bidders must appoint an authorised South African representative with a Power of Attorney complying with Rule 63 of the Uniform Rules of Court.
• Export licences may be required for imported goods; the supplier's manufacturer or agent must apply.
• Intellectual property rights for plans, drawings, etc., are governed by the Terms and Conditions of Contract.

• Upon acceptance, parties are bound by the General Bid Conditions, Terms and Conditions of Contract, and any Special Conditions.
• Email acceptance is considered proof of delivery one day after sending.
• Unsuccessful bidders will be notified in writing and informed of the successful bidder's name and reasons for non-acceptance.
• If you find contract conditions unacceptable, indicate which and propose amendments on company letterhead for Transnet Legal Counsel review. You may withdraw unacceptable deviations or be disqualified.
• Contract documents include General Bid Conditions, Terms and Conditions of Contract, Special Conditions, and your bid response, forming a binding contract upon acceptance.
• South African law governs the contract. Foreign bidders must specify an authorised South African representative.
• The successful bidder must provide a Deed of Suretyship from an approved South African financial institution if required, returned within 30 calendar days of acceptance. Failure may lead to contract cancellation.
• Contract quantities are estimates; Transnet orders only as needed, and you undertake to supply ordered quantities but bear risk for specially ordered stocks.
• Delivery periods are as per the Terms and Conditions of Contract. Progress reports may be required.
• For emergency demands, you have first right of refusal; if unable to meet critical delivery, Transnet may source elsewhere.
• Copyright for work products is governed by the Intellectual Property Rights section.
• In case of conflict between these General Bid Conditions and the RFP document, the RFP document prevails.

• If a company, state full director names; if a close corporation, state member names; if a partnership or individual trading under a trade name, state full partner/individual names.
• If samples are required, mark them with your name, address, bid number, and item number, and deliver by the closing date. Transnet may retain samples without payment.
• Export licences may be required for imported goods; the supplier's manufacturer or agent must apply.
• Tender strictly according to Transnet's supplied drawings and specifications unless notified of amendments.
• Submit required drawings by the closing date; non-receipt may disqualify the bid.
• For foreign specifications (other than British/American), submit translated copies and details of any variations.
• Foreign bidders must appoint an authorised South African representative with a Power of Attorney complying with Rule 63 of the Uniform Rules of Court.
• No bid will be awarded if your name appears on the National Treasury Register of Tender Defaulters or List of Restricted Suppliers.
