• This is a construction contract for the replacement of roller shutter doors at King Shaka International Airport over a 24-month period.
• The contract is between Airports Company South Africa SOC Limited and the successful contractor.

• Submit your offer using the Form of Offer and Acceptance included in Part C1.
• The tenderer must sign the Offer signature block and include the total price inclusive of VAT.
• The tenderer must examine all documents listed in the Tender Data and addenda listed in Returnable Schedules.
• If accepted, the Contractor must within two weeks contact the Employer’s agent to arrange delivery of securities, bonds, guarantees, proof of insurance and other required documentation.
• Failure to provide required documentation constitutes a repudiation of the agreement.
• The Contractor has five working days after receipt of the signed agreement to notify the Employer of any objections, otherwise it becomes a binding contract.

Bidder must be a legally registered entity (registration number required). Must have the capacity to enter into the contract. Joint ventures/consortia are accepted but result in joint and several liability. No cession/delegation without Employer's written consent. Must not be involved in corrupt practices (ethics clause). Must be able to provide the required insurances (public liability, etc.) and performance bond.

• The Contractor must provide the works in accordance with the Works Information and warrant that the results shall be fit for purpose.
• The Contractor is responsible for correct setting out of the Works and rectifying any positioning errors at own cost.
• Key personnel CVs must be appended to the Tender Schedule; the contract data requires details for up to 10 key people (names, job titles, responsibilities, qualifications, experience).

• The Contractor must provide an unconditional, on-demand performance bond for the amount stated in the Contract Data, valid until the end of the contract period.

• B-BBEE: The Contractor must annually present a compliant BEE Certificate. Failure is a material breach and may lead to contract cancellation.
• Occupational Health and Safety: The Contractor must comply with the OHS Act, COID Act, and Construction Regulations 2014. A detailed OHS agreement (OHS 040) must be signed.
• Insurance: The Contractor must provide insurance as stated in the Contract Data, including public liability insurance, and ensure employees are covered under COID Act.
• Ethics: The Contractor must comply with anti-bribery and corruption laws, including the Prevention and Combating of Corrupt Activities Act.
• Confidentiality: All contract information must be treated as confidential.
• Subcontractors: Any subcontractors must meet the same compliance requirements.
• Legal compliance: The contract is governed by South African law and conducted in English.

• The Contractor must sign a detailed OHS agreement (OHS 040) complying with the OHS Act, COID Act, and Construction Regulations.
• A baseline risk assessment must be conducted before work commences.
• A full-time dedicated Health and Safety resource must be appointed if 5 or more people are working.
• All employees must be trained on hazards and safe work procedures.
• PPE must be provided and worn at all times; compliance monitored.
• Plant, machinery, and equipment must be safe and comply with Section 10 of OHS Act.
• Permit-to-work system: Required work must not proceed without an approved permit.
• Incident reporting: All incidents must be reported within 2 hours, with formal report within 48 hours.
• Emergency response procedure must be submitted.
• Health and safety committees must be established and meetings attended monthly.
• Medical examinations required for all employees, with certificates kept on file.
• Subcontractors must meet the same OHS requirements.

• The Contractor must maintain the work site, ablution, offices, and surrounding area to a reasonably practicable level of hygiene and cleanliness.
• No loose materials shall be left lying about unnecessarily; waste must be cleared regularly and on completion of work.

• Contract duration: 36 months from starting date.
• Defects liability: 52 weeks after completion, with a 4-week correction period.
• Delay damages: 1% per week up to a maximum of 10% of contract value.
• Retention: 10% of Prices, half released at Practical Completion, half after Defects Period.
• Limitation of liability: Neither party liable for consequential or indirect loss.
• Termination: Applicable as per NEC3 TSC3, including for business rescue proceedings.
• Performance bond: Unconditional, on-demand bond required, must be kept valid until contract end.
• Confidentiality: Contractor must treat all contract information as confidential.
